10、letion of the loading of the goods in 24 hours, send the Buyers Air Waybill, Invoice and Packing list by fax.裝運(yùn)通知： 賣方應(yīng)在貨物裝運(yùn)完畢后24 小時(shí)內(nèi)用傳真將空運(yùn)單、 發(fā)票和裝箱單發(fā)給買方。如賣方未按時(shí)向買方通知上述裝運(yùn)情況所導(dǎo)致?lián)p失由賣方承擔(dān)。Losses shall be borne by the Sellers in case the Sellers don t inform the Buyers of the above shipping status on time.1.

11、1 nsurance (保險(xiǎn)) ：To be covered by the Buyer.賣方負(fù)責(zé)辦理保險(xiǎn)。All Risks + War Risks.一切險(xiǎn) + 戰(zhàn)爭險(xiǎn)。8 .Fumigation ( 熏蒸 )：磷化鋁熏蒸的費(fèi)用須由賣方在裝貨港完全支付。Fumigation is unnecessary in case phytosanitary certificate is issued without fumigation. Fumigation with aluminum phosphide shall be made by the Seller at their expenses en

12、tirely at loading port.9 .Payment( 付款方式 ) & Terms OF Payment( 付款條件 )：The Buyer shall open irrevocable, transferable at sight L/C with T.T. reimbursement clause to Industrial and Commercial Bank of China, in favor of Cofco International(Beijing) Ltd. 15days on or before the commencement of loading fo

13、r the total value of the goods in U.S. Dollars. The L/C is to remain valid in China until the 15th day after the last date of shipment. Document to be provided under this contact: 買方開立不可撤銷、 可轉(zhuǎn)讓的即期信用證和電匯償付條款，中國工商銀行， 在中糧國際 (北 京)有限公司 15 天或之前的貨物在美國美元總價(jià)值負(fù)荷。信用證是在中國繼續(xù)有效至裝運(yùn) 日期后第十五天為最后期限。根據(jù)本合同提供以下文件：(a) Sell

16、的，不受侵?jǐn)_的。(h) Certificate Of Agricultural Chemical Residue Analysis issued by OMIC certifying that the cargo satisfies the standard of agricultural chemical residue regulated by the Food Sanitation Law of Japan and Ministry of Agriculture, Forestry & Fisheries, Japan. Total items should be 129 items.農(nóng)

18、人可以參加裝箱到集裝箱在米廠或倉庫或港口的裝運(yùn)。11 .Inspection (檢驗(yàn))(a) It is mutually agreed that the goods are subject to the Inspection Certificate of Quality and Inspection Certificate of Quantity issued by China Import and Export at the port of shipment. The Certificate shall be binding on both parties.雙方同意以裝運(yùn)港中國進(jìn)出口商品檢

19、驗(yàn)局簽發(fā)的品質(zhì)及數(shù)量檢驗(yàn)證書為最后依據(jù)對雙方 具有約束力。(b) Before delivery the manufacturer should make a precise and overall inspection of the goods regarding quality, quantity, specification and performance and issue the certificate indicating the goods in conformity with the stipulation of the contract. The certificates a

20、re one part of the documents presented to the bank for negotiation of the payment and should not be considered as final regarding quality, quantity, specification and performance. The manufacturer should include the inspection written report in the Inspection Certificate of Quality, stating the insp

21、ection particulars.在交貨前制造商應(yīng)就訂貨的質(zhì)量、規(guī)格、數(shù)量、性能做出準(zhǔn)確全面的檢驗(yàn)，并出具貨物與本合同相符的檢驗(yàn)證書。 該證書為議付貨款時(shí)向銀行提交單據(jù)的一部分，但不得作為貨物質(zhì)量、規(guī)格、數(shù)量、性能的最后依據(jù)，制造商應(yīng)將記載檢驗(yàn)細(xì)節(jié)的書面報(bào)告附在品質(zhì)檢驗(yàn)書內(nèi)。12. Discrepancy and Claim(異議與索賠)(a)Any discrepancy on the shipped goods should be put forward within 30 days after the arrival of the vessel carrying the goods

22、at the port of destination and the Buyer should present the Survey Report issued by the Surveyor agreed by the Seller. If the goods have been processed the Buyer will loss the right to claim. The Seller shall not settle the claim within the responsibility of the Insurance Company or Ship Company.買方對

23、于裝運(yùn)貨物的任何異議必須與裝運(yùn)貨物的船只到達(dá)目的港后30天內(nèi)提出，并須提供經(jīng)賣方同意的公正機(jī)關(guān)出具的檢驗(yàn)報(bào)告，如果貨物已經(jīng)加工，買方即喪失索賠權(quán)利。屬于保險(xiǎn)公司或輪船公司責(zé)任范圍的索賠，賣方不予受理。(b)Any discrepancy about quality should be presented within 30 days after the arrival of the goods at the port of destination; any discrepancy about quantity should be presented within 15 days after t

24、he arrival of the goods at the port of destination, both of which cases should be on the strength of the certificates issued by the related surveyor. If the Seller is liable he should send the reply together with the proposal for settlement within 20 days after receiving the said discrepancy.品質(zhì)異議須于貨

25、物到達(dá)目的港30天內(nèi)提出，數(shù)量異議須于貨物到達(dá)目的港15天提出，但均須提供相關(guān)檢驗(yàn)機(jī)構(gòu)的證明，如屬賣方責(zé)任，賣方應(yīng)予以收到異議20天內(nèi)答復(fù)，并提出處理意見。13. Late Delivery and Liquidated Damages遲交貨與罰款(a)If the seller fails to make delivery on time as stipulated in the Contract (with the exception of Force Majeure Cases specified in Clause 15 of the Contract), the Buyer shal

26、l postpone the delivery on condition that the Seller agrees to pay a liquidated damage which shall be deducted by the paying bank from the payment under negotiation or from the Performance Bond. However, the liquidated damages shall not exceed five (5%) percent of the total value of the Goods involv

27、ed in the late delivery. The rate of penalty is charges at half (0.5%) percent for every seven(7) calendar days less than seven days are counted as seven days. In case the Seller fails to make the delivery ten(10) weeks later than the time of shipment stipulated in the Contract, the Buyer shall have

28、 the right to cancel the contract.如果賣方?jīng)]有按合同規(guī)定時(shí)間交貨，(除合同15款規(guī)定的不可抗力因素外)，買方可同意賣方延遲但賣方必須同意在議付時(shí)將罰金從付款行的支付中扣除或從履約保函中扣除。延遲交貨罰金的金額不得超過所延遲交貨金額的5%。罰金按每7天0.5%計(jì)算，不足7天按7天計(jì)算。如賣方在合同規(guī)定的交貨期10周后仍不能交貨，買方將有權(quán)取消合同。(b)In case of delayed payment of the contracted goods, the Buyer shall pay the Seller for every week of delay

29、 a penalty amounting to 0.5% of the total contract value. The total amount of penalty shall not , however, exceed 10% of the tota contract value and is to be added to the amount due to the Seller directly at the time of payment.Furthermore, the Seller shall retain title to the Goods, even if they ha

30、ve been delivered to theBuyer, until the order has been fully paid for. In case the period of delay exceeds ten(10) weeks after the stipulated payment date, the Seller may claim back the Goods supplied without prejudice to any other right or damage.如果買方不能按合同規(guī)定支付貨款，買方應(yīng)付給賣方每一星期按遲付貨物總值0.5%的遲交押金，但此比例最高不

31、得超過合同總價(jià)的10%。該罰金由買方在支付貨物價(jià)款時(shí)予以支付。此外，即使貨物已被交付買方占有，在所有貨款被支付之前，賣方保留貨物的所有權(quán)。如 果延遲付款超過原定期限10周，賣方有權(quán)收回貨物，且不影響任何其他權(quán)利的行使。14. Force Majeure 不可抗力(a)If either of the parties of the Contract be prevented from executing the Contract bu such cases for Force Majeure as war, serious fire, flood, typhoon, strike, earthq

32、uake, or any other mutually agreed cause, the time for execution of the Contract shall be extended by a period equal to the effect of those causes.如果合同的任何一方因不可抗力受阻而不能履行合同，合同的執(zhí)行時(shí)間將相應(yīng)順延。 不可抗力包括戰(zhàn)爭、眼中的水災(zāi)、臺(tái)風(fēng)、地震、罷工以及雙方同意并認(rèn)可的其他不可抗力事件。不可抗力事件為無法控制、無法避免和科夫的事件。(b)The prevented party shall notify the other part

33、y by fax within the shortest possible time of the occurrence of the Force Majeure and within fourteen(14) days thereafter send by registered airmail to the other party, a certificate for evidence issued by the relevant authorities for confirmation. Should the effects of the Force Majeure continue fo

34、r more than one hundred and twenty(120) consecutive days, both parties shall settle the further execution of the Contract through friendly negotiation and reach an agreement within a reasonable time.受阻的一方應(yīng)在盡可能短的時(shí)間內(nèi)通過傳真或電傳通知另一方，并在不可抗力發(fā)生后的 14天內(nèi)，用掛號信郵件向另一方寄交有關(guān)當(dāng)局不可抗力的證明，以供另一方檢查和確認(rèn)。如不可抗力的影響超過連續(xù)的120天，雙方應(yīng)本

35、著友好協(xié)商的精神在一個(gè)合理的時(shí)間內(nèi)就進(jìn)一步執(zhí)行合同達(dá)成協(xié)議。(c)The prevented party shall inform the other party as soon as possible by cable or fox of the termination or elimination of the case of Force Majeure and confirmed by registered airmail letter.受阻的一方應(yīng)盡快通過傳真或電傳通知另一方不可抗力因素的結(jié)束或消除，并用航空掛號信通知對方確認(rèn)。15. Arbitration 仲裁(a)All disp

36、utes arising from the execution of, or in connection with the Contract shall be settled through friendly consultation by both parties. In case no settlement can be reached within thirty (30) days of commencement of such consultation, the dispute shall be submitted for arbitration inaccordance with the provision Rules of Procedure of China International Econom
