7、co mmitted a serious breach of regulations, first par ty has the right to make dissolution of compact wi thout economic compensati on to second party.第八條由于雙方的勞動聘用關(guān)系，乙方將有機(jī)會了解 并使用甲方的有關(guān)商業(yè)秘密(包括但不限于經(jīng)營策略、軟件 系統(tǒng)、薪酬系統(tǒng)、營銷渠道、員工或客戶資料、供應(yīng)商、價 格系統(tǒng)、知識產(chǎn)權(quán)等所有資料及文件)，乙方有在協(xié)議期內(nèi) 及協(xié)議解除后保守甲方商業(yè)秘密不對外泄露的義務(wù)，也不能 用于為自己謀取利益的經(jīng)營活動中。乙方

8、不得將涉及甲方商 業(yè)祕密的實(shí)物、文字材料、電子文檔等以竊取、摘抄、復(fù)制、 傳真、拍照、電子郵件等方式占有、傳播、出售、使用或允 許他人使用甲方的商業(yè)秘密。本條款所規(guī)定行為，乙方如有 違反，應(yīng)向甲方支付違約金人民幣壹拾萬元。b ecause of the employer-em ployee relationship, seco nd party would know and u se the trade secret from first party(include but n ot limited to marketing t actics> soft ware sys tem、 sa

11、e breach, should pay penal sum of 100 ,000rmb.第九條乙方有下列情形之一的，甲方可以解除本協(xié)議,但是應(yīng)當(dāng)提前十日以書面形式通知乙方:first party could carr y out rescission of compa ct in any of the followin g circumstances, however, should notice second par ty by written form 10 day s early.患病或者非因工負(fù)傷，醫(yī)療期滿后，不能從事原工 作也不能從事由甲方另行安排的工作的；in the case

12、 of fall ill or wound in line of duty , when the medical treatm ent expires, if not be ab le to participate former work or other appointed w ork from first party；(2) 不能勝任工作，經(jīng)過培訓(xùn)或調(diào)崗，仍不能勝任工作 的；i ncompetent, after trainin g or transfer-position, s till incompetent；(3) 本協(xié)議訂立時所依據(jù)的客觀情況發(fā)生重大變化，致 使協(xié)議無法履行，經(jīng)甲乙

16、或假報(bào)金額等行為的；second party s teal property from compan y oremployees； deception during the process of ap plying for reimbursement.(4) 泄露公司商業(yè)祕密；利用職務(wù)以權(quán)謀私、損公肥私 的；breach of confidence； ta ke advantage of duty to s eek person profit(5) 欺詐客戶、公司，謀取私利的，私下從事同業(yè)工作 的；sting die nt、company to seek p ersonal pro fit,

17、participa te same type of work in s ecret(6) 結(jié)黨營私、破壞員工關(guān)系，生活作風(fēng)不端正的;form cliques, wreck r elationships between empl oyees, bad lifestyle (immo ral love).(7) 違法行為或不良社會行為而給甲方形象造成巨大傷 害的；unlawful act or bad behavior which di minish the reputation of talent.(8) 有賭博、吸毒等不良行為的；ga mble、drug taking or other bad
