1、Regulation of Foreign Companies Branches in Iraq no.2 Of year 2017外國公司在伊拉克注冊分支機構(gòu)條例（2017第2號文件）Article 1The following terms have the under- mentioned meanings for the purpose of this Regulation:- 在本條例中，下列字樣含義如下：First- The Minister : Minister of Trade.1 .部長指貿(mào)易部部長Second- The Registrar: The Registrar of

2、Companies.2 .注冊官指公司注冊官。Third- The foreign company: A companyincorporated outside Iraq according to a foreign law.3 .外國公司是指根據(jù)外國法律在伊拉克境外成立的公司。Fourth- Registration License: A document issued by the Registrar of Companies and announce the registration of a foreign company branch in Iraq accordingly.4 .登

3、記證書是指一份由公司注冊官簽發(fā)的借以宣布外國公司在伊拉 克注冊分公司的文件。Fifth- The branch: A legal entity represents the foreign company in Iraq.5 .分公司是指在伊拉克代表外國公司的法律實體。Article 2Every foreign company (which) wishes to exercise trading activity in Iraq when two years pass as from its incorporation, can open a branch after submitting

4、the following documents to the Registrar duly translated into Arabic language and legalized from the competent authorities in the country of origin:-外國公司如在伊拉克從事貿(mào)易活動，可自其注冊成立之日起滿兩年后， 向注冊官提交正式翻譯為阿拉伯語并經(jīng)原國家主管部門確認(rèn)合法的 下列文件后，在伊拉克開設(shè)分支機構(gòu)：First: The special form of the license application designated by the Reg

5、istrar.注冊官指定的特定的許可證申請表格；Second- The memorandumof incorporation and articles of association of the foreign company or an equivalent document.外國公司的章程，內(nèi)部規(guī)章制度或等效文件。Third- A valid certificateof registration (incorporation)ofthe foreign company or an equivalent document.外國公司的注冊證書或等效文件。Fourth- A list of th

6、e names of the board of directors of the foreign company and nationality of each one and names of authorized signatories.一份外國公司董事會董事名單，注明每名董事的名字、國籍以及授權(quán) 簽字人的名稱。Fifth- Authorization document for the manager who is empowered to manage the branch in Iraq and actually residing therein.對管理伊拉克分支機構(gòu)并實際居住在伊拉克

7、的經(jīng)理的授權(quán)文件。Sixth- Authorization document for the person who is designated to submit the application to open the branch in Iraq.對指定的向伊拉克提交設(shè)立分支機構(gòu)申請人員的授權(quán)文件。Seventh- The final accounts of the last financial year of the foreign company.外國公司上一個財政年度的決算。Eighth- The undertaking formatted by the Registrar.注冊官用表

8、格設(shè)計的各種保證性條件Ninth- Any other document which is ordered by the Registrar concerning the company business.注冊員要求提交的關(guān)于公司業(yè)務(wù)的任何其他文件。Article 3first - The Registrar issues his decision to approve or refuse the foreign company request concerning providing the company with the registration license of a branch

9、in Iraq within (30) thirty business days as from the application date which must respond to the requirement stated in article(2) ofthis Regulation otherwise the application is considered acceptable and in case of refused there must be a reason for the decision.從申請日期起30個工作日內(nèi)，注冊官應(yīng)就外國公司向伊拉克申請注 冊分支機構(gòu)一事做

10、出批準(zhǔn)或拒絕的決定。如注冊官未在上述時間內(nèi)對 本條例第2條所述的申請做出回應(yīng)，則視為本申請已被接受，如申請被拒，則須給出拒絕之理由Second - The foreign company can object against the refusal decision according to law.外國公司可依法對拒絕的決定提出異議。Third- The person who is authorized to register the branch inIraq has to publish the decision of the branch registration in a local

11、 newspaper for one time within (15) fifteen days after paying the legally determined dues, otherwise the decision shall be considered invalid.被授權(quán)在伊拉克注冊分支機構(gòu)的人員，須在支付法律規(guī)定的費用后 15天內(nèi)在當(dāng)?shù)貓蠹埞挤种C構(gòu)注冊決定，否則該決定視為無效。Fourth- The Registrar publish his approval decision in his internal bulletin.注冊官在其內(nèi)刊中公布其核準(zhǔn)決定。Fifth

12、- The Registrar issues the license of registration within (7) seven business days as from the last publication date.注冊官自上一次公告之日起 7個工作日內(nèi)簽發(fā)登記許可證Article 4The registration license is not considered as a permit to exercise the activity.登記許可證并不視為允許開展貿(mào)易活動。Article 5First: The branch must abide by submitting

13、 the following to the Registrar:1 .分支機構(gòu)應(yīng)向注冊官提交下列文件：A) A formal document stating the full address of the branch domicile in Iraq dully legalized from a competent authority.注明主管機關(guān)認(rèn)可的在伊拉克的分公司住所之詳細地址的正式文件B) A supporting letter from one of the licensed banks in Iraq confirms opening a current account.一家在

14、伊拉克有資質(zhì)的銀行函件，確認(rèn)其已開設(shè)活期賬戶。C) A license of exercising the activity issued from the authority which is specialized in such activities.由專門主管此類活動的部門頒發(fā)的貿(mào)易活動許可證Second- The branch which obtains the registration license has no right to exercise the trading activity without submittingall the documents referred

15、to in item(first ) of this article.2 .取得登記許可證的分支機構(gòu)，如未提交本條第1款所述文件，則無權(quán)進行貿(mào)易活動。Third- The branch must abide by the following:3 .分支機構(gòu)應(yīng)遵守以下規(guī)定：A) Fix its full name as it is in the registration license andalso its headquarters in Iraq in Arabic language on all its documents and papers clearly and its is pos

16、sible to use the foreign language as an addition.在所有的單證和文件上用阿拉伯文注明總部的名稱及其在登記許可 證中的全稱，可輔以外文。B) Book- keep a regular accounts in Arabic language for all its activities in Iraq in compliance with the Accounting Regulation and related laws.賬簿-按照“會計條例”和相關(guān)法律，定期用阿拉伯語對其在伊拉 克的所有活動進行記賬。Article 6The branch sha

17、ll exercise the trading activity in the following cases:分支機構(gòu)在下列情況下可從事貿(mào)易活動：First Sign a contract with one of the Iraqi government authorities and public and mixed sectors.1 .與伊拉克任一政府部門、公共部門和混合部門簽訂合同。Second - Obtain investment license in conformity with valid investment laws in Iraq.2 .根據(jù)伊拉克投資法取得投資許可。

18、Third - Obtain business license from any legally authorizedIraqi authorities.3 .從任一合法的伊拉克部門獲得營業(yè)執(zhí)照。Fourth - Transact with the private sector in Iraq provided that the contract amount or the project value must not be less (1.000.000) one million Dollars.4 .如與伊拉克私營部門進行交易，則前提是合同金額或項目價值不 得低于100萬美元。Articl

19、e 7First The branch shall be managed by a manager or who acts on his behalf in case of his absence according to an authorization from the foreign company provided that he must reside in Iraq. 1.分支機構(gòu)應(yīng)由一名經(jīng)理管理，當(dāng)經(jīng)理缺席時，可由外國公司授權(quán) 他人代表該經(jīng)理進行管理，前提是該人必須住在伊拉克。Second- If the company change the branch manager or

20、who acts on his behalf, the Registrar must be notified within (30) thirty business days as from the date of the Iraqi Embassy certification on the documents in the foreign companycountry.2.如果(外國)公司更換分公司經(jīng)理或授權(quán)代表，則必須通知注冊 官，通知時限為伊拉克駐該國大使館對該變更文件進行認(rèn)證后的30個工作日內(nèi)。Article 8First: The branch accounts and activi

21、ties must be audited by a licensed chartered accountant in Iraq.1. 分支機構(gòu)的帳戶和活動須由伊拉克特許注冊會計師事務(wù)所進行審核。Second- The branch must submit annually his audited final accounts and a report about his activities in Iraq to the Registrar within the eight months following the end of that year.2. 在每年年底后的八個月內(nèi)，分支機構(gòu)須向注

22、冊官提交經(jīng)審計的決算以及其在伊拉克的活動報告。Article 9The Registrar can demand any information or documents if he finds the necessity of submitting such information to facilitate applying the provisions of the law.為便于適用法律規(guī)定之目的，注冊官可向分支機構(gòu)索要任何所需的資 料或文件。Article 10The Registrar can select one or more inspectors whois qualifie

23、d and experienced to inspect the branch business in case of necessity and the branch must provide all required facilities for the inspector to finish his work.如有需要，注冊官可選擇一名或多名有資格且經(jīng)驗豐富的檢察員，對分支機構(gòu)的業(yè)務(wù)進行檢查，而該分支機構(gòu)須提供一切必要設(shè)施， 以便 檢查人員完成檢查工作。Article 11First: The Registrar can cancel the registration license o

24、f the branch and write off its namefrom its records by a reasonable decision upon the following cases:1 .在下列情況下，注冊官可做出合理決定，取消分支機構(gòu)的登記許 可證，并將其名字從記錄中注銷：a) If the branch does not exercise any trading activity in conformity with article (9) of this regulation after (4) four years as from the date of his

25、carrying out the last trading activity.如該分支機構(gòu)自實施最后一次交易活動之日起計四年后未能遵照本條例第9條進行任何貿(mào)易活動；b) In case of not approaching the Registrar to submit the final accounts and the required documents for(2) two consecutive years after issuing the registration license without reasonable excuse.如頒發(fā)登記許可證后連續(xù)兩年未向注冊官提交決算報表

26、及所需文件,而又無任何正當(dāng)理由的；c) If it is proved that the branch submitted false documents or inaccurate information.如證明分支機構(gòu)提交了虛假文件或錯誤信息。d) If it is proved that the branch is exercising an activity in contradiction to the Iraqi legislations or a business that affects the country security.如證明分支機構(gòu)正在實施違背伊拉克法律的活動或從事

27、影響國家安 全的業(yè)務(wù)。Second: The foreign company can object against the Registrar decision concerning the cancellation and termination of the branch at the competent court according to law.2 .外國公司可依法向有管轄權(quán)的法院就注冊官撤銷和終止分公司的 決定提起訴訟。Third- The Registrar has to publish the deletion decision in its internal bulletin

28、 and one daily newspaper for one time after acquiring the decisive grade or the expiry of litigation period.3 .注冊官須在獲得判決后或訴訟期滿后在其內(nèi)刊中一次性公布上述撤銷決定。Article 12First: The foreign company has to submit an application to liquidate its branch in Iraq within(60) sixty business days as from the date of certifi

29、cation of the Iraqi Consulate inthe country of origin on the documents which confirm the following cases:-自伊拉克駐外國公司所在國領(lǐng)館對文件進行認(rèn)證從 而確認(rèn)下列情況之日起的 60個工作日內(nèi)，外國公司 應(yīng)提交申請，清算其在伊拉克的分支機構(gòu)。A) Announcement of its bankruptcy.宣布破產(chǎn)。B) Losing its body corporate as a result of merging with other company or companies .因與其

30、他公司合并而失去主體資格。C)It s wish to liquidate the branch and end its business in Iraq.外國公司希望對分支機構(gòu)進行清算并結(jié)束在其伊 拉克的業(yè)務(wù)。Second- The foreign company has to appoint one or more liquidators to follow up theliquidation procedures.外國公司應(yīng)委派一名或多名清算人跟進清算程序。Third- The Registrar issues the decision of liquidation within (15

31、) fifteen business days asfrom the date of submitting the application of liquidation.注冊官自外國公司提由清算申請之日起15個工作日內(nèi)發(fā)布清算決定。Fourth - The Registrar publishes the liquidation decision in two local newspapers for one timeand inform the Iraqi competent authorities within(7) seven business as from the date ofiss

32、uing the liquidation decision. 注冊官一次性在兩份當(dāng)?shù)貓蠹埳瞎记逅銢Q定，并 自發(fā)布清算決定之日起7個工作日內(nèi)通知伊拉克主管部門。Fifth - The branch accomplishes the liquidation procedures and submit the final liquidationaccounts with (2) two years as from the date of issuing the liquidation decision. 分支機構(gòu)完成清算程序，并自發(fā)布清算決定之日起兩 年內(nèi)提交最終清算賬目。Sixth The Re

33、gistrar issues the decision of striking off thebranch from its records within(7) seven business days as from the expiry of the liquidation procedures.自清算程序期滿后7個工作日內(nèi)，注冊官發(fā)布將分 支機構(gòu)從其記錄中刪除的決定。Seventh - If the liquidation procedures are not finished within the determined period in item(fifth) of this arti

34、cle , the Registrar shall cancel the registration license and terminatethe branch.清算程序未在本條第(五)項規(guī)定的期限內(nèi)完成的， 注冊官應(yīng)注銷其登記許可證，終止分支機構(gòu)。Eight- If the registration license is cancelled and the company branch is terminated, theforeign company shall bear the legal and financial obligations incurred on the branch

35、during his existence in Iraq.注銷登記許可并終止公司分支機構(gòu)的，外國公司應(yīng)承 擔(dān)其分支機構(gòu)在伊拉克存續(xù)期間所產(chǎn)生的法律和財務(wù)責(zé)任。Ninth - The Registrar publishes the termination decision in his bulletin and informs thecompetent authorities about that.注冊官在其公告中公布終止決定，并將其通知主管部 門。Article 13First : The foreign company abides by providing the Registrar with a report if it starts any trading business in Iraq according to the special form which is prepared for this purpose.如果外國公司依照為在伊拉克從事貿(mào)易活動而制定的專門表格開展貿(mào)易活動，則須向注冊官提供報告。Second- The government authorities and the public and mixed sectors must abide by providi
