4、mple provided by Seller), If any quality issues, the Seller must withdraw theunqualified goods by their own cost, and compensate related cost to Buyer. 5、 for Breach of Agreeme nt違約責(zé)任4.1 The Parties hereto shall endeavor to settle all disputes and differences relating toan d/or aris ing out of the Agreeme nt amicably.雙方應(yīng)和平解決該合同下產(chǎn)生的所有爭(zhēng)議和分歧。4.2 In the eve nt of the Parties faili ng to resolve any dispute amicably the same shall besubmitted to internati

6、onal Court of Arbitration of ICC for Arbitration in accordance withthe Rules of Conciliation and Arbitration of International Chamber of Commerce.如果雙方未友好解決爭(zhēng)議，該爭(zhēng)議應(yīng)根據(jù)國(guó)際商會(huì)調(diào)停和仲裁規(guī)定，訴諸國(guó)際商會(huì)仲裁法院仲裁。4.3 The place of arbitrati on shall be in China and Ian guage of the arbitrati on shall beChin ese and En glish

Force Majeure不可抗力5.1 Neither party shall be con sidered in default in the performa nce of its obligati onshere un der to the exte nt that the performa nce of such obligati on is delayed orpreve nted by Force Majeure.因下列不可抗力影響或延誤雙方履行其職責(zé)時(shí)，都

8、不能認(rèn)為是任何一方的違約行為。5.2 For the purpose of this provision“ Force Majeure ” means the effective occurrenceany act or eve nt which is un foreseeable, In surm oun table and outside of the affectedParty ' s con trol and which ren ders the said Party un able to comply totally or partiallywith its obligati

9、ons under this Agreement, provided that the foregoing criteria shall be met altogether. Force Majeure shall in elude acts of God (such as epidemic, tidal wave, lightening, earthquake, hurricane), hostilities, or acts of war (whether declared or not), riots (other than among employees of Seller or Bu

10、yer) , civil or military disturbances,n ati on al, regi onal or professi onal strikes (excludi ng strikes, lock-outs and other in dustrial disputes or actions by, betwee n or origi nated among employees of Buyer or Seller ).Force Majeure also includes Road congestion, political unrest and Govt. Holi

Force Majeure shall not in clude eve nts such as in solve ncy of any Party.此條款中所述不可抗力”意指任何不可預(yù)見(jiàn)、無(wú)法克服并且超出相關(guān)方控制的行動(dòng)或事 件，導(dǎo)致上述相關(guān)方無(wú)法按照所要求的標(biāo)準(zhǔn)履行此協(xié)議下的部分或全部職責(zé)。不可抗力應(yīng)包括天災(zāi)(比如瘟疫、潮流、閃電、地震、颶風(fēng))、敵對(duì)行為、或戰(zhàn)爭(zhēng)(不管是否宣 戰(zhàn))、暴亂(買(mǎi)方或賣(mài)方雇員發(fā)生暴亂除外)、內(nèi)政或軍事動(dòng)蕩、國(guó)家、地區(qū)或職業(yè)罷工 (買(mǎi)方或賣(mài)方雇員發(fā)起的罷工、停工及其相互之間產(chǎn)生的工業(yè)糾紛或發(fā)起的行動(dòng)除外)。不可抗力還包括交通擁擠、政局動(dòng)蕩和法定假期；但不

12、包括像任何一方的破產(chǎn)事件。5.3 Either party shall have the right, by giving notice to the other, to suspend performance of its obligations in whole or in part forthwith upon, and to the extentnecessitated by, the occurrence of Force Majeure and the time for completion of theServices shall be exte nded comme nsura

13、te with any such delay.根據(jù)不可抗力的程度，任何一方都有權(quán)及時(shí)通知另一方，推遲其全部或部分上述義務(wù)；同時(shí)相應(yīng)延長(zhǎng)義務(wù)履行時(shí)間。5.4 The Party clai ming Force Majeure shall give the other Party no tice thereof as soonas practicable. The Seller shall no tify Buyer of the steps they propose to take in cludi ng any reas on able alter native means for performa nee which is not preve nted by Force Majeure. The Seller shall not take any such steps uni ess directed so to do by Buyer and an adjustme nt to th

17、eti ng for or in executi ng the agreeme nt, VENDEE may have the right to term in ate the agreeme nt by giv ing a prior writte n no tice to the Seller.根據(jù)買(mǎi)方判斷，在協(xié)議履行中如果賣(mài)方涉及貪污、欺詐、共謀或強(qiáng)迫行為；買(mǎi)方可以通過(guò)書(shū)面提前通知賣(mài)方，終止該協(xié)議。6.2 The Buyer reserves the right, prior to 3 days, to term in ate the agreeme nt at any time by

And the Seller shall indemnify the Seller against any liability or econo mic claims.買(mǎi)方有權(quán)隨時(shí)終止本協(xié)議，但買(mǎi)方應(yīng)在終止協(xié)議前的3天內(nèi)書(shū)面告知賣(mài)方，賣(mài)方不應(yīng)追究買(mǎi)方的任何責(zé)任或經(jīng)濟(jì)索賠。7. Matters not Covered in the Agreeme nt未盡事宜7.1 All pending issues shall be regulated by the suppleme ntal agreeme nts which n eedto be otherwise sig ned by both parties.
