17、 contract for which this Invitation for Bids is issued.2.招標(biāo)機構(gòu)及合格的投標(biāo)人2.Tendering Agent and Eligible Bidders2.1 招標(biāo)機構(gòu)2.1 Tendering Agent機電產(chǎn)品國際招標(biāo)機構(gòu)是指依照中華人民共和國商務(wù)部令2005年第6號機電產(chǎn)品國際招標(biāo)機構(gòu)資格審定辦法取得(qd)招標(biāo)資格并從事機電產(chǎn)品國際招標(biāo)代理業(yè)務(wù)的企業(yè)法人。The Tendering Agent for ICB Procurement of Mechanic and Electronic Products (hereinafte

18、r referred to as Tendering Agent) means the Legal Person approved and authorized by the Ministry of Commerce to handle the procurement of mechanic and electronic products by way of International Competitive Bidding (ICB) in accordance with the Measures for Examining and Approving the Qualification o

19、f International Tendering Institutions for Electromechanical Products, Decree No.6, 2005 of the Ministry of Commerce of the Peoples Republic of China.本次招標(biāo)的招標(biāo)機構(gòu)名稱、地址、電話和傳真見投標(biāo)資料表。Details such as name, address, telephone and facsimile of the Tendering Agent for this bidding are listed in the Bid Data S

20、heet.2.2 合格的投標(biāo)人2.2 Eligible Bidders1)投標(biāo)人是響(不當(dāng)用詞)標(biāo)、參加投標(biāo)競爭的法人或其他組織。除非另有規(guī)定，凡是來自中華人民共和國或是與中華人民共和國有正常貿(mào)易往來的國家或地區(qū)(以下簡稱“合格來源國地區(qū)”)的供貨人均可投標(biāo)。1) Bidders are legal persons or other organizations who participate in bidding. This Invitation for Bids is open to all suppliers from within the Peoples Republic of Chin

21、a (hereinafter abb. as PRC) and all countries/areas which have regular trade relations with PRC (hereinafter called the eligible source countries/areas), except as provided hereinafter.2)投標(biāo)人不得直接或間接地與招標(biāo)人為采購本次招標(biāo)的貨物進行設(shè)計、編制規(guī)范和其他文件所委托的咨詢公司或其附屬機構(gòu)有任何關(guān)聯(lián)。2) Bidders should not be associated, directly or indir

23、招標(biāo)人和招標(biāo)機構(gòu)的供貨人才能參加投標(biāo)。3) The Suppliers may participate in the bids only if they are legally and financially autonomous, if they operate under relevant law, and if they are not a dependent agency of the Tendering Agent and the Tenderee.3.合格的貨物和服務(wù)3.Eligible Goods and Services3.1 合同中提供的所有貨物及其有關(guān)服務(wù)的原產(chǎn)地，均應(yīng)來自

24、上述2.2條款規(guī)定的合格來源國地區(qū)。本合同的支付也僅限于這些貨物和服務(wù)。3.1 All goods and related services to be supplied under the contract shall have their origin in eligible source countries/areas, as defined in clause 2.2 above, and all expenditures made under the contract will be limited to such goods and services.3.2 本款所述的“原產(chǎn)地”是

25、指貨物開采、生長或生產(chǎn)或提供有關(guān)服務(wù)的來源地。所述的“貨物”是指通過制造、加工或用重要的和主要的元部件裝配而成的，其基本特征、功能或效用應(yīng)是商業(yè)上公認的與元部件有著實質(zhì)性區(qū)別的產(chǎn)品。3.2 For purposes of this clause, origin means the place where the goods are mined, grown or produced, or the place from which the related services are supplied. Goods are produced when, through manufacturing,

26、processing, or substantial and major assembly of components, a commercially-recognized product results that is substantially different in basic characteristics or in purpose or utility from its components.3.3 貨物和服務(wù)的原產(chǎn)地有別于投標(biāo)人的國籍。3.3 The origin of goods and services is distinct from the nationality of

27、 the Bidder.4.投標(biāo)費用4.Cost of Bid4.1 投標(biāo)人應(yīng)承擔(dān)所有與準(zhǔn)備和參加投標(biāo)有關(guān)的費用。不論投標(biāo)的結(jié)果如何，投標(biāo)資料表中所述的招標(biāo)機構(gòu)和招標(biāo)人均無義務(wù)和責(zé)任承擔(dān)這些費用。4.1 The Bidder shall bear all costs associated with the preparation and submission of its bid, and the Tendering Agent and the Tenderee, named in the Bid Data Sheet, will in no case be responsible or li

The Bidding Documents5.招標(biāo)文件(wnjin)的編制依據(jù)與構(gòu)成5.Compilation Principle and Content of Bidding Documents5.1 本招標(biāo)文件的編制依據(jù)是中華人民共和國招標(biāo)投標(biāo)法和中華人民共和國商務(wù)部令2004年第13號機電產(chǎn)品國際招標(biāo)投標(biāo)實施辦法。5.1 The bidding document is compiled based

29、on “The Bidding Law ofthe Peoples Republic ofChina” and Order No.13 2004 of the Ministry of Commerce “The Measures for the Implementation of International Competitive Bidding of Mechanical and Electrical Products.”5.2 要求提供的貨物、招標(biāo)過程和合同條件在招標(biāo)文件中均有說明。招標(biāo)文件以中文或中、英文兩種文字編寫。以中、英文兩種文字編寫時，兩種文字具有同等效力；中文本(wnbn)與英

30、文本如有差異，以中文本為準(zhǔn)。5.2 The goods required, bidding procedures and contract terms are prescribed in the bidding documents. The bidding document is written either by Chinese or by Chinese and English. In the case of Chinese and English, two languages have the same effectiveness. In the event of any discrep

33、有對招標(biāo)文件在各方面都作出實質(zhì)性響應(yīng)是投標(biāo)人的風(fēng)險，并可能導(dǎo)致其投標(biāo)被拒絕。5.3 The Bidder is expected to examine all instructions, forms, terms and specifications in the bidding documents. Failure to furnish all information required by the bidding documents or to submit a bid not substantially responsive to the bidding documents in eve

34、ry respect will be at the Bidders risk and may result in the rejection of its bid.6.招標(biāo)文件的澄清6.Clarification of Bidding Documents6.1 任何要求對招標(biāo)文件進行澄清的潛在投標(biāo)人，均應(yīng)以書面形式通知招標(biāo)機構(gòu)和招標(biāo)人。6.1 A prospective Bidder requiring any clarification of the bidding documents may notify the Tendering Agent and the Tenderee in wr

35、iting.招標(biāo)機構(gòu)對其在投標(biāo)資料表中所述投標(biāo)截止期5日以前收到的對招標(biāo)文件的澄清要求均以書面形式予以答復(fù)，同時將書面答復(fù)發(fā)給每個購買招標(biāo)文件的潛在投標(biāo)人(答復(fù)中不包括問題的來源)。The Tendering Agent will respond in writing to any request for clarification of the bidding documents which it receives no later than five (5) days prior to the deadline for the submission of bids prescribed i

38、 own initiative or in response to a clarification requested by a prospective Bidder, may modify the bidding documents by amendment.7.2招標(biāo)文件的修改是招標(biāo)文件的組成部分，將以書面形式通知所有購買招標(biāo)文件的潛在投標(biāo)人，并對潛在投標(biāo)人具有約束力。潛在投標(biāo)人在收到上述通知后，應(yīng)立即以書面形式向招標(biāo)機構(gòu)和招標(biāo)人確認。7.2 All prospective bidders who have purchased the bidding documents will be n

39、otified of the amendment in writing, and will be binding on them. The amendment is a part of the bidding document. 41、函電均應(yīng)使用投標(biāo)資料表中規(guī)定的語言書寫。8. l The bid prepared by the Bidder, as well as all correspondence and documents relating to the bid exchanged by the Bidder and the Tendering Agent/ the Tenderee, shall be written in the language specified in the Bid Data Sheet.投標(biāo)人提交的支持資料和已印刷的文獻可以用另一種語言，但相應(yīng)內(nèi)容(nirng)應(yīng)附有投標(biāo)資料表中規(guī)定語言

42、的翻譯本，在解釋投標(biāo)文件時以翻譯本為準(zhǔn)。Supporting information and printed literature furnished by the Bidder may be in another language provided they are accompanied by an accurate translation of the relevant passages in the language specified in the Bid Data Sheet, in which case, for purposes of interpretation of the

44、ening which shall be submitted in a separate envelope completed in accordance with ITB Clauses 10, 11 and 12;2)按照本須知第13條要求出具的資格證明文件，證明投標(biāo)人是合格的，而且中標(biāo)后有能力履行合同；2) Documentary evidence established in accordance with ITB Clause 13 that the Bidder is eligible to bid and is qualified to perform the contract

46、ished in accordance with ITB Clause 15.10.投標(biāo)文件的編寫10.Compilation of Bid10.1 投標(biāo)人應(yīng)按照第四章投標(biāo)文件格式完整地填寫投標(biāo)書、開標(biāo)一覽表、投標(biāo)分項報價表以及招標(biāo)文件中規(guī)定的其它內(nèi)容。10.1 The Bidder shall complete the Bid Form, Summary Sheet for Bid Opening and Price Schedule and other stipulated contents furnished in Section IV Formats of Bids of the bi

47、dding documents.11.投標(biāo)報價11.Bid Prices11.1 投標(biāo)人應(yīng)在投標(biāo)分項報價表上標(biāo)明本合同擬提供貨物的單價(如適用)和總價。11.1 The Bidder shall indicate on the appropriate Bid Schedule of Prices the unit prices (where applicable) and total bid price of the goods it proposes to supply under the contract.投標(biāo)總價中不得包含招標(biāo)文件要求以外的內(nèi)容，否則，在評標(biāo)時不予核減。The total

48、 bid price shall not include any items beyond the requirement of the bidding document; otherwise, the offer on such items will not be deducted when evaluation.投標(biāo)總價中也不得缺漏招標(biāo)文件所要求的內(nèi)容，否則，評標(biāo)時將有效投標(biāo)中該項內(nèi)容的最高價計入其投標(biāo)總價。Also, the total bid price shall not omit any items required in the bidding document; otherwi
