1、Agent for incorporation in Hong Kong代理注冊(cè)xx有限公 司Agreement協(xié) 議 書甲方（委托方）：Party A (Applicant):乙方（受托方）：甲方因 業(yè)務(wù)發(fā)展需要欲在xx設(shè)立公司，現(xiàn)全權(quán)委托受理方向xx關(guān)于機(jī)構(gòu)申請(qǐng)辦理公司注冊(cè)相關(guān)手續(xù)，經(jīng)各方協(xié)商一致，達(dá)成以下內(nèi)容條款：Due to the need of developing the business in Hong Kong, Party A is now appointing Party B, Shenzhen Baililai Investment Consulting Limited

2、 as agent to nominate a Hong Kong based incorporating agent to register and to incorporate a company in Hong Kong and both parties agree that:一、 甲方必須向乙方提供真實(shí)有效的股東資料文件資料：身份證（或護(hù)照）復(fù)印件、個(gè)人住址（或通信辦公地址）、聯(lián)絡(luò)電話。Party A should supply the following information to Party B: Photocopy of Identity Card (or Passport),

3、 Address (or correspondence address), and telephone二、 填“xx公司注冊(cè)委托書”一份：公司中英文名稱、注冊(cè)資本、董事詳細(xì)資料文件資料、股份比例。Complete a copy of “Request for Incorporation of Hong Kong Company” stating the name of proposed Company, Authorised Capital, Particulars of Directors and Shareholders, Allotment of shares.三、甲方向乙方提供的數(shù)據(jù)必

4、須確認(rèn)真實(shí)無誤，保證申請(qǐng)注冊(cè)的海外公司是用于合法的商業(yè)運(yùn)作，并 承擔(dān)該公司的債權(quán)債務(wù)和法律責(zé)任。Party A guarantee that all information supplied is true and without error. Party A also undertake that the company incorporated in Hong Kong is for purpose of conducting normal commercial activities and not for illegal and/or criminal acts in any part

5、of the world./cont四、乙方為甲方代理細(xì)節(jié)如下：Party B shall on behalf of Party A give instructions to and supervise the Hong Kong Agent to perform the followings:-a) 到xx公司注冊(cè)署查冊(cè)確定公司名稱；Conduct a name search;b) 核實(shí)注冊(cè)資本、股東數(shù)目以及股份比例；Affirm the authorised capital and share allotment;c) 確定首批股東、秘書、董事和董事會(huì)主席委任及呈報(bào)；Affirm the

6、subscribers, Company Secretary, Directors and Chairman of Directors;d) 籌備所有的資料文件和法定的申報(bào)表，安排股東簽署資料文件，向政府關(guān)于部門提出申請(qǐng)；Prepare incorporation documents for signature and submit same to Company Registry of Hong Kong;e) 在注冊(cè)處代申請(qǐng)人宣誓設(shè)立公司，代付注冊(cè)資本登記；Representing the subscribers to make a declaration of Compliance, p

7、ay registrations fees and stamp duty on incorporation;f) 申領(lǐng)公司注冊(cè)證書；Collect Certificate of Incorporation;g) 申領(lǐng)公司股份證明、股份分配資料文件及代付印花稅；Prepare and submit to Company Registry allotment of shares;h) 申請(qǐng)稅務(wù)局商業(yè)登記，代付登記年費(fèi)；Apply Business Registration Certificate and to pay the Business Registration fees on behalf

8、 of Party A;i) 向政府印務(wù)局申印公司組織大綱、法定記錄和公司股票各一本，代付費(fèi)用；Printing of Memorandum and Articles, Statutory Rook, and Share Certificates;and to pay printing charges on behalf of Party A;j) 制作公司鋼印、簽字章、圓膠章各一枚，代付印章費(fèi)；Engrossing common seal, signature stamp and sound shape stamp to pay these charges on behalf of Part

9、y A;./contk) 免費(fèi)提供第一年的辦公地址和秘書服務(wù)費(fèi)。Provision of Registered Office and company Secretary service for 1 calendar year.五、 辦理費(fèi)用和付款方式：Terms of Payment:1） 辦理總費(fèi)用 元（包括須向xx政府關(guān)于部門支付的費(fèi)用和乙方代理費(fèi)用）；Total fees being HK$/RMB _ (including Government charges and agency fees payable to Party B;2） 付款方式：申辦前（甲方填委托書、協(xié)議書）預(yù)付50%

10、即 元，余額50%即 元在領(lǐng)取證書及相關(guān)資料文件資料時(shí)付清。Payment Term: 50% of the fees stated in 5(1) upon signing this agreement, balance will be paid when the incorporation process is completed with all incorporation documents ready to be collected by Party A.六、辦理的時(shí)間：收到甲方簽署申請(qǐng)?jiān)O(shè)立公司法定資料文件和申報(bào)表后8個(gè)工作日。Processing time: the whole p

11、rocessing time will be 8 working days plus 2 days for mailing document to Hong Kong, (excluding Saturday and Sunday and Hong Kong Bank Holiday) after receiving all signed documents.七、本協(xié)議各方訂 立后，如乙方無法履行甲方委托之業(yè)務(wù)，甲方此前所交的費(fèi)用乙方給予退還。After signing this Agreement, Party B shall refund deposit money paid by Par

12、ty A if Party B fail to perform the duties stated above.八 如在注冊(cè)期間因遇其它相同名字之公司同時(shí)申請(qǐng)而不獲xx政府接納發(fā)出注冊(cè)證書，而該公司設(shè)立日期與本協(xié)議書簽署日期不超過30天，本公司將不須作任何賠償 甲方仍須向乙方繳付已繳之政府費(fèi)用(港幣400)元及手續(xù)費(fèi)港幣500元。If the application being refused by the Company Registry on the ground the application being made the other party bearing the same company name, and the incorporation date of that company is within 30 days of the signing date of this agreement, Party B will not be held liable. Party A shall reimburse all fess (HK$400.00) paid to Company Registry plus Party Bs agent fee of HK$500.00./cont本協(xié)議一式兩份，甲乙各方各執(zhí)一份。本協(xié)議自各方簽署之日 起生效，未盡事
