國際貨物買賣合同基本內(nèi)容國際貨物買賣合同一、合同的形式按繁簡:合同和確認(rèn)書是合同的主要形式,效力相同。按載體:書面、口頭、行為(我國外貿(mào)合同不允許口頭形式)二、書面合同的意義合同成立的證據(jù);履行合同的依據(jù);解決爭議的依據(jù)一、合同的形式三、合同的成立:有效接受發(fā)盤時(shí)即告成立四、合同的生效,法律概念,條件有:1、合同當(dāng)事人必須具有訂立合同的行為能力;2、合同必須有對價(jià);3、合同內(nèi)容必須合法;4、合同必須符合法律規(guī)定的形式;5、合同當(dāng)事人的意思表示必須真實(shí)。雙方利益的互換

三、合同的成立:有效接受發(fā)盤時(shí)即告成立雙方利益的互換五、合同的內(nèi)容1、約首包括:合同名稱、合同編號、締約雙方名稱和地址、電子郵箱地址、傳真號碼及雙方訂立合同的意愿和執(zhí)行的保證。2、本文具體列名各項(xiàng)交易條件和條款,是合同的主體部分。3、約尾一般列明合同的份數(shù)、使用的文字及其效力、簽約地點(diǎn)、生效時(shí)間和雙方當(dāng)事人簽字等。五、合同的內(nèi)容關(guān)于品質(zhì)條款(Commoditynameandspecification)買方交貨品質(zhì)誤差時(shí)的計(jì)價(jià)方法多數(shù)情況:在品質(zhì)公差和品質(zhì)機(jī)動(dòng)幅度的范圍之內(nèi),仍按合同計(jì)收價(jià)款,不對合同價(jià)格進(jìn)行調(diào)整。農(nóng)產(chǎn)品(成交量大):在規(guī)定品質(zhì)機(jī)動(dòng)幅度的同時(shí)制定增減價(jià)條款(如水分±1%,價(jià)格±1%)關(guān)于數(shù)量條款800metrictons,5%moreorlessatseller’soption.六、合同主要條款關(guān)于品質(zhì)條款(Commoditynameandspe國際貨物買賣合同基本內(nèi)容課件關(guān)于包裝(packing)若買方提供包裝標(biāo)志和包裝物料時(shí)應(yīng)規(guī)定提供的最遲期限以及未能及時(shí)提供而影響貨物出運(yùn)時(shí)所應(yīng)承擔(dān)的責(zé)任。貨物采用中性包裝,買方提供的標(biāo)簽必須于裝運(yùn)月份前45天運(yùn)抵賣方。

claim,

any,

shall

lodged

goods

10.

INSPECTION(檢驗(yàn)):

INSPECTION:(檢驗(yàn))雙方同意由裝運(yùn)地/裝運(yùn)港的質(zhì)量監(jiān)督檢驗(yàn)檢驗(yàn)局(AQSIQ)簽發(fā)的品質(zhì)證書和重量(數(shù)量)檢驗(yàn)證書是相關(guān)信用證項(xiàng)下提交議付的單據(jù)之一。買方擁有復(fù)驗(yàn)貨物品質(zhì)和重量(數(shù)量)的權(quán)利,復(fù)驗(yàn)費(fèi)用由買方承擔(dān)。一旦貨物品質(zhì)和/或重量(數(shù)量)與合同規(guī)定不一致,買方擁有向賣方提出索賠的權(quán)利,前提是憑賣方認(rèn)可的調(diào)查機(jī)構(gòu)所出示的調(diào)查報(bào)告。如需索賠,須在貨物到達(dá)目的地/目的港之日起30天內(nèi)提出。INSPECTION:(檢驗(yàn))11.

買方對所運(yùn)輸貨物的任何索賠主張必須在貨物到達(dá)相關(guān)提單和/或運(yùn)輸單據(jù)載明的目的港或目的地后30天內(nèi)提出,并且有賣方可接受的鑒定人所簽發(fā)的調(diào)查報(bào)告的支持。關(guān)于保險(xiǎn)公司、船公司或其他運(yùn)輸公司責(zé)任方面的索賠,則不在賣方考慮范圍。11.

CLAIMS(索賠):關(guān)于不可抗力(Forcemajeure)

規(guī)定方式概括式,即對不可抗力事件作籠統(tǒng)的提示,如“由于不可抗力的原因,而不能履行合同或延遲履行合同的一方可不負(fù)有違約責(zé)任。但應(yīng)立即以電傳或傳真通知對方,并在XX天內(nèi)以航空掛號信向?qū)Ψ教峁┲袊鴩H貿(mào)易促進(jìn)委員會出具的證明書’。列舉式,即逐一訂明不可抗力事件的種類。如“由于戰(zhàn)爭、地震、水災(zāi)、火災(zāi)、暴風(fēng)雪的原因而不能履行合同或延遲履行合同的一方不負(fù)有違約責(zé)任......”。綜合式,即將概括式和列舉式合并在一起,如“由于戰(zhàn)爭、地震、水災(zāi)、火災(zāi)、暴風(fēng)雪或其他不可抗力原因而不能履行合同的一方不負(fù)有違約責(zé)任......”。綜合式是最為常用的一種方式。關(guān)于不可抗力(Forcemajeure)

規(guī)定方式概括式,12.

FORCE

MAJEURE(不可抗力):

If

shipment

contracted

goods

prevented

or

delayed

in

whole

or

in

part

by

reason

of

war,

earthquake,

flood,

fire,

storm,

heavy

snow

or

other

causesof

force

majeure,

the

seller

shall

not

be

liable

for

non-shipment

or

late

shipmentof

the

goods

of

this

contract.

However,

the

seller

shall

notify

the

buyer

by

phone/fax/email

and

furnish

later

within

5

days

by

registered

airmail

with

a

certificate

issued

by

the

china

council

for

the

promotion

ofinternational

trade(china

chamber

of

international

commerce)

attestingsuch

event

or

events.

由于戰(zhàn)爭、地震、洪水、火災(zāi)、暴風(fēng)雨、雪災(zāi)或其他人力不可抗拒的原因,致使賣方不能全部或部分裝運(yùn)合同貨物,賣方對于這種不能裝運(yùn)或延遲裝運(yùn)合同貨物不負(fù)責(zé)任,但賣方須用電話/傳真/電子郵件通知買方,并須在5天內(nèi)用航空掛號信件向買方提交發(fā)生此事故的證明書,該證明書由中國國際貿(mào)易促進(jìn)委員會(中國國際商會)出具。12.

arbitration

conducted

accordance

with

effect

at

time

of

applying

for

arbitration.

The

arbitral

award

is

final

and

binding

upon

both

parties.
