SectionIInstructionstoBiddersI.GeneralScopeofBidTianjinIntroducingLuanheintoTianjinWaterSourceProtectionProjectislocatedinthenorthofTianjin,fromYuqiaoReservoirareatoDazhangzhuangPumpStation,whichtotallengthalongis124.34km.Itismainlycomprisedof3sections,whichareYuqiaoReservoirwatersourceprotectionwork,ConstructionofthenewZhouheRiverCulvert,andreconstructionworkontheexistingopenchannel.TianjinIntroducingLuanheintoTianjinWaterSourceProtectionProjectCo.,Ltd.(hereinafterreferredtoas“theEmployer”)wishestoreceivebidsfortheconstructionandcompletionofZhouheRiverCulvertProject(SectionZ6)asdefinedinthesebiddingdocuments(herinafterreferredtoastheWorks).Theworktobeexecutedunderthiscontractextendfromchainage11+062.786to13+512.786,thetotallengthis2450m.Thedetailsoftheworkcontentsareshowninthesub-clause1.1.2ofClause1oftechnicalspecificationofbids.1.3ThesuccessfulbidderwillbeexpectedtocompletetheWorkswithintwelve(12)monthsfromthedateofcommencementofWorks.2.SourceofFunds2.1TheGovernmentofPeople’sRepublicofChinahasreceivedaloanfromAsianDevelopmentBank(hereinafterreferredtoastheADB),towardsthecostofProjectofIntroducingLuanheintoTianjinWaterSourceProtection.AndintendstoapplypartoftheproceedsofthisloantoeligiblepaymentsunderthecontractforwhichthisInvitationtoBidisissued.PaymentbytheADBwillbymadeonlyattherequestoftheGovernmentofPeople’sRepublicofChinaanduponapprovalbytheADBinaccordancewiththeLoanAgreements,andwillbesubjectinallrespectstothetermsandconditionsofthatAgreement.NopartyotherthantheGovernmentofPeople’sRepublicofChinashallderiveanyrightsfromtheLoanAgreementorhaveanyrightstotheloanproceeds.2.2SourceofFundsalsoincludestheNationalDevelopmentBankandlocalauxiliaryfunds.EligibleBidders3.1ThisInvitationtoBidisopentoprequalifiedbiddersmeetingboththefollowingrequirements:(a)Abidder(includingallmembersofjointventureandallsubcontractorsofabidder)shallbefromaneligiblesourcecountryaslistedinSection5;and(b)Abidder(includingallmembersofjointventureandallsubcontractorsofabidder)shallnotbeaffiliatedwithafirmorentity(1)WhichhasprovidedconsultingservicesduringthepreparatorystagesoftheWorksoftheprojectofwhichtheworkformapart,or(2)Whichhasbeenhired(orisproposedtobehired)asEngineerfortheContract.3.2BiddersshallprovidesuchevidenceoftheireligibilitysatisfactorytotheEmployerastheEmployershallreasonablyrequest.4.EligibleMaterials,EquipmentandServices4.1Thematerials,equipment,andservicetobesuppliedundertheContractshallhavetheiroriginineligiblesourcecountriesasdefinedinClause3.1.1aboveandallexpendituresmadeundertheContractwillbelimitedtosuchmaterials,equipment,andservices.AttheEmployer’srequest,biddersmayberequiredtoprovideevidenceoftheoriginofmaterials,equipment,andservices.4.2ForpurposeofClause4.1oftheInstructionsabove,“origin”meanstheplacewherethematerialsandequipmentareproducedormanufactured,andfromwhichtheservicesareprovided.Materialsandequipmentareproducedwhen,throughmanufacturing,processingorsubstantialormajorassemblingofcomponents,acommerciallyrecognizedproductresultsthatissubstantiallydifferentinbasiccharacteristicsorinpurposeorutilityfromitscomponents.5.QualificationoftheBidder5.1TobequalifiedforawardofContract,biddersshallhavethefollowingqualifications:Thesecond-classqualificationinwaterconservancyandhydraulicpowerconstruction;Duringthepastthree(3)years,thevalueofconstructionworkcompletedannuallymustbenotlessthanonehundredmillionyuanRMB(RMB100,000,000);Duringthepastthree(3)years,havetheexperienceofcompletingreinforcedconcretestructureworksofwaterconservancyprojectsasthegeneralcontractor;ThekeypersonnelshouldhaveworkingexperienceinprojectsofsimilarcharacterwiththeseWorksofnolessthanfive(5)years,inwhichthereshouldbenolessthanthree(3)years’experienceofProjectManageratkeyposts;ApartfromthefundsoccupiedbyothercontractsassumedbytheBidderandwithouttheconsiderationofthepossiblepaymentinadvanceofthisContract,thecirculatingfundandthelineofcreditforthiscontractshallnotlessthantwomillionyuanRMB(RMB2,000,000)andshallbefurnishedbyalocalbankofTianjininthesampleformprovidedinAnnexCofSection9.Allpartnersofanyjointventureshallmeettheabovedemand.Allthepartnersofajointventureshallhavethecorrespondingabilitytoassumethebiddingitem.Asforthoseonwhichthestatehasrelatedregulationsorthebiddingdocumentshaverelatedregulationsonthequalificationsofbidders,allthepartnersshallhavethecorrespondingqualificationstipulatedbytheregulations.Asforthejointventureformedbypartnersofthesamespecialty,thelowerqualificationshallbedeterminedasthequalificationclass.5.2InaccordancewithSection8ofVolumeIIIofthesebiddingdocuments,biddersshallsubmitthefollowingdocumentstodemonstratetheirqualification:AwrittenLegalRepresentativeProoforPowerofAttorneyintheformprovidedin5.3ofsection5,thelegalrepresentativeorauthorizedagentistoassumetheresponsibilityforthebidderinbidding.InaccordancewithClause8.1.1ofsection8,submitbusinesslicenseandcertificatesofconstructionclassqualificationsofthebidder,statingthebidder’sregistrationaddressandmainoperationscopeandaddressandconstructionclassqualifications.InaccordancewithClause8.1.2ofsection8,submittheannualfinishedamountofconstructioninthelast3years.InaccordancewithClause8.1.3ofsection8,submitexperiencesofsimilarworksandcorrespondingproofmaterials.InaccordancewithClause8.1.4ofsection8,submitthebidders’currentcontractcommitment/worksinprogress.InaccordancewithClause8.1.5ofsection8,submitformsofconditionofmainconstructiontoolsandequipment.InaccordancewithClause8.1.6ofsection8,submitthequalificationsandexperiencesofmajormanagementandconstructionpersonneltobeonsiteoroutofsite.InaccordancewithClause8.1.7,submitconditionsofitemsubcontractsthatexceedtenpercent(10%)oftheBidPrice,ifany.InaccordancewithClause8.1.8ofsection8,submitbidders’financialcondition,includingpastthree(3)years’statementofassetsandliabilities,statementoflossandgain,auditreportprovidedbyacertifiedpublicaccountantagent,andfinancingbudgetforthenextfinancialyear.InaccordancewithClause8.1.9ofsection8,submitproofofimmediatecashandcreditline.InaccordancewithClause8.1.10ofsection8,submitapowerofattorneythatauthorizestheEmployertodemandabidder’sfinancialconditionstatementfromthebankerofthebidder.InaccordancewithClause8.1.11ofsection8,documentsofthecurrentlitigationsconcerningbidders(iftheyhave).InaccordancewithClause8.1.12ofsection8,submitstatementthatfulfillsClause3inInstructiontoBiddersInaccordancewithClause8.2.3ofthesection8,submitthepowerofattorneyfortheresponsiblepartyofajointventure(ifitisajointventure).InaccordancewithClause8.2.5ofthesection8,submitacopyofthejointventureagreementsignedbyeachmemberofthejointventure(ifitisajointventure).5.3.ThequalificationprocessoftheProjectwilladopt“thesystemof100points”,whichwillmarkthebidder’sfinancialcapacity,technologicalcapacityandconstructionexperience.Foranindependentbidder,thebidder’sfinancialcapacity,technologicalcapacityandconstructionexperienceshouldatleastreach50%oftheindividualfullmarkseparately,andthetotalshallnotlessthan60points.Asforajointventure,theresponsiblepartnerofthejointventureshallmeetthedemandofconstructionexperienceanditsfinancialcapacityshallbenotlowerthan40%ofthefullmark.Otherpartnersofthejointventureshallnotlowerthan25%ofthefullmarkindividually.5.4Bidssubmittedbyajointventureoftwoormorefirmsaspartnersshallcomplywiththefollowingrequirements:Thebid,andincaseofasuccessfulbid,theFormofAgreement,shallbesignedwiththesignatureofallpartnersofthejointventure,soastobelegallybindingonallpartners.Anexecutivepartnershallbeauthorizedtobeinchargeofthepartners,andthisauthorizationshallbeevidencedbysubmittingapowerofattorneysignedbylegallyauthorizedsignatoriesofallthepartners.TheexecutivepartnershallbeauthorizedtoincurliabilitiesandreceiveinstructionsforandonbehalfofanyorallpartnersofthejointventureandtheentireexecutionoftheContractincludingpaymentshallbedoneexclusivelywiththepartnerincharge.AllpartnersofthejointventureshallbejointlyandseverallyliablefortheexecutionoftheContractinaccordancewiththeContractterms,andarelevantstatementtothiseffectshallbeincludedintheauthorizationmentionedunderClauseaboveaswellasinthe,BidFormandtheFormofAgreement(incaseofasuccessfulbid).5.4.5Acopyoftheagreemententeredintobythejointventurepartnersshallbesubmittedwiththebid.5.5InaccordancewithClause8.1.13ofSection8ofthesebiddingdocuments,the5.6Biddersshallalsosubmitproposalsofworkmethodsandschedule,insufficientdetailtodemonstratetheadequacyofthebidders’proposalsoftomeetthetechnicalspecificationsandcompletiontimereferredtoinSub-Clause1.3above.6.OneBidperBidderEachbiddershallsubmitonlyonebideitherbyhimself,orasapartnerinajointventure.Abidderwhosubmitsorparticipatesinmorethanonebidwillbedisqualified.7.CostofBiddingThebiddershallbearallcostsassociatedwiththepreparationandsubmissionofhisbidandtheEmployerwillinnocaseberesponsibleorliableforthosecosts.8.SiteVisit8.1ThebidderisadvisedtovisitandexaminetheSiteofWorksanditssurroundingsandobtainforhimselfonhisownresponsibilityallinformationthatmaybenecessaryforpreparingthebidandenteringintoacontractforconstructionoftheWorks.ThecostsofvisitingtheSiteshallbeatthebidder’sownexpense.8.2ThebidderandanyofhispersonneloragentwillbegrantedpermissionbytheEmployertoenteruponhispremisesandlandsforthepurposeofsuchinspection,butonlyupontheexpressconditionthatthebidder,hispersonnelandagents,willreleaseandindemnifytheEmployerandhispersonnelandagentsfromandagainstallliabilityinrespectthereofandwillberesponsiblefordeathorpersonalinjury,lossofordamagetopropertyandanyotherloss,damage,costandexpensesincurredasaresultoftheinspection.8.3TheEmployermayconductaSitevisitconcurrentlywiththePre-BidMeetingreferredtoinClause19.BiddingDocuments9.ContentofBiddingDocuments9.1ThebiddingdocumentsarethosestatedbelowandshouldbereadinconjunctionwithanyAddendaissuedinaccordancewithClause11oftheseInstructions:InvitationforBidsVolume1InstructionstoBiddersConditionsofContractContractDataVolume2TechnicalSpecificationsVolume3FormsofBid,AnnexesofBid,ProofofLegalRepresentativeorPowerofAttorney,BidSecurityandListofEligibleMemberCountriesoftheAsianDevelopmentBankBillofQuantitiesSampleFormofAgreementandAnti-CorruptionAgreement.QualificationDocumentsSampleFormsofSecurities10)Drawings9.2ThebidderisexpectedtoexaminecarefullythecontentsoftheBiddingDocuments.Failuretocomplywiththerequirementsofbidsubmissionwillbeatthebidder’sownrisk.PursuanttoClause28oftheseInstructions,bidswhicharenotsubstantiallyresponsivetotherequirementoftheBiddingDocumentswillberejected.10.ClarificationofBiddingDocuments10.1AprospectivebidderrequiringanyclarificationofthebiddingdocumentsmaynotifytheEmployerinwriting,byfaxorbycable(hereinafter,theterm“cable”isdeemedtoincludetelexandfacsimile)attheEmployer’saddressindicatedintheInvitationforBids.TheEmployerwillrespondtoanyrequestforclarificationwhichhereceivesearlierthanfourteen(14)dayspriortothedeadlineforsubmissionofbids.CopiesoftheEmployer’sresponse,willbeforwardedtoallpurchasersofthebiddingdocuments,includingadescriptionoftheenquiry.11.AmendmentofBiddingDocumentsAtanytimepriortothedeadlineforsubmissionofbids,theEmployermay,foranyreason,whetherathisowninitiativeorinresponsetoaclarificationrequestedbyaprospectivebidder,modifythebiddingdocumentsbyissuingaddenda.AnyAddendumthusissuedshallbepartofthebiddingdocuments,andshallbecommunicatedinwriting,byfaxorbycabletoallpurchasersofthebiddingdocuments.Prospectivebidders,shallacknowledgereceiptofeachaddenduminwriting,byfaxorbycabletotheEmployer.Toaffordprospectivebiddersreasonabletimeinwhichtotakeanaddendumintoaccountinpreparingtheirbids,theEmployermayextendthedeadlineforsubmissionofbids,inaccordancewithClause22.PreparationofBidsLanguageofBidThebidandallcorrespondenceanddocuments,relatedtothebid,exchangedbetweenthebidderandtheEmployershallbewrittenintheChineselanguage.SupportingdocumensandprintedliteraturefurnishedbythebiddermaybeinanotherlanguageprovidedtheyareaccompaniedbyanaccuratetranslationoftherelevantpassagesintheChineselanguage,inwhichcase,forpurposeofinterpretationothebidtheEnglishtranslationshallprevail.DocumentsComprisingtheBidThebidsubmittedbythebiddershallcomprisethefollowing:BidFormanditsAnnex;Bidsecurity;PricedBillofQuantities;theInformationonEligibilityandQualification;alternativeofferswhereinvited;andanyothermaterialsrequiredtobecompletedandsubmittedinaccordancewiththeseInstructionstoBidders.thedocumentslistedunderSection5,6,and7ofSub-clause9.1shallbefilled-inwithoutexception,subjecttoextensionthereofinthesameformatandtotheprovisionsofSub-clause17.2regardingthealternativeformsofbidsecurity.13.2BiddersbiddingforthisContracttogetherwithothercontractstoformapackage,willsoindicateintheFormofBid,togetherwithanydiscountsofferedfortheawardofmorethanonecontract.BidPricesUnlessotherwisestatedinthebiddingdocumentstheContractshallbeforthewholeoftheWorksasdescribedinSub-Clause1.1,basedonthescheduleofunitratesandpricessubmittedbythebidder.ThebiddershallfillinratesandpricesforallitemsoftheWorksdescribedintheBillofQuantities.ItemsagainstwhichnorateorpriceisenteredbythebidderwillnotbepaidforbytheEmployerwhenexecutedandshallbedeemedcoveredbytheotherratesandpricesdescribedintheBillofQuantities.Allduties,taxes,andotherleviespayablebytheContractorundertheContract,orforanyothercause,asofthedatetwenty-eight(28)dayspriortothedeadlineforsubmissionofbids,shallbeincludedtheratesandpricesandthetotalbidpricesubmittedbythebidderandtheevaluationandcomparisonofbidsbytheEmployershallbemadeaccordingly,exceptthatanydutiestaxesandotherleviespayablebycontractorsonconstructionequipmentwhichisbeingimportedforthepurposesoftheWorksandwhichwillbere-exporteduponcompletionoftheWorks,maybeseparatelyidentifiedandwillinsuchcasebeexcludedinthecomparisonofbids.TheratesandpricesquotedbythebiddershallbefixedforthedurationoftheContractandshallnotbesubjecttoadjustmentonanyaccountexceptasprovidedotherwiseintheContract.14.5BeforeDeadlineforSubmissionofBids,thebiddershallnotchangethetotalbidpriceintheformofpricereductionletter.Inanycasethatthebidpriceisaltered,thepricequotedforcorrespondingitemsshallbealteredandthechangesinvariousquotedpriceinbillofquantitiesandalteredunitpriceanalysistableshallbestated.Otherwise,theoriginalbidpricewillbetakenforevaluation.CurrenciesofBidandPaymentTheunitratesandthepricesshallbequotedbythebidderentirelyinRMB.PaymentoftheContractwillbemadeentirelyinRMB.15.3BiddersshallindicatetheirexpectedforeigncurrencyrequirementsintheContractData,includingbutnotlimitedtothespecificrequirementsfor(a)expatriatestaffandlaboremployeddirectlyontheWorks;(b)social,insurance,medicalandotherchargesrelatingtosuchexpatreatestaffandlabor,andforeigntravelexpenses;(c)importedmaterials,bothtemporaryandpermanent,includingfuels,oilandlubricantsrequiredfortheWords;(d)depreciationandusageofimportedPlantandContractor’sEquipment,includingspareparts,requiredfortheworks;(e)foreigninsuranceandfreightchargesforimportedmaterials,PlantandContractor’Equipment,includingspareparts;and(f)overheadexpenses,fees,profit,andfinancialchargesarisingoutside(nameofEmployer’scountry)inconnectionwiththeWorks.15.4BiddersmayberequiredbyhtheEmployertoclarifytheirforeigncurrencyrequirements,andtosubstantiatethattheamountsincludedintheunitratesandprecesandshownintheContractDataarereasonableandresponsivetoSub-ClauseDuringtheprogressoftheWorks,theforeigncurrencyrequirementsoftheoutstandingbalanceoftheContractpricemaybeadjustedbyagreementbetweentheEmployerandtheContractouinordertoreflectanychangesinforeigncurrencyrequircmentsfortheContract.AnysuchadjustmentshallbeeffectedbycomparingthepercentagesquotedinthebidwiththeamountsalreadyusedintheWorksandtheContractor’sfutureneedsforimporteditems.BidValidityBidsshallremainvalidforaperiodofonehundredandeighty(180)daysafterthedateofbidopeningspecifiedinClause25oftheseInstructions.16.2Inexceptionalcircumstances,priortoexpiryoftheoriginalbidvalidityperiod,theEmployermayrequestthatthebiddersextendtheperiodofvalidityforaspecifiedadditionalperiod.Therequestandtheresponsestheretoshallbemadeinwriting,byFaxorbycable.Abiddermayrefusetherequestwithoutforfeitinghisbidsecurity.Abidderagreeingtotherequest,willnotberequiredorpermittedtomodifyhisbid,butwillberequiredtoextendedthevalidityofhisbidsecurityfortheperiodoftheextension,andincompliancewithClause17inallrespects.BidSecurityThebiddershallfurnish,aspartofhisbid,abidsecurityintheamountofnolessthanonepercent(1%)ofthebidprice.Thebidsecurityshall,atthebidder’soption,beintheformofacertifiedcheck,bankdraft,orguaranteefromafortheperiodoftheextension,andincompliancewithClause17inallrespectsbank.TheformatofthebankguaranteeshallbeinaccordancewiththesampleformofbidsecurityincludedinSection5.Bankguaranteesissuedassuretyforthebidshallbevalidfortwenty-eight(28)daysbeyondthevalidityofthebid.Theoriginalcopyofthebidsecuritymustbesubmittedwiththeoriginalcopyofthebiddocument,otherwise,theemployershallnotberesponsibleforanylossofordamage,tothebidguarantee.Anybidnotaccompaniedbyanacceptablebidsecurity,shallberejectedbytheEmployerasnonresponsive.Thebidsecuritiesofunsuccessfulbidderswillbereturnedaspromptlyaspossibleaftertheexpirationoftheperiodofbidvalidity(withnointerest).ThebidsecurityofthesuccessfulbidderwillbereturnedwhenthebidderhassignedtheAgreementandfurnishedtherequiredperformancesecurity.(Nointerest)Thebidsecuritymaybeforfeited:(a)ifthebidderwithdrawshisbidduringtheperiodofbidvalidity;(b)ifthebidderdoesnotacceptthecorrectionofhisbidprice,pursuanttoSub-Clause29.2oftheseInstructions;or(c)incaseofasuccessfulbidder,ifhefailswithinthespecifiedtimelimittoSigntheAgreement,orFurnishtherequiredperformancesecurity,orFurnishtherequiredperformancesecurity.AlternativeProposalsbyBiddersAlternativesproposalswillnotbeconsideredinthisbidding.Pre-bidMeeting19.1Thebidderorhisofficialisinvitedtoattendapre-bidmeetingwhichwilltakeplaceatroom#2onthe2ndfloorofthegroundbusinessareaofNo.1building,Guangshunyuan,GuangdongRd.,HexiDistrict,Tianjinon9o’clockon2002.9.6[BeijingTime].19.2Thepurposeofthemeetingwillbetoclarifyissuesandtoanswerquestionsonanymatterthatareraisedbybidders.19.3Thebidderisrequestedtosubmitanyquestionsinwriting,byFaxorbycable,toreachtheEmployernotlaterthanthree(3)daysbeforethemeeting19.4Minutesofthemeeting,includingthetextofthequestionsraisedandresponsesgiven,willbetransmittedwithoutdelaytoallpurchasersofthebiddingdocuments.AnymodificationofthebiddingdocumentslistedinSub-Clause9.1oftheInstructionswhichmaybecomenecessaryasaresultofthepre-bidmeetingshallbemadebytheEmployerexclusivelythroughtheissueofanAddendumpursuanttoClause11oftheseInstructionsandnotthroughtheminutesofthespre-bidmeeting.19.5Nonattendanceatthepre-bidmeetingwillnotbeacausefordisqualificationofabidder.FormatandSigningofBidThebiddershallprepareoneoriginaland5copiesoftheBiddocumentscomprisingthebidasdescribedinClause13oftheseInstructionstoBidders,boundwiththevolumecontainingtheFormofBid,andclearlymarked“ORIGINAL”and“COPY”asappropriate.Intheeventofdiscrepancybetweenthem,theoriginalshallprevail.Theoriginalandallcopiesofthebidshallbetypedorwritteninindelibleink(inthecaseofcopies,photostatsarealsoacceptable)andshallbesignedandsealedbyapersonorpersonsdulyauthorizedonbehalfofthebidder,pursuanttoSub-Clause5.2.1or5.3.3oftheseInstructions.asthecasemaybe.EachpageofthebillofquantitiesandunitpriceanalysistableshouldbesignedandsealedwiththeofficialsealbythelegalrepresentativeofthebidderortheauthorizedagentpursuanttoSub-Clause5.2.1or5.3.3.Allpagesofthebidwhereentriesoramendmentshavebeenmadeshallbeinitialledbythepersonorpersonssigningthebid.Thebidshallcontainnoalternations,omissionsoradditions,exceptthosetocomplywithinstructionsissuedbytheEmployer,orasnecessarytocorrecterrorsmadebythebidder,inwhichcasesuchcorrectionsshallbeinitialedbythepersonorpersonssigningthebid.SubmissionofBidsSealingandMarkingofBidsThebiddershallsealtheoriginalandeachcopyofthebidinaninnerandanouterenvelope,dulymarkingtheinnerenvelopesas“ORIGINAL”and“COPY”.TheinnerandouterenvelopesshallBeaddressedtotheEmployer:TianjinYinluanIntroducingLuanheintoTianjinWaterSourceProtectionProjectCo.,Ltd.atthefollowingaddress:2#onthe2ndfloorofthegroundbusinessareaofNo.1building,Guangshunyuan,GuangdongRd.HexiDistrict,Tianjin.(insidetheTianjinWat
