JoyEasyInvestmentCompanyLtdBuyer’s/買家東莞市高企貿(mào)易有限公司W(wǎng)eagreetothisnon-circumventionandnon-disclosureagreement.(BasedonICCpublicationlatestParisEdition)1.Weagreethatallinformation,includingcontacts,programs,introductiontoindividuals,companies,programs,andallotherindividualsorentitiesandallcontracts,procedures,forms,lettersandailothercommunicationsbetweenustoorit,bewithoutpriorconsentoftheprovider.Thisagreementbindsanypersonorentitywhicheitherpartyisamemberof,principaloragentfor,associatedwith,employeeassignee,consultant,successor,client,contractor,orwhichcouldbenefitfinanciallyfrompresentand,future,businessand/orcontactsorinformationofeitherparty.

2.Weagreetocontactandinformtheotherpartywithallnecessaryinformation,data,andintroductionpriortomeetingwithorcontactinganythirdpartyconnectedwaybetweenthepartiesbysendingacopyofeachcontactand/orcommunicationwiththeprovider.3.Facsimile,andE-mailshallsameforceeffectoriginals.）4.Thisisevergreenafortransactionperiods,affixedbelow.totransactionsnowandinthefuturebetweentheparties,includingsubsequentrenewals,extensions,re-negotiations,additions,rollovers,oranyparallelthirdpartyagreementofthesame,includingtransactionsparent/subsidiarypersons,companiesorentities.Itisvalidandenforceableregardlessofthesuccessoffailureoftheinitialtransactionorthesuccessorfailureofanyproject.5.Non-Disclosure:Signatoriesagreetokeepconfidentialaddresses,description,employeesnames,faxnumbers,names,phonesnumbers,andotherrelatedpartieseitherdirectlyindirectlyidentifyingshall

notbedisclosed,toanyonebyanothersignatorywithouttheexpresswrittenpermissionoftheintroducingsignatory.6.Non-Circumvention:Eachsignatoryagreenottomakecontactdirectoryorindirectlywithorbeinvolvedinanytransactionwithanyconfidentialpartiestothisagreementwithouttheexpresswrittenpermissionfromtheintroducingsignatory.7.Relationshipofsignatories:Exceptasotherwiseagreedtoinwriting,nosignatoryistheproxyorpartneroftheothersignatoryorsignatories.8.WeagreetoimmediatelyterminatecontactwithanythirdpartycontactattherequestFailuretheoffendershallbeliableasabove.9.Thepartiesagreethattheywillinwaycircumventtheotherinanyfinancialtransactionnoworinthefutureusingsuchinformation,orapproachinganysuchcontactdirectlyorthough.Anyotherpersonorentityuponbreachofanytermofthisagreement,theinjuredpartymayrecoverondemanddamaged,liquidateddamagesequaltowhattheirbenefitwouldhavebeen,orinjunctiverelief,pluslegalcostsandfees.Shouldcircumventionoccurorbeattempted,allpending

connection,actionsandcontactsarisingoutoftheinformationshallbeimmediatelycancelled.Inadditiontolegalremedies,fees,oranticipatedcompensation,committedoragreedtoshallbedueandpayabletotheproviderimmediatelyupondemand.10.Governinglaw:ClaimsanddisputesinconnectionwiththisagreementshallbeinaccordConventions,unlessinwiththerespecttothevenueofanybreach.11.Breach:Intheeventofbreachofthisagreement,itisagreedthatthedamagedpartyreceivesasdamagesanycommissionorotherremunerationthedefaultingpartyreceiveseitherdirectlyorindirectly,asaresultofthebreach,oranycommissionthatreferringwouldearnedtherebeenbreach,atoption.defaultingortolegalrelateduponofinjurisdictionoverofofsignatoryagainstwhomitismade;andotherwisetopayotherrelatedexpenseswhetherincourtoroutofcourttocompelthepaymentofthedamagesprovidedforherein.

12.MiscellaneousProvisions:ClaimsdisputesinconnectionrelatingthisagreementshallbefinallysettledundertherulesofconciliationandarbitrationoftheInternationalchamberofCommerce(ICC)(Rules)1989editionandamendmentsthereto,also,thatlettersofcredit,andmadeundertheauspicesofthisdocumentwillbegovernedasabove.Allsignatoriestothisagreementtobebylaterofallpartiesafterthedateoffirstnotarizationoftheagreement.條版案13.Pre-existingRelationship:Itisunderstoodthatanycontractrelationshippresentlyinexistencethesigningthisagreementwillunaffected.14.TermsofAgreement:Thetermsofthisagreementshallbefive(5)yearsfromthedateexecutionthisagreement.shallextended(5)yearsthedateofanytransactionenteredintoorinitiatedbyanyofthesignatoriesorconfidentialparties.
