levaantchhargess.第九條雙方方責(zé)任Articcle9RespoonsibiilitieesofthePPartiees9.1發(fā)包人責(zé)任RespoonsibiilitieesoftheEEmployyer發(fā)包人按本本合同第五條條規(guī)定的內(nèi)容容，在規(guī)定的的時間內(nèi)向設(shè)設(shè)計人提交基基礎(chǔ)資料及文文件，并對其其完整性、正正確性及時限限負(fù)責(zé)。發(fā)包包人不得要求求設(shè)計人違反反國家有關(guān)標(biāo)標(biāo)準(zhǔn)進行設(shè)計計。發(fā)包包人提交上述述資料及文件件超過規(guī)定期期限15天以內(nèi)，設(shè)設(shè)計人按本合合同第六條規(guī)規(guī)定的交付設(shè)設(shè)計文件時間間順延；發(fā)包包人交付上述述資料及文件件超過規(guī)定期期限15天以上時，設(shè)設(shè)計人有權(quán)重重新確定提交交設(shè)計文件的的時間。TheEEmployyershhallssubmitttoDDesignnerbaasicmmateriialsaanddoocumenntswiithinspeciifiedperioodasproviidediinArtticle5ofthiscontrractaandshhallbberessponsiiblefforthhecommpleteeness,,accuuracyandttimellimitofthhematteriallsandddocuumentss.TheeEmplloyershalllnotrequiirethheDessignerrtocconducctdessigniinvioolatioonofrelevvantnnationnalsttandarrds.Inncaseetherreisadellayofflesssthann15ddayseexceeddingtthesppecifiiedtiimeliimitfforthhedelliveryyofttheabbovemmateriialsaanddoocumenntsbyytheEmplooyer,thettimellimitforttheDeesigneertodelivverdeesigndocummentsshalllbeeextenddedacccordiingly;;inccasetthereisadelayyofmmoretthan115dayysexcceedinngtheespeccifieddtimeelimiitforrthedelivveryooftheeabovvematteriallsandddocuumentssbyttheEmmployeer,thheDessignerrshalllhavvetheerighhttore-deetermiinethhetimmeforrdeliiveryofthhedessignddocumeents.發(fā)包人變更委托托設(shè)計項目、規(guī)規(guī)模、條件或或因提交的資資料錯誤，或或所提交資料料作較大修改改，以致造成成設(shè)計人設(shè)計計返工時，雙雙方除另行協(xié)協(xié)商簽訂補充充協(xié)議（或另另訂合同）、重重新明確有關(guān)關(guān)條款外，發(fā)發(fā)包人應(yīng)按設(shè)設(shè)計人所耗工工作量向設(shè)計計人支付返工工費。在在未簽訂合同同前發(fā)包人已已同意，設(shè)計計人為發(fā)包人人所做的各項項設(shè)計工作，發(fā)發(fā)包人應(yīng)支付付相應(yīng)設(shè)計費費。IncaaseofftheDesiggner’srewworkoontheedesiignreesulteedforrchanngesooftheeengiineeriing,ssizeaandcoonditiionsooftheedesiignbyytheEmplooyeroormisstakessoftthemaateriaalssuubmitttedorrmajoorrevvisionnontthesuubmitttedmaateriaals,tthePaartiessshalllconncludeesuppplemenntaryagreeementseparratelyy(orconclludeaadditiionalagreeement))andredeffinerrelevaantteermsaandcoonditiions,andttheEmmployeershoouldppaychhargessforreworrktotheDDesignneracccordiingtootheworklload.TTheEmmployeerhassagreeedbeeforethecconcluusionofthheconntracttthattitwwillppaychhargessofddesignntottheDeesigneerforralltheddesignnworkksconnducteedbytheDDesignner.在合同履行期間間，發(fā)包人要要求終止或解解除合同，設(shè)設(shè)計人未開始始設(shè)計工作的的，不退還發(fā)發(fā)包人已付的的定金；已開開始設(shè)計工作作的，發(fā)包人人應(yīng)根據(jù)設(shè)計計人已進行的的實際工作量量，不足一半半時，按該階階段設(shè)計費的的一半支付；；超過一半時時，按該階段段設(shè)計費的全全部支付。Duriingthheperrformaanceooftheeconttract,,ifttheEmmployeerreqquiresstotterminnateoorcannceltthecoontracctbefforettheDeesigneerstaartstthedeesignwork,,theDesiggnerwwillnnotreeturntheddownppaymenntalrreadypaidbythheEmpployerr;iftheDDesignnerhaasstaartedtheddesignnworkk,theeEmplloyershalllpayforttheacctualworklloadaalreaddydonnebytheDDesignner.WWhenttheacctualworklloadooftheedesiignisslesssthannhalffoftthewoorkattthestagee,theeEmplloyershalllpayhalfofthhepayymentfortthedeesignworkatthhestaage.WWhenttheacctualworklloadooftheedesiignissmoreethannhalffoftthewoorkattthestagee,theeEmplloyershalllpayalltthepaaymenttfortheddesignnworkkattthesttage.發(fā)包人必須按合合同規(guī)定支付付定金，收到到定金作為設(shè)設(shè)計人設(shè)計開開工的標(biāo)志。未未收到定金，設(shè)設(shè)計人有權(quán)推推遲設(shè)計工作作的開工時問問，且交付文文件的時間順順延。TheEEmployyershhouldpayddownppaymenntasproviidedbbytheeconttractandrreceipptofdownpaymeentwiillbeethesymboolforrthecommeencemeentoffthedesiggnworrkbytheDDesignner.TTheDeesigneershaallhaavethherigghttooputofftthecoommenccementtdateeoftthedeesignworkifitthasnotrreceivvedthhedowwnpayymentandtthetiimefoordelliveryyshalllbeextenndedaaccorddinglyy.發(fā)包人應(yīng)按本合合同規(guī)定的金金額和日期向向設(shè)計人支付付設(shè)計費，每每逾期支付一一天，應(yīng)承擔(dān)擔(dān)應(yīng)支付金額額千分之二的的逾期違約金金，且設(shè)計人人提交設(shè)計文文件的時間順順延。逾期超超過30天以上時時，設(shè)計人有有權(quán)暫停履行行下階段工作作，并書面通通知發(fā)包人。發(fā)發(fā)包人的上級級或設(shè)計審批批部門對設(shè)計計文件不審批批或本合同項項目停緩建，發(fā)發(fā)包人均應(yīng)支支付應(yīng)付的設(shè)設(shè)計費。TheEEmployyershhouldpaycchargeesforrdesiigntootheDesiggneraattheeamouuntannddatteproovideddintthisCContraact.FForeaachdaayofoverdduepaaymentt,2‰ofttheovverdueepaymmentsshallbepaaidassdamaagesfforovverdueepaymmentaandthhetimmeforrdeliiverybythheDessignerrshalllbeextenndedaaccorddinglyy.Wheerethhedellayoffpaymmenthhasexxceedeed30days,,theDesiggnersshallhavetherrighttosuuspenddtheperfoormancceofthewworkaattheenexttstaggeanddgiveewritttennnoticeetottheEmmployeer.Inncaseethehigheerautthorittyorcompeetentdeparrtmenttofddesignnapprrovalwoulddnotapproovethhedessignddocumeentsoortheeengiineeriingcoonstruuctionnoftthisccontraactisssusppendeddorsstoppeed,thheEmplloyershoulldpayythepayabblechhargessfordesiggn.發(fā)包人要求設(shè)計計人比合同規(guī)規(guī)定時間提前前交付設(shè)計文文件時，須征征得設(shè)計人同同意，不得嚴(yán)嚴(yán)重背離合理理設(shè)計周期，且且發(fā)包人應(yīng)支支付趕工費。IftheEmplooyerrrequirretheeDesiignertodeeliverrytheedesiigndoocumenntsinnadvaance,itshhouldgetttheprriorcconsenntoftheDDesignnerwiithouttseriiousddeviattionffromtthereeasonaableddesignncirccle,aandthheEmpployerrshalllpayythecrushhcostt.發(fā)包人應(yīng)為為設(shè)計人派駐駐現(xiàn)場的工作作人員提供工工作、生活及及交通等方面面的便利條件件及必要的勞勞動保護裝備備。TheEmpployerrshouuldofffercconvennienceesinaspecctsoffworkking,livinnganddtraffficaandneecessaarylaabor-pprotecctionequippmentss.設(shè)計文件中中選用的國家家標(biāo)準(zhǔn)圖、部部標(biāo)準(zhǔn)圖及地地方標(biāo)準(zhǔn)圖由由發(fā)包人負(fù)責(zé)責(zé)解決。TheEEmployyershhallbberessponsiiblefforthhenattionallstanndarddrawiing,mministteriallstanndarddrawiinganndloccalsttandarrddraawingss.承擔(dān)本項目外國國專家來設(shè)計計人辦公室工工作的接待費費（包括傳真真、電話、復(fù)復(fù)印、辦公等等費用）。TheEmplooyersshallbeartheeexpenssesfoorrecceivinngforreignexperrtincharggeoftheeengineeeringgtottheDeesigneer’sofffice((incluudingexpennsesoonfaxx,tellephonneanddoffiiceafffairss).9.2設(shè)計計人責(zé)任Desiggner’sressponsiibilitties設(shè)計人應(yīng)按按國家規(guī)定和和合同約定的的技術(shù)規(guī)范、標(biāo)標(biāo)準(zhǔn)進行設(shè)計計，按本合同同第六條規(guī)定定的內(nèi)容、時時間及份數(shù)向向發(fā)包人交付付設(shè)計文件（出出現(xiàn)9.1.1、9.1.2、9.1.4、9.1.5規(guī)定有關(guān)交交付設(shè)計文件件順延的情況況除外）。并并對提交的設(shè)設(shè)計文件的質(zhì)質(zhì)量負(fù)責(zé)。TheDessignerrshouuldcaarryooutdeesignworkinacccordaancewwithttechnoologiccalruulesaandsttandarrdsprrovideedinthiscontrractoortheestatte,annddelliverdesiggndoccumenttsastheccontennt,tiimeanndcoppiessspeciffiediinArtticle6ofthisContrract((excepptforrthecircuumstanncespproviddedinnArt..,9..1.2,9.1.44,9.11.5unnderwwhichtheddeliveeryoffdesiigndoocumenntsmaaybeextennded),,andshalllberresponnsibleefortheqqualittyoftheddesignndocuumentss.9.2.2設(shè)計合理使使用年限為年。Thedessignllifeooftheeengiineeriingcoonstruuctionnshalllbeyearss.負(fù)責(zé)對外商的設(shè)設(shè)計資料進行行審查，負(fù)責(zé)責(zé)該合同項目目的設(shè)計聯(lián)絡(luò)絡(luò)工作。TheDesiggnersshallbereesponssiblefortthesccrutinnyonthefforeiggninvvestorr’sdessignmmateriialanndconntactonthhedessignooftheeengiineeriing.設(shè)計人對設(shè)計文文件出現(xiàn)的遺遺漏或錯誤負(fù)負(fù)責(zé)修改或補補充。由于設(shè)設(shè)計人設(shè)計錯錯誤造成工程程質(zhì)量事故損損失，設(shè)計人人除負(fù)責(zé)采取取補救措施外外，應(yīng)免收受受損失部分的的設(shè)計費，并并根據(jù)損失程程度向發(fā)包人人支付賠償金金，賠償金數(shù)數(shù)額由雙方商商定為買際損損失的％。TheDDesignnershhallbberessponsiiblefforthherevvisionnorssuppleementtothhemisstakessoroomissiionoffthedesiggndoccumentts.IffanyenginneerinngquaalityacciddentshappeenbeccauseofthheDessignerr’sfaultt,theeDesiignershoulldberespoonsiblleforrtakiingreemediaalmeaasuressaswwellaasredducetthedeesigncharggesonntheaffecctedppartooftheedesiignwoorkanndcommpensaatethheEmpployerraccoordinggtotthedeegreeoflooss.TTheammountofthhedammagesforccompennsatioonshaallbeedisccusseddanddeterrmineddbytthePaartiessas%%ofttheacctualloss..由于設(shè)計人原因因，延誤了設(shè)設(shè)計文件交付付時間，每延延誤一天，應(yīng)應(yīng)減收該項目目應(yīng)收設(shè)計費費的千分之二二。IfthhedelliveryyofddesignndocuumentssaredelayyedfoortheeDesiigner’sreaason,eachdayooverduuewilllressulteddintthereeductiionoff2‰oftthedeesigncharggesfoortheeengiineeriing.合同生效后，設(shè)設(shè)計人要求終終止或解除合合同，設(shè)計人人應(yīng)雙倍返還還發(fā)包人已支支付的定金。Afterrthecontrracteenterintoforcee,theeDesiignermayrrequirreterrminattionoorcanncellaationofthheconntracttandtheDDesignnershhouldreturrntheedownnpaymmentiindouuble.設(shè)計人交付設(shè)計計文件后，按按規(guī)定參加有有關(guān)上級的設(shè)設(shè)計審查，并并根據(jù)審查結(jié)結(jié)論負(fù)責(zé)不超超出原定范圍圍的內(nèi)容做必必要調(diào)整補充充。設(shè)計人按按合同規(guī)定時時限交付設(shè)計計文件一年內(nèi)內(nèi)項目開始施施工，負(fù)責(zé)向向發(fā)包人及施施工單位進行行設(shè)計交底、處處理有關(guān)設(shè)計計問題和參加加竣工驗收。在在一年內(nèi)項目目尚未開始施施工，設(shè)計人人仍負(fù)責(zé)上述述工作，可按按所需工作量量向發(fā)包人適適當(dāng)收取咨詢詢服務(wù)費，收收費額由雙方方商定。Upondelivveryooftheedesiigndoocumennts,ttheDeesigneershaallpaarticiipateinthheinsspectiiononnthedesiggnbytherrelevaanthiigherauthoorityasprrovideeandshalllberresponnsibleefornecesssaryadjusstmenttandsuppllementtstotheccontenntwitthinttheorriginaalscoopeoffthedesiggnacccordinngtotheiinspecctionconcllusionn.TheeDesiignershalllstarrttheeconsstructtionwwithinnoneyearupondelivveryooftheedesiigndoocumenntswiithinthesspeciffiedttimellimitandsshallbereesponssibleforttheteechnollogicaaldissclosuuretootheEmplooyeraandcoonstruuctionnunitt,hanndlinggwithhreleevantmatteersonndesiignanndparrticippationninttheaccceptaanceuuponccompleetionofthheenggineerringcconstrructioon.Inncaseetheenginneerinngconnstrucctionhasnnotsttarteddwithhinonneyeaar,thheDessignerrshalllstiillbeerespponsibblefoortheeabovveworrkanddmaycolleectreeasonaablesserviccefeeeforconsuultanccyfroomtheeEmplloyeraccorrdingtothheneeededwworklooad.TTheammountofthheserrvicefeesshallbediiscusssedannddetterminnedbyythePartiies.第十條保密密Articcle100Conffidenttialitty雙方方均應(yīng)保護對對方的知識產(chǎn)產(chǎn)權(quán)，未經(jīng)對對方同意，任任何一方均不不得對對方的的資料及文件件擅自修改、復(fù)復(fù)制或向第三三人轉(zhuǎn)讓或用用于本合同項項目外的項目目。如發(fā)生以以上情況，泄泄密方承擔(dān)一一切由此引起起的后果并承承擔(dān)賠償責(zé)任任。BothPartiiesshhallpproteccteacchothher’sinttellecctualpropeertyrrightss.Witthoutpriorrconssent,neithherpaartysshallrevisse,coopyorrtrannsfertoathirddparttyorusefforthheproojectotherrthanntheprojeectoffthissConttractanymmateriialsaanddoocumenntsofftheotherrpartty.Unnderssuchccircummstancces,tthediisclossingppartyshalllberresponnsibleeforallttheannyconnsequeenceiitressulteddandshalllbearrtherelevvantccompennsatioon第十一條仲裁裁Articcle111:Arbbitrattion本建建設(shè)工程設(shè)計計合同發(fā)生爭爭議，由雙方方當(dāng)事人協(xié)商商解決,協(xié)商不成的的按下列第(一)種方式解決:(一)提交仲裁委委員會仲裁;(二)依法向人民民法院起訴。Ifannydissputessariss
