toenquiriesofcredit,experienceandindustryreferencessetoutintheBid;InformationreceivedinresponsetoenquiriesmadebytheOwnerofthirdpartiesapartfromthosedisclosedintheBidinrelationtothereputation,reliability,experienceandcapabilitiesoftheBidder;ThemannerinwhichtheBidderprovidesservicestoothers;TheexperienceandqualificationoftheBidder’sseniormanagement,andprojectmanagement;ThecomplianceoftheBidderwiththeOwner’srequirementsandspecifications;andInnovativeapproachesproposedbytheBidderintheBidwhererequestedintheBidDocuments.TheBidderacknowledgesthattheOwnermayrelyuponthecriteriawhichtheOwnerdeemsrelevant,eventhroughsuchcriteriamaynothavebeendisclosedtotheBidder.BysubmittingaBid,theBidderacknowledgestheOwner’srightsunderthisSectionandabsolutelywaivesanyright,orcauseofactionagainsttheOwneranditsconsultants,byreasonoftheOwner’sfailuretoaccepttheBidsubmittedbytheBidder,whethersuchrightorcauseofactionarisesincontract,negligence,orotherwise.VerificationofSafetyPerformanceBiddersforconsiderationofpossibleContractawardshallberequiredtosubmitarecentcopyoftheirNEERorCAD-7Statementuponrequest.AwardtooneormoreBiddersTheOwnerreservestherighttoawardtheContractinitsentiretyorinpart,tooneormoreBidders,inaccordancewithitsrequirements.BidderProfileABiddershallsubmit,inadditiontoanyinformationrequiredtobeincludedinaBidFormsubmission,ifrequested,evidenceofexperience,ability,qualityofwork,service,pastexperience,andqualificationsnecessarytomeetsatisfactorilytherequirementssetforthorimpliedintheBidDocuments.ApprovalsTheBiddersacknowledgethattheWork,orportionsthereof,aresubjecttotheprocurementandissuanceofcertainpermits,authorizations,licenses,easementsandotherapprovals(theApprovals)asmayberequiredfromthirdparties,includingapplicablegovernmentagencies,underapplicablelaws,statutes®ulationsinordertocommenceandperformtheWork.Intheevent,andtotheextent,anysuchApprovalsarenotissuedinordertopermitcommencementorperformanceoftheWork,theOwnerreservestherighttoeither:notawardtheContractandcanceltheCallforBids;orawardtheContractinwholeorinpart,subjecttherightoftheOwnertocancelallorpartoftheContractatanytimeafterawardintheeventanyrequiredApprovalscannotbeobtained;ordelaytheconsiderationoftheawardoftheContractuntilsuchtimeastherequiredApprovalshavebeenobtained.EXECUTIONOFCONTRACTUPONAWARDThesuccessfulBidder,ifany,inthepresenceoftheDirectorofPurchasingServicesordesignate,mustsigntheContractintriplicate(3),theCCDC2(1994)ContractAgreement,withinseven(7)WorkingDaysofwrittennotificationofacceptance.ShouldtheawardedBiddereither;attempttowithdrawtheirBidFormsubmission,orfailtoorrefusestoexecutetheContractand/orprovidethenecessarydocumentation,withinthetimespecified,thesuccessfulBidders’BidSecurityshallbeforfeitedandretainedandappliedforusebytheOwner.Thefollowingdocuments,aslisted,shallbesubmittedpriortooratthetimeofsigning;InsuranceCertificateContractSecurityAcurrentcopyoftheWorkplaceSafetyandInsuranceCertificateofClearanceThesuccessfulBiddershallprovidethefollowingContractSecurityrequirementsuponbeingawardedtheContract,equaltothepercentageofthetotalbidprice,asspecifiedbelow,excludingtaxes;PerformanceBond 150%TheContractSecurityshallbekeptinforcethroughoutthedurationoftheContractincludingtheguarantee,warrantyormaintenanceperiodoftheContractand/oruntiltheContractisdeemedcompletebytheOwner.BIDDER'SSTATEMENTOFUNDERSTANDINGItisunderstoodthattheBiddershavecarefullyexaminedalloftheBidDocumentsandhavecarefullyexaminedtheWorktobeperformedundertheContractifawarded.TheBidderalsounderstandsandacceptsthesaidBidDocuments,andforthepricessetforthintheBid,herebyofferstofurnishalllabour,machinery,tools,apparatusandothermeansofimplementation,andanyothermaterialstocompletetheWorkinstrictaccordancewiththeBidDocuments.ERRORSANDOMISSIONSNooralinterpretationwillbeeffectivetomodifyanyprovisionsoftheseBidDocuments.AnymodificationorclarificationwillbebywrittenaddendumonlyissuedbythePurchasingServicesDepartment.Theaddendum(s)shallformpartoftheBidDocuments.PRICECOMPONENTSTaxesTheOwnerissubjecttopaymentofProvincialandFederal(exciseandG.S.T.)taxesimposedbytheProvincialandFederalGovernments.ShouldtherebeanyapprovedvariationinanytaxordutyimposedbytheProvinceofOntarioortheGovernmentofCanadawhichbecomesdirectlyapplicabletothegoods/servicestobepurchasedorprovidedduringthetermofthiscontract,thebidderandtheOwnermutuallyagreetoallowtheappropriateincreaseordecreaseinthepricesasofthedatetheybecomeeffective.TheonusisonthebiddertobringtotheOwner'sattentionanysuchchanges.ThebiddershallallowintheirpricesforallSaleTaxesthatmayberequiredtopayonmaterialsandequipmenttobeutilizedorexpendedintheconstructionoftheworks.Exceptionbeing;wherethebidderisinthepositiontoclaimforSalesTaxRebateonthematerialused.Itisthebidder’sresponsibilitytoobtainup-to-datedirectives.TransportationandDeliveryChargesPricesdocumentedshallbenetpricesincludingtransportationanddeliverychargesfullyprepaidbythebiddertoanyspecifieddestinationwithinthecorporatelimitsoftheOwner.SETOFFCLAUSETheContractorherebyagreesthatanymoniesowingtotheOwnermayatanytimebeset-offagainstbutnotlimitedto,anybusiness/realtytaxes(oranypenaltiesand/orinterestthereon)owingatthetimesuchmoniesbecomedueandpayabletotheContractor.FREEDOMOFINFORMATIONAllBidssubmittedtotheOwnerbecomethepropertyoftheOwnerandassuch,aresubjecttothe“MunicipalFreedomofInformationandProtectionofPrivacyAct.”PURCHASEORDERWork,asdescribedhereinthiscontractshallnotcommenceuntilalloftherequireddocumentshavebeensubmittedandtheagreementexecutedbythecontractor,toPurchasingServices.ForPaymentpurposesaPurchaseOrderwillbegeneratedandissuedtotheContractor.ThetermsandconditionsofthiscontractsupersedethoseofthePurchaseOrderissued.CANCELLATIONNon-ComplianceIntheeventthesuccessfulcontractordoesnotcomplywiththespecifications,termsandconditions,andscopeofthedocument,atanytimethroughoutthedurationofthecontract,thecontractwillbecancelledinaccordancewiththetermscontainedherein.ThecontractmaybecancelledbytheOwneruponnon-performanceofcontractterms;however,indoingso,theOwnerdoesnotwaiveitsrighttorelyuponanyobligationsorcommitmentsagreedtobythecontractoraspartoftheircontractordocumentsubmission,includingwithoutlimitingthegeneralityoftheforegoing,liabilityforthedifferencebetweenthelowestandnextacceptablecontractordocumentsubmission.Wherethereisaquestionofnon-performance,paymentinwholeorinpartmaybewithheldatthediscretionoftheOwner.ThisactionshallnotpreventtheOwnerfromtakingearlypaymentdiscountsotherwiseapplicable.Ifthework/serviceisincompletetheOwnerreservestherighttodrawfromthesuretytocompletethesaidwork/servicetotheOwner'sspecifications.DisqualificationTheOwnerreservestherighttoremovefromfutureeligibility,tosubmitbidstotheOwneranycontractorwhichisinbreachofitsobligations..EVALUATIONOFPERFORMANCEUponcompletionoftheContract,theOwnermaycompleteanevaluationoftheContractors'performance.AcopyofthisevaluationmaybegiventotheContractor.Theevaluationshallbeplacedonfile.ThisinformationmaybemadeavailabletopersonsrequestingOwnerreferencesfortheContractandalsomaybereviewedandmayformpartofthecriteriawhenawardingfuturebidsbytheOwner.TheContractorherebyauthorizesthemaintenanceandreleaseofthisinformation.INSURANCETheContractorshallmaintainandpayforComprehensiveGeneralLiabilityInsurancewithaninsureracceptabletotheOwner.Thecoverageshallincludepremisesandalloperationsliabilitytobeperformedbythebidder.Thisinsurancecoverageshallbesubjecttolimitsofnotlessthan_____MillionDollars($,000,000.00)inclusiveperoccurrenceforbodilyinjury,deathanddamagetopropertyincludinglossofusethereofforanyoneoccurrence.Thepolicyshallinclude__________________________asanadditionalinsuredinrespectofalloperationsperformedbyoronbehalfofthebidder.TheContractorwillbeentirelyresponsibleforthecostofanydeductiblewhichismaintainedinanyinsurancedocument.TheInsurancePolicyshallnotbealtered,cancelledorallowedtoexpireorlapse,withoutthirty(30)dayspriorwrittennoticetotheOwner.TheLiabilityInsuranceshallnotcontainanyexclusionsoflimitationsinrespectofshoring,underpinning,raisingordemolitionofanybuildingorstructure,piledriving,caissonwork,collapseofanystructureorlandfromanycause.Whereapplicablethebiddershallcarrystandardautomobileandnon-ownedautomobileliabilityinsuranceandshallprotectthemselvesagainstallliabilityarisingoutoftheuseofownedorleasedvehicles,usedbythebidder,itsemployeesoragents.Thelimitsoftheliabilityforbothownedandnon-ownedvehiclesshallnotbelessthan______MillionDollars($,)peroccurrence.AdditionalInsuranceCoverageRequired____ NotRequired_____Inadditionto____________________________thebiddershallnameasco-insuredthe__________________________________________________.WORKPLACESAFETYANDINSURANCEBOARD(WSIB)TheContractorshallsubmittotheOwner,priortotheissuanceoftheContractor'slastpaymentofeachyear,andatanyothertimewhenrequestedtodoso,astatementfromtheWorkers'SafetyInsuranceBoardthatalloftheassessmentstheContractororanySubcontractorisliabletopayundertheWorker'sSafetyInsuranceBoardActorsuccessorlegislationhavebeenpaid.BidderswhohaveindependentOperatorStatusundertheWSIBActshallsubmitacompleteIndependentOperatorStatusQuestionnaireuponbeingawardedtheContract.PAYMENTOFWORKERSTheContractorshallpayorcausetobepaidweekly/biweeklytoeveryworkeremployedintheexecutionofthiscontract,wagesatnotlessthanthefollowingrates:Forworkersemployedintheexecutionofthiscontract,whoareincontractualrelationshipwithaunion,theminimumrateofwagesshallbetheunionrateofwagesintheparticulardistrictorlocalityinwhichtheworkisundertaken.Forworkersemployedintheexecutionofthiscontract,whoarenotincontractualrelationshipwithaunion,theminimumrateofwagesshallbethecurrentFairWageSchedulesoftheLabourStandardsBranch,oftheOntarioDepartmentofLabour,intheparticulardistrictorlocalityinwhichtheworkisundertaken.RevisionsmadetothescheduleduringthecourseofthecontractshallapplyfromtheeffectivedateofsuchrevisionsandalladditionalresultantcostsshallbebornebytheContractor.EXAMINATIONOFSITEBiddersarerequiredtosatisfythemselvesbypersonalvisitationandexaminationofeachsitefortheWorkandoftheexistingconditionswhichmaybeencounteredonoradjacenttothesite,includingwithoutlimitation,allunderground/overheadutilitieslocations,surface&sub-surfaceconditions,existingstructuresonoradjacenttothesites,accessroutesandotherconditionswhichmayaffectperformanceoftheWork.ThesubmissionofaBidshallbedeemedproofthattheBidderhassatisfieditselfastoalltheprovisionsoftheBidDocumentsandofalltheconditionswhichmaybeencounteredatthesiteoranyothermatterwhichmayaffectperformanceoftheWorkandnoclaimsmaybemadebytheContractorbasedontheassertionbytheContractorthatitwasuninformedastoanyoftheconditionsaffectingthesiteortheprovisionsorconditionsintendedtobecoveredbytheContract.TheBiddershallacceptsoleresponsibilityforanyerrororneglectonhispartinrespecttotheforegoing.Noafterclaimwillbeallowedorentertainedforanylabour,equipmentormaterialthatmayberequiredfortheproperexecutionandcompletionoftheWork,duetothisfailuretocomplywiththeabove.LAWSANDREGULATIONSTheContractorshallcomplywithallapplicablestatutes,laws,by-laws,regulations,ordinancesandorderswhetherFederal,Provincial,Municipalorotherwise,atanytimeineffectduringthecurrencyofthisContract,andallrulesandrequirementsofthePoliceandFiredepartments,orothergovernmentalauthorities,andallC.S.A.approvals,ifrequired.TheContractorshallobtainandpayforallnecessarypermitsandlicenses,andshallnotdoorsuffertobedoneanythinginviolationofanysuchlaws,ordinances,rulesorrequirements.IftheattentionoftheContractoriscalledtoanysuchviolationonhis/herpart,orofanypersonemployedorengagedbytheContractor,he/sheshallimmediatelydesistfromorcorrectsuchviolation.SCHEDULEOFITEMSANDUNITPRICESTheBidderalsounderstandandacceptsthatthequantitiesshownintheBidDocumentsareapproximateestimatesonlyandaresubjecttoincrease,decreaseordeletionentirelyiffoundnottoberequired.PROVISIONALITEMSANDQUANTITIESItemslistedintheBidFormas“ProvisionalItems”,mayormaynotberequiredforcompletionoftheWorkcalledforundertheContract.Thenecessityand/oractualquantitiesoftheseitemswillbedeterminedbytheOwnerastheworkprogresses.Shouldanyoftheseitemsberequired,theContractorwillbecompensatedonthebasisoftheunitprices(s)quoted.Intheeventthatanyoralloftheseitemsarefoundnottoberequired,theContractormaynotclaimextrapaymentforlossofanticipatedprofits.LIQUIDATEDDAMAGESBiddersshallhaveregardtotheprovisionsforliquidateddamagesasprovidedinSection1.3ofDocumentV,SpecialProvisions.DOCUMENTII GENERALPROVISIONSOCCUPATIONALHEALTHANDSAFETYThefollowingrequirementsandconditionsshallbeincludedinallagreementswithContractors(andsub-Contractors)engagedbyoronbehalfoftheCorporationoftheOwner.Contractorswithknownpoorsafetyrecordsorwithinadequatequalificationsorequipmentwillnotbeconsideredforaward.ContractorsacknowledgethattheyhavereadandunderstoodtheOccupationalHealthandSafetyActOHSA(R.S.O.1990C.0.1)andregulations,madeunderthatstatute.TheContractorshallcomplywithallhealthandsafetyrequirementsestablishedbytheOccupationalHealthandSafetyActandregulations,theOwnerandanyapplicableindustrystandards.TheContractoragreestoassumefullresponsibilityfortheenforcementofsame.TheContractorshallparticipateinapre-projectmeetingtoverifyitsfullunderstandingofthemajorcontractualrequirementsandexpectationsintheareaofhealthandsafetybeforethestartofanywork.TheContractorshallunderstandthatitsperformancewillbemonitoredandthattheiroverallperformancewillbeamajorconsiderationforfuturecontractswiththeOwner.Thefrequencyanddetailofongoingprojectmonitoringwillbedependentuponthenatureoftheworkandsafetyprecautionsspecified.TheContractorshallallowaccesstotheworksiteondemandtorepresentativesoftheOwner.TheOwnerwilltakeallactionnecessarytosupporttheContractorshealthandsafetyeffortsandtoensurethattheOwnerownedandcontrolledenvironmentsinthevicinityoftheprojectarefreefromhazards.TheContractoracknowledgesandagreesthatanybreachorbreachesofhealthandsafetyrequirements,whetherbytheContractororanyofitssub-Contractorsmayinvalidatethecontract.TheContractoracknowledgesandagreesthatanydamagesorfinesthatmaybeassessedagainsttheOwnerbyreasonofabreachorbreachesoftheOHSAbytheContractororanyofitssub-ContractorswillentitletheOwnertosetoffthedamagessoassessedagainstanymoniesthattheOwnermayfromtimetotimeowethebidderunderthiscontractoranyothercontractwhatsoever.TheContractorshallprovidealistofallcontrolledhazardousmaterialsorproductscontaininghazardousmaterials,allphysicalagentsordevicesorequipmentproducingoromittingphysicalagentandanysubstance,compound,productorphysicalagentthatisdeemedtobeorcontainsadesignatedsubstanceinaccordancewiththeWorkplaceHazardousMaterialsInformationSystem(WHMIS)asdefinedundertheOccupationalHealthandSafetyActandshallprovideappropriateMaterialHealthandSafetyDataSheetsforthesesubstancesusedfortheperformanceoftherequiredwork,allpriortotheperformanceofsaidwork.Wherehazardousmaterials,physicalagentsand/ordesignatedsubstancesareusedintheperformanceoftherequiredwork,thesuccessfulContractorshallensurethattherequirementsoftheOccupationalHealthandSafetyActandassociatedregulationsarecompliedwith.TheContractorshallfollowWorkplaceHazardousMaterialsInformationSystems(WHMIS)requirementsandensureallemployeesaregivenrequiredtrainingandsupport.TheContractorshallhaveaclearlydefinedsafetyplan/rescueplanforitsworkersinvolvedinhazardousactivities.Thisplanshallinclude,butnotbelimitedto,proceduresforenteringaconfinedspaceontheworksite.TheContractoragreesatalltimestocomplywithOccupationalHealthandSafetyStandardsintheworkplaceandfurtheragreestoadheretoHealthandSafetyStandardssetoutinapplicablestatutesandregulationsandtocomplywithwrittenHealthandSafetyPoliciesoftheOwner.SAFETYSTANDARDSItistheresponsibilityoftheContractortoworkinasafeandorderlymannersoasnottoconstituteanysafetyhazards.ThefollowingstandardsaresomeofthestandardswhichmustbecompliedwithbytheContractorwhenworkingontheproject:TheContractorwillberesponsiblefortheplacementofappropriatephysicalbarriersbetweentheworkarea,publicandstaffoccupiedareas.TheContractorshallcontrolpedestrianandvehiculartrafficasrequiredandinaccordancewithcurrentmanualofTrafficControlDevices.WhenoperatingEquipmentinaSchoolZoneorPlaygroundappropriatephysicalbarriersandpersonnelshallbeinplacetoensurethesafetyofthepublic.Nolooseclothingshallbeworninthevicinityofmovingorrotatingequipment.TheContractorshallnotoperateortamperwithOwnerequipmentunlessgivenexpresspermissiontodoso.Housekeepingstandardsaretobemaintainedintheworkarea.Debrisandmaterialarenottobeallowedtoaccumulate.Keepextensioncordsandhosesoffthefloorandoutoftrafficaisles.Highlightanytripping,slipping,orbumphazardsbyusingcones,hazardtapeorothermeansappropriatetothesituation.TheContractorshallhaveandusea"Lock,TagandTry"procedurethat,asaminimum,meetstherequirementsoftheRegulationsmadeundertheOccupationalHealthandSafetyAct.TheContractorisresponsibleforensuringthatallreasonableprecautionsfortheprotectionandsafetyofworkersinadditiontothoselistedabovearemaintained.TheContractorshallprovidewrittennoticetotheOwnerinadvanceoftheneedtocloseanyexitoremergencyexit,electricalsystemetc.thatmayaffectapotentialevacuationofanOwner’sworkplaceorfacility.TheContractorandtheOwnershallcommunicatethroughadesignatedchannel/liaisonpersonatalltimestoavoidanyconfusionormisunderstanding.CONTRACTPAYMENTSPr
