3.WHEREAS,thepartiesheretodesiretosetforththetermsandconditionsoftheloaninthisAgreement.NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:1.LOANAMOUNTANDTERM1.1TheLenderagreestoloantotheBorroweranaggregateprincipalamountofupto_______________(the"LoanAmount"),whichshallbeevidencedthepromissorynoteattachedheretoasExhibitA(the"Note").2.USEOFPROCEEDSTheBorrowershallusetheproceedsoftheLoanforitsoperationsandothergeneralcorporatepurposes,asmoreparticularlydescribedintheNote.3.REPAYMENT3.1TheBorrowershallmakemonthlyinstallmentsofprincipalandinterest(calculatedonasimpleinterestbasisatanannualrateof_______________percent(the"InterestRate"))ontheLoan,inaccordancewiththeschedulesetforthintheNote.3.2TheBorrowershallmakeallpaymentsofprincipalandinterestunderthisAgreementwiretransferofimmediatelyavailablefundstoadesignatedaccountoftheLenderorinsuchothermannerasmaybemutuallyagreeduponthepartieshereto.4.SECURITY4.1AssecurityforthepromptpaymentoftheNote,theBorrowershallexecuteanddelivertotheLender,ontheClosingDate(asdefinedintheNote),apledgeagreementinformandsubstancereasonablysatisfactorytotheLender(the"PledgeAgreement"),pursuanttowhichtheBorrowershallpledgetotheLenderasecurityinterestinandlienontheCollateral(asdefinedinthePledgeAgreement)tosecuretheobligationsoftheBorrowerunderthisAgreementandtheNote.4.2TheBorrowershallmaintainthepledgeoftheCollateralinaccordancewiththetermsofthePledgeAgreement.5.CONDITIONSTOCLOSING5.1TheobligationsoftheLendertomaketheLoanhereundershallbesubjecttothesatisfactionofthefollowingconditions:(a)TheexecutionanddeliverytheBorroweroftheNote,thisAgreementandthePledgeAgreement,ineachcaseinformandsubstancereasonablysatisfactorytotheLender;

(b)TheaccuracyofallrepresentationsandwarrantiesmadetheBorrowerinthisAgreement;

(c)TheabsenceofanydefaultorbreachtheBorrowerofanyoftheterms,covenantsorconditionscontainedinthisAgreementortheNote;and

(d)suchotherconditionsastheLendermayreasonablyrequire.6.REPRESENTATIONSANDWARRANTIESTheBorrowerrepresentsandwarrantstotheLenderthat:6.2TheBorrowerisdulyqualifiedorlicensedtodobusinessandisingoodstandingineachjurisdictionwhereitsbusinessrequiressuchqualificationorlicense,exceptwherethefailuretobesoqualifiedorlicensedwouldnot,singlyorintheaggregate,reasonablybeexpectedtohaveamaterialadverseeffectonthebusiness,properties,financialcondition,operationsorprospectsoftheBorrower.6.3TheexecutionanddeliveryofthisAgreement,theNoteandthePledgeAgreement,theperformanceoftheobligationscontemplatedhereandthereandtheconsummationofthetransactionscontemplatedhereand一、附件列表：1.股票融資借款合同主文檔

2.借款方未能按照約定的用途使用借款；

4.借款方提供的信息不真實或存在重大遺漏；

5.借款方違反其在本合同項下的任何陳述、保證或義務(wù)。三、法律名詞及解釋：1.借款方：指需要資金并同意按照本合同條款從貸款方獲得貸款的公司。

2.貸款方：指同意按照本合同條款向借款方提供貸款的公司。

3.股票融資借款：指借款方通過發(fā)行股票的方式從貸款方獲得資金。

4.擔(dān)保物：指借款方根據(jù)本合同條款向貸款方提供的用于擔(dān)保還款義務(wù)的財產(chǎn)。

5.違約：指借款方未能履行其在本合同項下的任何義務(wù)或陳述、保證。四、執(zhí)行中遇到的問題及解決辦法：1.借款方未能按時還款：貸款方可以催告借款方履行還款義務(wù)，并在必要時尋求法律途徑進(jìn)行追討。
