簡單沙石供貨協(xié)議書合同編號：__________simpleSandSupplyAgreementThisAgreementismadeandenteredintoasoftheEffectiveDateandbetweenthefollowingparties:[SupplierInformation]Hereinafterreferredtoasthe"Supplier";and[CustomerInformation]Hereinafterreferredtoasthe"Customer".RECITALSWHEREAS,theSupplierisengagedinthebusinessofsupplyingsandandrelatedmaterials;WHEREAS,theCustomerrequiresthesupplyofsandfortheirconstructionprojects;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:Article1:SupplyofSand1.1TheSupplieragreestosupplytheCustomerwiththerequiredquantityofsandasspecifiedintheattachedScheduleA(the"Sand")attheDeliveryLocationduringtheSupplyPeriod.1.2TheSuppliershallusereasonableeffortstoensurethattheSandmeetsthequalitystandardssetforthinScheduleB(the"QualityStandards").1.3TheSuppliershalldelivertheSandtotheDeliveryLocationonthedatesandinthequantitiesspecifiedintheattachedScheduleA.Article2:DeliveryandAcceptance2.1TheSuppliershalldelivertheSandtotheDeliveryLocationonthedatesandinthequantitiesspecifiedintheattachedScheduleA.2.2TheCustomershallaccepttheSandupondeliveryandshallpromptlynotifytheSupplierinwritingofanydefectsornonconformitieswiththeQualityStandards.2.3TheSuppliershall,atitsownexpense,correctanydefectsornonconformitieswiththeQualityStandardswithinareasonabletimeafterreceivingwrittennoticefromtheCustomer.Article3:PaymentTerms3.1TheCustomershallpaytheSupplierfortheSanddeliveredandacceptedinaccordancewiththetermsofScheduleC(the"PaymentTerms").3.2TheCustomershallmakepaymenttotheSupplierwithin[numberofdays]afterthedateoftheinvoiceissuedtheSupplier.3.3TheSuppliershallprovidetheCustomerwithadetailedinvoiceforeachdeliveryofSand.Article4:TermandTermination4.2EitherpartymayterminatethisAgreementwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialprovisionofthisAgreementandfailstocuresuchbreachwithin[numberofdays]afterreceiptofwrittennoticefromtheterminatingparty.4.3ThisAgreementmaybeterminatedeitherpartyuponwrittennoticeintheeventoftheoccurrenceofaForceMajeureEvent(asdefinedinArticle5)thatcontinuesforaperiodof[numberofdays]ormore.Article5:ForceMajeure5.1ForthepurposesofthisAgreement,a"ForceMajeureEvent"meansanactofGod,labordispute,riot,rebellion,war,accident,fire,flood,storm,orothercausesbeyondthereasonablecontrolofaparty.5.2ThepartyaffectedaForceMajeureEventshallpromptlynotifytheotherpartyinwritingoftheoccurrenceofsucheventandshallusereasonableeffortstomitigatetheeffectsoftheevent.5.3ThepartyaffectedaForceMajeureEventshallberelievedfromliabilityfortheperformanceofitsobligationsunderthisAgreementduringthedurationoftheevent,providedthattheaffectedpartyusesreasonableeffortstoresumeperformanceassoonaspossibleaftertheeventhasceased.Article6:Confidentiality6.1Thepartiesheretoagreetomaintaininstrictconfidenceandnotdisclosetoanythirdpartyanyconfidentialinformation(the"ConfidentialInformation")exchangedbetweentheminconnectionwiththenegotiationandperformanceofthisAgreement,exceptasmayberequiredlaworregulation.6.2TheobligationsofconfidentialitysetforthinthisArticle6shallsurvivetheexpirationorterminationofthisAgreement.Article7:GoverningLawandDisputeResolution7.1ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofthejurisdictionof[jurisdiction].7.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedarbitrationinaccordancewiththerulesofthe[arbitrationinstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.Article8:EntireAgreement8.1ThisAgreement(includingtheattachedSchedulesA,B,andC)constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhere一、附件列表：A:沙石供應(yīng)詳細清單B:沙石質(zhì)量標準C:支付條款詳細說明二、違約行為及認定：1.供應(yīng)商未能按照約定的時間和數(shù)量供應(yīng)沙石。2.供應(yīng)商供應(yīng)的沙石不符合約定的質(zhì)量標準。3.客戶未能在約定時間內(nèi)支付供應(yīng)商供應(yīng)的沙石款項。4.任何一方未能履行本協(xié)議項下的其他義務(wù)。三、法律名詞及解釋：1.供應(yīng)商：指根據(jù)本協(xié)議向客戶供應(yīng)沙石的法人或其他組織。2.客戶：指根據(jù)本協(xié)議購買沙石的法人或其他組織。3.交付地點：指供應(yīng)商將沙石交付給客戶的具體地點。4.供應(yīng)期間：指本協(xié)議約定的供應(yīng)商供應(yīng)沙石的時間段。5.質(zhì)量標準：指供應(yīng)商供應(yīng)的沙石應(yīng)滿足的具體質(zhì)量要求。四、執(zhí)行中遇
