2025年度物流企業(yè)股權(quán)轉(zhuǎn)讓協(xié)議（英文）本合同共三部分組成，僅供學(xué)習(xí)使用，第一部分如下：2025ANNUALLOGISTICSENTERPRISESHARETRANSFERAGREEMENTPART1:RECITALSWHEREAS,[CompanyNameofTransferor](hereinafterreferredtoas“Transferor”)isalegallyestablishedentityengagedinthelogisticsindustryandholdscertainsharesof[CompanyNameofTransferor’sSubsidiary](hereinafterreferredtoas“Subsidiary”);WHEREAS,[CompanyNameofTransferee](hereinafterreferredtoas“Transferee”)isalegallyestablishedentityengagedinthelogisticsindustryandisinterestedinacquiringaportionofthesharesofSubsidiary;WHEREAS,TransferorandTransfereedesiretoenterintothisShareTransferAgreement(hereinafterreferredtoas“Agreement”)toregulatethetransferofsharesofSubsidiaryfromTransferortoTransferee.NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thepartiesheretoagreeasfollows:PART2:AGREEMENT1.TRANSFEROFSHARES1.1SubjecttothetermsandconditionssetforthinthisAgreement,TransferoragreestotransfertoTransfereeallofitsright,,andinterestinandtothesharesofSubsidiary(hereinafterreferredtoas“Shares”)represented[numberofShares]shares,whicharecurrentlyoutstandingandfullypaidup.1.2ThetransferofSharesshallbeeffectiveuponthesatisfactionofthefollowingconditionsprecedent:a.ThetransferhasbeenapprovedtheboardofdirectorsofSubsidiary;b.Thetransferhasbeenapprovedtherelevantregulatoryauthorities,ifapplicable;c.Thetransferhasbeendulyregisteredandrecordedwiththerelevantgovernmentauthorities;d.Allnecessaryconsents,approvals,andauthorizationshavebeenobtainedfromthepartiesconcerned.2.PRICEANDPAYMENT2.1ThepurchasepricefortheShares(hereinafterreferredtoas“PurchasePrice”)shallbe[amount](USD),subjecttoadjustmentasprovidedherein.2.2ThePurchasePriceshallbepaidTransfereetoTransferorinaccordancewiththefollowingschedule:a.[amount](USD)shallbepaidupontheexecutionofthisAgreement;c.Theremaining[amount](USD)shallbepaidwithin[numberofdays]daysaftertheclosingdateofthetransfer.3.REPRESENTATIONS,WARRANTIES,ANDCOVENANTS3.1TransferorrepresentsandwarrantstoTransfereethat:a.TransferorhasthefullpowerandauthoritytoenterintothisAgreementandtransfertheSharestoTransferee;b.TheSharesarefreeandclearofanyliens,encumbrances,orrestrictions,andTransferorhastherighttotransfertheShareswithoutanyconsentorauthorizationfromanythirdparty;c.TheSharesarenotsubjecttoanylegal,regulatory,oradministrativeproceedingsorinvestigationsthatwouldreasonablybeexpectedtohaveamaterialadverseeffectonthebusiness,financialcondition,orresultsofoperationsofSubsidiary;d.Transferorhasnotreceivedanynotice,claim,orsuitagainstitthatwouldreasonablybeexpectedtohaveamaterialadverseeffectonthebusiness,financialcondition,orresultsofoperationsofSubsidiary.3.2TransfereerepresentsandwarrantstoTransferorthat:a.TransfereehasthefullpowerandauthoritytoenterintothisAgreementandacquiretheSharesfromTransferor;b.Transfereehasconducted,tothebestofitsknowledge,areasonableduediligenceinvestigationofSubsidiaryanditsbusiness,andissatisfiedwiththeresultsofsuchinvestigation;c.Transfereeisnotawareofanylegal,regulatory,oradministrativeproceedingsorinvestigationsthatwouldreasonablybeexpectedtohaveamaterialadverseeffectonthebusiness,financialcondition,orresultsofoperationsofSubsidiary.4.CONFIDENTIALITY4.1ThepartiesheretoagreetomaintaintheconfidentialityofthetermsandconditionsofthisAgreementandanyotherconfidentialinformationdisclosedtoeachotherinconnectionwiththisAgreement,exceptasrequiredlaworcourtorder.5.TERMINATION5.1ThisAgreementmaybeterminatedeitherpartyupontheoccurrenceofanyofthefollowingevents:a.AbreachofanymaterialtermorconditionofthisAgreementtheotherparty,providedthatsuchbreachisnotcuredwithin[numberofdays]daysafterwrittennoticeofthebreachisgiventothebreachingparty;b.Theinsolvency,bankruptcy,orliquidationofeitherparty;c.Themergeroracquisitionofeitherpartyathirdparty.6.DISPUTERESOLUTION6.1AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughgoodfaithnegotiationsbetweentheparties.Ifthepartiesareunabletoresolvethedisputethroughnegotiations,thedisputeshallbesubmittedtobindingarbitrationinaccordancewiththerulesoftheInternationalChamberofCommerce.7.GENERALPROVISIONS7.1ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,betweentheparties.7.2ThisAgreementmaybeamended,modified,orsupplementedonlyawritteninstrumentexecutedbothparties.7.3ThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotbedeemedawaiverofsuchprovisionnoroftherightofthepartythereaftertoenforcesuchprovision.7.4ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsoftheStateof[State/Country].INWITNESSWHEREOF,thepartiesheretohaveexecutedthisShareTransferAgreementasofthedatefirstabovewritten.TRANSFEROR:Name:_______________Title:_______________Company:_______________Address:_______________City,State,ZipCode:_______________Transferee:Name:_______________Title:_______________Company:_______________Address:_______________City,State,ZipCode:_______________
