achpartyacknowledgesthatinthecourseofperformingthisAgreement,itmayhaveaccesstocertainconfidentialinformationoftheotherparty.Eachpartyshallkeepsuchconfidentialinformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[numberofyears].VII.TerminationandSuspensionA.TerminationThisAgreementmaybeterminatedbyeitherpartyupon[numberofdays]days'writtennoticetotheotherpartyintheeventofamaterialbreachofthisAgreementbytheotherpartythatremainsuncuredafter[numberofdays]days'writtennotice.Inaddition,thisAgreementmaybeterminatedbyeitherpartyupon[numberofdays]days'writtennoticetotheotherpartyintheeventofthebankruptcy,insolvency,ordissolutionoftheotherparty.B.SuspensionEitherpartymaysuspendtheperformanceofthisAgreementupon[numberofdays]days'writtennoticetotheotherpartyintheeventofaforcemajeureeventthatpreventssuchpartyfromperformingitsobligationsunderthisAgreement.Duringtheperiodofsuspension,neitherpartyshallbeliabletotheotherpartyforanydamagesorlossesarisingoutoforinconnectionwiththesuspension.VIII.GoverningLawandJurisdictionThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubmittedtotheexclusivejurisdictionofthe[nameofthecourt]locatedin[locationofthecourt]forresolution.Ix.EntireAgreementandAmendmentsThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.Noamendment,modification,orwaiverofanyprovisionofth
