1、本協(xié)議系于 年月日,由當(dāng)事人一方叢魚 a、b、c公司按中國(guó)法律組建并存在的公司,其主營(yíng)業(yè)地在 (以下簡(jiǎn)稱賣方)與他方當(dāng)事人x、y、z公司,按國(guó)法律組建并存在的公司, 其主營(yíng)業(yè)地在 (以下簡(jiǎn)稱代理商)所簽訂。雙方一致同意約定如下:第一條委任與接受在本協(xié)議有效期內(nèi),賣方指定代理商為本協(xié)議第四條項(xiàng)下商品的獨(dú)家代理商,在第三條所規(guī)定的區(qū)域內(nèi)招攬顧客的訂單。代理商同意并接受上述委任。第二條代理商的義務(wù)代理商應(yīng)嚴(yán)格遵守賣方隨時(shí)給予的任何指令,而且不得代表賣方作出任何擔(dān)保、 承諾以及訂立契約、合同或作其他對(duì)賣方有約束力的行為。對(duì)于代理商違反賣方指令或超出指令范圍所用的一切作為或不作為,賣方都將不承擔(dān)任何責(zé)任

2、。第三條代理區(qū)域本協(xié)議所指的代理區(qū)域是: (以下簡(jiǎn)稱區(qū)域)。第四條代理商品本協(xié)議所指的代理商品是 (以下簡(jiǎn)稱商品)。第六條最低代理額和價(jià)格在本協(xié)議有效期內(nèi),如果賣方通過(guò)代理商每所 (12個(gè)月)從顧客處收到的貨款總金額低于 ,則賣方有權(quán)提前 30天書面通知代理商解除本協(xié)議。賣方應(yīng)經(jīng)常向代理商提供最低的價(jià)格表以及商品可以成交的條款、條件。第七條訂單的處理在招攬訂單時(shí),代理商應(yīng)將賣方成交的條件、 合同的一般條款充分通知顧客, 也應(yīng)告知顧客 任何合同的訂立都須經(jīng)賣方的確認(rèn)。 代理商應(yīng)將其收到的訂單立即轉(zhuǎn)交給賣方, 以供賣方選 擇是否接受訂單。賣方有權(quán)利拒絕履行或接受代理商所獲得的訂單或訂單的一部分,而

3、代理商對(duì)于被拒絕的訂單或其中的一部分,無(wú)任何傭金請(qǐng)求權(quán)。第八條費(fèi)用分擔(dān)除另有約定外,所有的費(fèi)用和支出, 如電訊費(fèi)、差旅費(fèi)以及其他有關(guān)商品銷售的費(fèi)用,都應(yīng)由代理商承擔(dān)。除此以外,代理商還應(yīng)承擔(dān)維持其辦公處所、銷售人員以及用于執(zhí)行賣方中有關(guān)代理商的義務(wù)而發(fā)生的費(fèi)用。第九條傭金賣方接受代理商直接獲得的所有訂單后,就應(yīng)按商品凈銷售額的百分之 ,以(貨幣)支付給代理商傭金。傭金只有在賣方收到顧客的全部貨款后,每6個(gè)月支付一次,以匯付方式支付。第十條商情報(bào)告供一定數(shù)量的廣告印刷品、商品樣本、小冊(cè)子以及代理商合理要求的其他材料。第十二條工業(yè)權(quán)保護(hù)在本協(xié)議有效期內(nèi), 代理商可使用賣方的商標(biāo), 但僅限于代理商品

4、的銷售。如果在本協(xié)議終止后,代理商地銷售庫(kù)存代理商品時(shí),仍可使用賣方的商標(biāo)。 代理商也承認(rèn)使用于或包含于代理商品中的任何專利、商標(biāo)、版權(quán)以及其他工業(yè)產(chǎn)權(quán),都屬于賣方所有,并且不得以任何 方式提出異議。一旦發(fā)現(xiàn)浸權(quán),代理商應(yīng)及時(shí)通知賣方并協(xié)助賣方采取措施保護(hù)賣方產(chǎn)權(quán)利 益。第十三條協(xié)議期限本協(xié)議經(jīng)雙方簽字生效。在本協(xié)議終止前至少 3個(gè)月,賣方或代理商應(yīng)共同協(xié)商協(xié)議的續(xù)延。 如果雙方一致同意續(xù)延,在上述規(guī)定的條款、 條件下,附上補(bǔ)充文件, 本協(xié)議將繼續(xù)有效另外年。發(fā)生續(xù)延,本協(xié)議將于 年月日終止。第十四條協(xié)議的中止在本協(xié)議有效期內(nèi),任何一方當(dāng)事人不履行合同或違反本協(xié)議的條款,如第五、六、十一條,雙

5、方當(dāng)事人座爭(zhēng)取及時(shí)解決爭(zhēng)議的問(wèn)題以期雙方滿意。如果在違約方接到書面通知后30日內(nèi)問(wèn)題仍不能解決,非違約方將有權(quán)中止本協(xié)議,由此造成的損失、無(wú)力償付債務(wù)、清算、 死亡以及被第三人兼并,另一方當(dāng)事人可提出中止本協(xié)議,而無(wú)需書面通知對(duì)方。第十五條不可抗力任何一方對(duì)由于下列原因而導(dǎo)致不能或暫時(shí)不能履行全部或部分協(xié)議義務(wù)的,不負(fù)責(zé)任:和國(guó)法律管轄。第十七條仲裁對(duì)于因履行本合同發(fā)生的一切爭(zhēng)議, 雙方應(yīng)友好協(xié)商解決, 如協(xié)商無(wú)法解決爭(zhēng)議, 則應(yīng)提交 中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì) (北京),依據(jù)其仲裁規(guī)則,仲裁費(fèi)應(yīng)由敗訴一方承擔(dān), 仲裁委 員會(huì)另有規(guī)定的除外。本合同由雙方代表簽字后生效,一式兩份,雙方各執(zhí)一份。

22、during the effective period of this agreement only in connection with the sale of products, provided that even after the termination of this agreement agent may use the trade - mard(s) inconnection with the sale of products held by it in stock at the time of termination. agent shall also acknowledge

23、 that any and all patents, trade - marks, copyright and other industrial property rights used or embodied in products shall remain to be sole properties of seller and shall not dispute them in any way. if any infringement being found, agent shall promptly notify seller and asist seller to take steps

24、 to protect its right.article 13. durationthis agreement shall enter into force on the signing of both parties. at least three(3) months before the expiration ofthe term, both seller and agent shallconsult eachother for renewal of this - agreement. if the renewal of this agreement is agreed upon by

25、both parties,this - agreement shall be renewed for another year(s)period under the terms and conditions herein set forth,with amendments, if agreedupon by both parties. unless this agreement shall expire on article 14. termination in case there is any nonperformance and/or violation of the terms and

26、 conditions including article 5,6,11 under this agreement by either party during the effective period of this agreement,the parties hereto shall do their best to settle the matter in question as prompt and amicable as possible to mutual satisfaction.unless settlement should be reacher within thirty

27、(30) days after notification in writing of the other party,such other party shall have the right to cancel this agreementand the loss and damges sustained thereby shall be indemnified by the party responsible for the nonperformance and/or violation. further in case of bandruptcy or insolvency or liq

28、uidation or death and/or reorganization by the third party of the other party ,either party may forth with terminate this agreement without any notice to the other party.article 15. force majeure either party shall not be held responsible for failure or delay to perform all or any part of the due to

29、 acts of god, governmet orders or restriction or any other events which could not be predicted at the time of the conclusion of the agreement and could not be controlled,avoided or overcome by the parties.hovever, the party effected by the event of force majeure shall inform the other party of its o

30、ccurrence in written as soon as possible.article 16. trade terms and governing lawthe trade terms under this agreement shall be governed and interpreted under the provisions of 1990 incoterms and this agreement shall be governed as to all matters including valitity,construction,and preformance under

31、 the laws of peoples republic of china.article 17. arbitration:all disputes arising from the performance of the agreement should be settled through friendly negotiations. should no settlement be reached through negotiation, the case shall then be submitted for arbitration to the china international

32、economic and trade arbitration commission(beijing) and the rules of this commission shall be applied. the award of the arbitration shall be final and binding upon both parties. the arbitration fee shall be born by the losing party unless otherwise awarded by the arbitration organization.witness ther

33、eof: this agreement shall comeinto effect immediately after it is signed by boty parties in two original copies;each party holds one copy.a.b.c corp. x.y.z.corp.by by附:國(guó)際銷售代理協(xié)議解釋與分析 (一) 概述 國(guó)際銷售代理協(xié)議是國(guó)際貿(mào)易代理協(xié)議的一種。 國(guó)際銷售代理協(xié)議是一國(guó)的委托人與另一國(guó) 的代理人之間簽訂的明確有關(guān)與銷售的代理權(quán)限規(guī)定相互權(quán)利義務(wù)的書面文件。 代理是代理人按照被代理人的授權(quán), 代表本人同第三人訂立合同或作其他

34、的法律行為, 由此 而產(chǎn)生的權(quán)利與義務(wù)直接對(duì)委托人發(fā)生效力的一種法律制度。 在當(dāng)今的國(guó)際貿(mào)易中, 代理制 度的應(yīng)用很廣而且起到了重要的作用。 這種國(guó)際貿(mào)易代理是商業(yè)代理, 而非一般的民事代理。 在國(guó)際銷售代理中, 對(duì)銷售代理有不同的分類, 如依其代理權(quán)限大小劃分, 可將銷售代理商 分為總代理商、 獨(dú)家代理商和一般代理商, 如依其有無(wú)代賣方訂立合同的權(quán)利劃分, 可劃分 為締約代理商和媒介代理商。(二) 標(biāo)題國(guó)際銷售代理協(xié)議的標(biāo)題首先要明確標(biāo)明這是代理協(xié)議, 而非經(jīng)銷協(xié)議, 而且同時(shí)要標(biāo)明是 獨(dú)家代理或總代理,一般代理,從而明確協(xié)議的性質(zhì)。在我國(guó)實(shí)踐中, 通常有兩種做法,一種就是代理僅是推銷商品,

35、代理商從中周旋, 買賣雙方 直接訂立合同, 而代理商吸取一定傭金, 這可以說(shuō)是一種獨(dú)家媒介代理。 另一種是我方與外 國(guó)代理商直接簽訂合同并確認(rèn)代理權(quán),這種代理商既為買方,又為代理。(三) 代理權(quán)限由于不同的代理權(quán)限下代理商的權(quán)利義務(wù)不同, 對(duì)被代理人的利益影響也不同, 所以代理權(quán)限的問(wèn)題是國(guó)際銷售代理協(xié)議中重要的內(nèi)容。雙方當(dāng)事人在代理協(xié)議中必須明確這一問(wèn)題, 以為雙方當(dāng)事人的權(quán)利義務(wù)劃分奠定基礎(chǔ), 在這一條款中, 主要明確是否給代理商以獨(dú)家代 理權(quán)。如授予代理商以某地區(qū)的獨(dú)家代理權(quán), 則賣方就不能通過(guò)其他途徑直接地或間接地在 該地區(qū)銷售。 正因如此, 賣方在授予代理商以獨(dú)家代理權(quán)時(shí)必須要充分考

36、慮到代理商的法律 地位,品格及經(jīng)營(yíng)能力,一定要慎重行事,否則,如果代理商不努力推銷商品的話,就會(huì)使 賣方處于較被動(dòng)的地位。(四) 代理產(chǎn)品這一條款主要規(guī)定代理產(chǎn)品的項(xiàng)目、 種類及方式。 一般有兩種方法: 一是將賣方的一種或數(shù) 種產(chǎn)品的代理權(quán)賦予代理商, 另一種是將賣方所有產(chǎn)品的代理權(quán)賦予代理商, 對(duì)方這一條款, 在前一種情況下,在草擬合同時(shí),要將代理產(chǎn)品的有關(guān)細(xì)節(jié)如種類、名稱、規(guī)格、質(zhì)量要求 等詳細(xì)訂明,以免日后發(fā)生糾紛。此外, 由于賣方有可能在不斷更新某產(chǎn)品,所以雙方在合 同中還應(yīng)訂明賣方新產(chǎn)品的代理的有關(guān)事宜。(五) 代理地區(qū)代理地區(qū)范圍的大小直接關(guān)系著合同雙方的利益。在此地區(qū)外,雙方就不受此條款的限制, 在這一條款中,
