17、nu facturer.16商品檢驗：賣方須在裝運前日委托檢驗機構對合同之貨物進行檢驗并出具檢驗證 書，貨到目的 港后,由買方委托檢驗機構進行復檢。goods inspection : the sellers shall have the goods inspected byinspection authoritydays before the shipment and issued the inspection certificate . the buyers shall have the goods reinspected by $inspection authority after th

18、e goods arrival at the destination.17 索賠claims:如經中國檢驗機構復檢，發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質量與本合同及質量保證書之規(guī) 定不符，買 方可于貨到目的港后天內憑上述檢驗機構出具的證明書向賣方要求索賠。如上述規(guī)定之索賠期與 質量保證期 不一致，在質量保證期限內買方仍可向賣方就質量保證條款之內容向賣 方提出索賠。the buyers shall lodge claims against the sellers based on the inspection certificate issued by china _inspection

19、authority days after the arrival of the goods at the destination ， if the goods are found to be damaged ， missing or the specifications ， quantity ， and quality not in conformity with those specified in this contract and letter of quality guarantee .in case the claim period above specified is not in

20、 conformity with the quality guarantee period，during the quality guarantee period，the buyers have rights to lodge claims against the sellers concerning the quality guarantee.18 延期交貨違約金late delivery and penalty除雙方認可的不可抗力因素外，賣方遲于合同規(guī)定的期限交貨，如買方同意遲延交貨，賣方應同意對信用證有尖條 款進行個性 和同意銀行在議付貨款時扣除本條規(guī)定的違約金。違約金總值不超過貨物總價

21、值的5%差率按7天0.5%計算，不滿7天仍按7天計算。在未采用信用證支付的情況下，賣方應 將前述方法計算的違約金即付買方。if the sellers fail to make delivery on time asstipulated in the contract， with exception of forcemajeure，the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the l/c and pay a penalt

22、y which shall be deducted by the paying bank from the payment under negotiation . the penalty ，however ， shall not exceed 5%of the total value of the goods . the rate of penalty is charged at 0.5%for every seven days ， if less that seven days .in case，the payme nt is not made through l/c，the sellers

23、 shall pay the penalty counted as above to the buyers as soon as possible.19 .人力不可抗拒：如因人力不可抗拒的原因造成本合 同全部或部 分不能履約，賣方概不負責，但賣方應將上述發(fā)生的情況及時通知買 方。force majeure : the sellers shall not hold any responsibility forpartial or total non-performance of this con tract due to force majeure . but the sellers shall
