9、the seller shall send simultaneously with shipmentone copy each of the above mentioned documents to CO.LTD.支付單據(jù)：賣方將向買方提供如下單據(jù)以履行支付.1商業(yè)發(fā)票兩份；2裝箱單兩份；3制造商出具的質(zhì)量證實(shí)書一份.4原產(chǎn)地證一份正本5衛(wèi)生證一份正本6工廠出具灌裝證實(shí)一份7有木質(zhì)包裝情況下的熏蒸證實(shí)或非木質(zhì)包裝證實(shí)8按合同價(jià)的110%投保一切險(xiǎn)的保險(xiǎn)單.9標(biāo)簽五份正面、反面如果采用海運(yùn),賣方在裝船的同時(shí)將如上單據(jù)各一份寄送給目的港的 公司.12. INSPECTION:(1) Such as the quality of the goods in conformity with the contract and specification, the buyer of the commodity inspection bureau should be invited for inspection, and shall have the r

12、ight to claim against the seller according to a report issued by the commodity inspection bureau inspection.(1)如貨物的質(zhì)量與規(guī)格與合同不符,買方應(yīng)請(qǐng)商檢局進(jìn)行檢驗(yàn),并有權(quán)根據(jù)商檢局出具的檢 驗(yàn)報(bào)告向賣方索賠.15. CLAIMS:In case that the Seller are liable for the discrepancies and a claim is made by Buyer within the time-limit of inspection and qua

13、lity guarantee period as stipulated in Clause 14 of this Contract,the Seller shall settle the claim upon the agreement of the Buyersin one or the combination of the following ways:(1) Agree to the rejection of the goods and refund to the Buyers the valueof the goodsso rejected in the same currency a

14、s contracted herein , and to bear all direct losses and expenses in connection therewith including interest accrued, banking charges,freight, insurance premium, inspection charges, storage, stevedore charges and all other necessary expenses required for the custody and protection of the rejected goo

15、ds.(2) Devalue the goods according to the degree of inferiority, extent of damage and amount of losses suffered by the Buyers.The claims mentioned above shall be regarded as being accepted if the Sellers fail to reply within 30 days after receiving the Buyers' claim.索賠：買方根據(jù)本合同14條的規(guī)定,在檢驗(yàn)或質(zhì)量保證期內(nèi)提出

16、的索賠,其問題應(yīng)由賣方負(fù)責(zé)時(shí),賣方在取得買方同意后應(yīng)按以下之一或混合的方式處理索賠.(1) 同意買方退貨,并將退貨金額以成交原幣歸還買方,并負(fù)擔(dān)因退貨而發(fā)生的一切直接損失和 費(fèi)用,包括利息、銀行費(fèi)用、運(yùn)費(fèi)、保險(xiǎn)費(fèi)用、商檢費(fèi)、倉(cāng)儲(chǔ)費(fèi)和裝卸費(fèi).(2) 根據(jù)貨物的疵劣程度,損壞的范圍和買方所遭受的損失將貨物貶值.賣方在收到買方的索賠30天內(nèi)沒有答復(fù)將被認(rèn)為接受上述索賠.16. FORCE MAJEURE:The seller shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force Majeure , such as war , serious fire , flood , typhoon and earthquake , or other events agreed upon between both parties , which might occur during the process of manufacturing or in the course of loading or transit .
