1、常年法律顧問合同Agreement on Retaining Legal Counsel客戶與律師事務(wù)所友好協(xié)商，達(dá)成如下協(xié)議。This Agreement is hereby entered into by and between the Client and the through friendly consultation.The Client and the attorney agency agree as follows,第一條律師根據(jù)客戶要求，律師所指定律師擔(dān)任客戶之常年法律顧問（以下稱“法律顧問 ”）。必要時，律師所在取得客戶書面同意后可指定本所其他律師協(xié)助或者代為處理相關(guān)事務(wù)。

2、本條款不得解釋為客戶與律師所或者法律顧問之間已建立勞動關(guān)系，任何時候律師所均被視為獨立的服務(wù)提供商。Article 1 AttorneysAs requested by the Client, the attorney agency shall designate AttorneyMr.to act as the legal counsels of the Client (hereinafter referred to as the“ Legal Counsel ” ). If necessary, the attorney agency may designate other attorne

3、ys under its employment as supplemental or substitute attorneys with prior writtenconsent of the Client.Nothing contained herein shall be construed as creating the relationship of employer and employee between Promise/Legal Counsel and the Client. Promise shall be deemed at all times to be an indepe

4、ndent contractor.第二條律師所應(yīng)提供的法律服務(wù)Article 2 Services to Be Provided by the attorney agency律師所提供以下服務(wù)（下稱“法律服務(wù) ”）The services (hereinafter referred to “ Legal Services ” to be provided by the attorney agency are as follows.一、 非訟事務(wù). Non-litigation affairs1、 為公司日常經(jīng)營、管理提供法律意見、建議。Provide regular legal advice

5、for the business operation and management of the Client:2、審查、修改以及草擬合同、公司章程、公司規(guī)章、申請等法律文件。Answer questions on legal issues of the Client, and upon the Client s request issue“ Legal Opinion Letter”.3、應(yīng)公司要求參加企業(yè)股東大會、董事會等會議并提供法律意見、建議。Provide legal advice on the issues relating to the production, operation

6、 and management of the Client.4、一般情況，在24 小時內(nèi)回應(yīng)客戶提出的問題，對于客戶提出的涉及復(fù)雜和重大的問題，在60 個在小時內(nèi)回應(yīng)。In general, the attorney agency shall response with answer to the Clientwithin 24 hours; as for complex and significant legal issues, the attorney agencyshall response with answer to the Client s questions within 60

7、hours. s questi5、為公司處理工商、稅務(wù)、商務(wù)、海關(guān)、環(huán)保等事務(wù)提供法律意見、建議。6、參加商務(wù)談判并提供法律意見、建議。Attend the Clientrequested. s business negotiation and provide related legal suggestions if這個條款還可以如下處理：應(yīng)邀參加客戶的商務(wù)談判。Take part in the negotiations between the Client and its customers if requested:或者Participate in commercial negotiati

8、ons upon the Client s request.7、為客戶的商務(wù)規(guī)劃和財務(wù)計劃提供書面或口頭的法律意見。Offer written and oral initial legal opinion or advice on commercial plans or financing plans of the Client.8 與客戶一起或者代表客戶參加與第三方的會談。Attend meetings with the Client or third parties on behalf of the Client.9 為客戶制定、修改內(nèi)部管理體系、勞動合同和培訓(xùn)合同、內(nèi)部協(xié)議。Establ

9、ish, modify or review the internal management system, labor contract, and relevant training contract and non-disclosure agreements for the Client;10 起草、修改客戶的合同以及其他與經(jīng)營有關(guān)的法律文件。Draft, review or modify contracts and other legal documents in relation to the business operation and management of the Client

10、.11 就知識產(chǎn)權(quán)保護(hù)提供法律意見、建議，包括專利權(quán)、商標(biāo)、商業(yè)秘密以及特許經(jīng)營等。Offer legal opinion or advice on the protection of intellectual property rights of the Client, including but not limited to patent right, trademark right, copyright, trade secret and franchise.12 就生產(chǎn)、經(jīng)營以及管理事宜向第三方出具律師函，并回應(yīng)第三方出具的律師函。Issue“ Lawyer s Letter” to

11、third parties on the issues relating to the production,operation and management of the Client, and respond to Lawyer s letters issued bythird parties.13 應(yīng)公司要求代表公司草擬并在媒體發(fā)布法律公告。Draft and publicize the“ Legal Noticeon”behalfinmediaofthe Client upon theClient s request.14 為公司提供與生產(chǎn)、經(jīng)營以及管理相關(guān)的最新法律法規(guī)信息。. Pr

12、ovide the Client with the latest laws and regulations relating to the production, operation and management of the Client.二、 訴訟/仲裁1、 研究案情并制定處理方案。Arbitration and/or litigation affairsStudy the cases and elaborate the handling strategies.2、 為訴訟 / 仲裁草擬相關(guān)法律文件。Draft relevant legal documents for arbitratio

13、n and/or litigation.3、 代表客戶出庭。 Appear in court on behalf of the Client.雙方認(rèn)識到以上所列法律服務(wù)是非窮盡的，雙方協(xié)商一致可以進(jìn)行補(bǔ)充。因此，在沒有客戶事先許可的情況下，律師所或者法律顧問不得提供其他的法律服務(wù)。It is understood that the list of Legal Services provided below is not an exhaustive one and can be completed upon agreement of both parties. Consequently, no

14、additional Legal Services will be initiated and/or provided by the attorney agency and/or its Legal Counsel without the prior approval of the Client.第三條 合同期限本協(xié)議自雙方簽字之日起生效，有效期年 （下稱 “初始期限 ”）。本協(xié)議在初始期限的最后一日無需另外通知自行終止。初始期限后，本協(xié)議每年經(jīng)雙方同意可以續(xù)簽。任何情況下，本協(xié)議的延長應(yīng)由新的書面協(xié)議決定。Article 3 TermThis Agreement shall be effec

15、tive from the date when it is duly executed by both parties and shall remain effective for 1 year (hereinafter referred to as“ InitialThis Agreement will automatically expire on the last day of this Initial Period without any further notice.After this Initial Period, this Agreement can be renewed an

16、nually upon agreement between the parties. In any case, any extension of present Agreement will be subject to a separate new written agreement.第四條 服務(wù)費用就第三條第一款所列的法律服務(wù)，客戶應(yīng)向律師所支付服務(wù)費合計元人民幣。本協(xié)議簽訂之日起5 日內(nèi)，客戶應(yīng)向律師所支付服務(wù)費人民幣；前支付元人民幣，前支付元人民幣?？蛻魬?yīng)支付律師所仲裁或訴訟代理費用，律師所亦同意按照通常的收費標(biāo)準(zhǔn)給予客戶8 折優(yōu)惠。律師所應(yīng)在提供該服務(wù)的當(dāng)月底通知客戶支付相應(yīng)費用，客戶

17、應(yīng)在收到付費通知之日起 15 日內(nèi)支付。Article 4 Fees for Services Performed.For the Legal Services as listed in Partof Article 2 hereof, the Client shall pay theattorney agency a total service fee ofRMB (RMB).The Client shall pay the attorney agency RMBthis Agreement is executed, pay RMBbeforeRMBbefore.within 5 worki

18、ng days after, and payThe costs for arbitration and litigation affairs will be directly paid by the Client; while the attorney agency shall give the Client 20% discount on its customary charges forthe Legal Services as listed in Part II of Article 2 hereof. Such Legal Services will be invoiced at th

19、e end of the month during which they have been performed and payable 15 days date of invoice.第五條 費用報銷律師所會不時的為了客戶利益支付一些費用。律師所應(yīng)該僅就已實際支付的費用要求客戶報銷。應(yīng)報銷的費用包括緊急加班費用、大量的復(fù)印工作，較大數(shù)額的長途電話費以及必要情況下的差旅費用。超過 300 元的費用支出律師所應(yīng)事先得到客戶的許可。Article 5 Reimbursable ExpensesFrom time to time, the attorney agency may incur expe

20、nses on the Clientand the attorney agency shall invoice the Client for only those expenses actuallyincurred. The reimbursable expenses may include overnight delivery charges, largecopying jobs, significant long distance telephone charges, and travel relatedexpenses (if necessary). s behalfExpenses i

21、n excess of RMB300 will not be incurred without first obtaining prior approval of the Client.第六條 律師所的義務(wù)律師所應(yīng)該誠實信用地提供法律服務(wù)。律師所應(yīng)該按照相關(guān)法律規(guī)定以及雙方的書面或口頭的約定，勤勉、專業(yè)地履行自己的義務(wù)。律師所承諾在提供法律服務(wù)時，充分考慮并保護(hù)為其所知的客戶的利益和目標(biāo)。律師所同意補(bǔ)償因不當(dāng)法律服務(wù)行為給客戶造成的損失。律師所應(yīng)該具有覆蓋本協(xié)議約定的法律服務(wù)的律師執(zhí)業(yè)保險。本協(xié)議履行期間或者終止后，律師所不得向第三方披露通過提供法律服務(wù)獲得的有關(guān)客戶經(jīng)營任何信息，包括運營模式

22、、客戶信息、商業(yè)信息或者其他信息。Article 6 Responsibilities of the attorney agency.The attorney agency shall provide the Legal Services in good faith and undertakes to perform these matter with due professional care, in compliance with all relevant legal regulations, on professional level and within terms required

23、by laws or agreed on in this Agreement or which the Parties shall agree upon individually, either verbally or in writing.Promise undertakes to perform the Legal Services, so that all interests and goals of the Client known to it are always taken into consideration and are duly protected.Promise agre

24、es to indemnify the Client for any claims arising out of Legal Counsel performance of services hereunder. Promise shall maintain professional malpractice insurance covering Legal Services performed under this Agreement.Whether during or after the termination of this Agreement, the attorney agency sh

25、allnot disclose to any third party(s) any information concerning the Client s busin operation obtained by the attorney agency through providing Legal Services for theClient, such as operation model, customer information, commercial information or any other kind of information.第七條 客戶義務(wù)客戶應(yīng)該充分配合律師所工作，包

26、括向律師所提供所需的信息，以及在律師所的要求下客戶或者客戶代表能夠與律師所磋商、面談相關(guān)事宜。客戶提供的信息應(yīng)該準(zhǔn)確、完整，否則律師所不承擔(dān)因不準(zhǔn)確或者不完整信息引起的任何法律責(zé)任，律師所亦有權(quán)解除本協(xié)議。Article 7 Responsibilities of the Client.It is the Client s responsibility to cooperate fully with Promise by, among other things, providing the attorney agency with all requested information and m

27、aking the Clientor the representatives of the Client reasonably available for consultation and interviews upon request. The information provided by the Client should be correct and complete; otherwise the attorney agency will be exempted from any legal liabilities due to uncorrected or incomplete in

28、formation provided by the Client and will be entitled to cancellation of the Agreement.第八條 檔案保管除非客戶另有要求，律師所在本協(xié)議結(jié)束后應(yīng)將法律服務(wù)相關(guān)記錄保管20 年。在客戶的要求下，律師所應(yīng)該允許客戶代表或者客戶指定的人員在合理的時間查閱相關(guān)記錄。檔案保管期限結(jié)束，在客戶的要求下，律師所應(yīng)該向客戶返還所有的文件、記錄。律師所可以銷毀在保管期限結(jié)束后未返還客戶的以各種媒質(zhì)保存的檔案。Article 8 Records RetentionUnless otherwise directed by the

29、Client, Promise shall retain all records relating to the provision of the Legal services herein for a period of 20 years following the termination of this Agreement. Upon the request of the Client, Promise shall allow representatives or designees of the Client to review and/or audit said records at

30、all reasonable times.Upon the request of the Client, after the expiration of the records retention period, Promise shall return all the files and records to the Client. Promise may destroy all records in whatever media that are not returned at the expiration of the records retention period.第九條 一般條款任

31、何對本協(xié)議的修改必須經(jīng)雙方協(xié)商一致并以書面形式進(jìn)行。如果本協(xié)議的任何條款或其適用被確定為無效的，該條款或適用的無效不影響其他條款或適用的效力。本協(xié)議包含所有雙方達(dá)成一致的條款。除此外不存在其他的共識并對雙方有約束力。Article 9 General ProvisionAny amendments or changes to this Agreement shall be made in writing upon previous agreement by both parties.If any term or provision of this Agreement, or any appli

32、cation of any term or provision of this Agreement, is held to be unenforceable, the unenforceability of that term, provision or application shall not affect the enforceability of any other term, provision, or application.This Agreement contains all the terms and conditions agreed upon by the parties. No understandings or otherwise regarding the subject matter of this Agreement shall be deemed to exist or to bind any
