7、遞方式郵寄給買(mǎi)方上述第1項(xiàng)單據(jù)副本壹式壹套。12.裝運(yùn)(zhungyn)通知：裝載完畢后，賣(mài)方應(yīng)在24小時(shí)內(nèi)以傳真方式通知買(mǎi)方合同編號(hào)、品名、已發(fā)運(yùn)(f yn)數(shù)量、發(fā)票總金額、毛重、船名/車(chē)/機(jī)號(hào)及啟程日期等。13.質(zhì)量保證：貨物品質(zhì)規(guī)格必須符合(fh)本合同及質(zhì)量保證書(shū)之規(guī)定，品質(zhì)保證期為貨到目的港1個(gè)月內(nèi)。在保證期限內(nèi)，因制造廠(chǎng)商在設(shè)計(jì)制造過(guò)程中的缺陷造成的貨物損害應(yīng)由賣(mài)方負(fù)責(zé)賠償。14.檢驗(yàn)：(1)發(fā)貨前，制造廠(chǎng)應(yīng)對(duì)貨物的質(zhì)量、規(guī)格、性能和數(shù)量/重量作精密全面的檢驗(yàn)，出具檢驗(yàn)證明書(shū)，并說(shuō)明檢驗(yàn)的技術(shù)數(shù)據(jù)和結(jié)論。貨到目的港后，買(mǎi)方將申請(qǐng)中國(guó)商品檢驗(yàn)局(以下簡(jiǎn)稱(chēng)商檢局)對(duì)貨物的規(guī)格和數(shù)量/

8、重量進(jìn)行檢驗(yàn)，如發(fā)現(xiàn)貨物殘損或規(guī)格、數(shù)量與合同規(guī)定不符，除保險(xiǎn)公司或輪船公司的責(zé)任外，買(mǎi)方得在貨物到達(dá)目的港后2日內(nèi)憑商檢局出具的檢驗(yàn)證書(shū)向賣(mài)方索賠或拒收該貨。在保證期內(nèi)，如貨物由于設(shè)計(jì)或制造上的缺陷而發(fā)生損壞或品質(zhì)和性能與合同規(guī)定不符時(shí)，買(mǎi)方將委托中國(guó)商檢局進(jìn)行檢驗(yàn)。15.索賠：買(mǎi)方憑其委托的檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明書(shū)向賣(mài)方提出索賠（包括換貨），由此引起的全部費(fèi)用應(yīng)由賣(mài)方負(fù)擔(dān)。若賣(mài)方收到上述索賠后3天未予答復(fù)，則認(rèn)為賣(mài)方已接受買(mǎi)方索賠。16.遲交貨與罰款:除合同第17條不可抗力原因外，如賣(mài)方不能按合同規(guī)定的時(shí)間交貨，買(mǎi)方應(yīng)同意在賣(mài)方支付罰款的條件下延期交貨。罰款可由議付銀行在議付貨款時(shí)扣除，罰

9、款率按每天收0.05%，不足1天時(shí)以1天計(jì)算。但罰款不得超過(guò)遲交貨物總價(jià)的0.5%。如賣(mài)方延期交貨超過(guò)合同規(guī)定2天時(shí)，買(mǎi)方有權(quán)撤銷(xiāo)合同，此時(shí)，賣(mài)方仍應(yīng)不遲延地按上述規(guī)定向買(mǎi)方支付罰款。買(mǎi)方有權(quán)對(duì)因此遭受的其它損失向賣(mài)方提出索賠。17.不可抗力：凡在制造或裝船運(yùn)輸過(guò)程中，因不可抗力致使賣(mài)方不能或推遲交貨時(shí)，賣(mài)方不負(fù)責(zé)任。在發(fā)生上述情況時(shí)，賣(mài)方應(yīng)立即通知買(mǎi)方，并在5天內(nèi)，給買(mǎi)方特快專(zhuān)遞一份由當(dāng)?shù)孛耖g商會(huì)簽發(fā)的事故證明書(shū)。在此情況下，賣(mài)方仍有責(zé)任采取一切必要措施加快交貨。如事故延續(xù)15天以上，買(mǎi)方有權(quán)撤銷(xiāo)合同。18.爭(zhēng)議的解決:凡因本合同引起的或與本合同有關(guān)的任何爭(zhēng)議應(yīng)協(xié)商解決。若協(xié)商不成，應(yīng)提交中

10、國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)廣西分會(huì)，按照申請(qǐng)仲裁時(shí)該會(huì)現(xiàn)行有效的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。19. 法律適用:本合同之簽訂地、或發(fā)生爭(zhēng)議時(shí)貨物所在地在中華人民共和國(guó)境內(nèi)或被訴人為中國(guó)(zhn u)法人的，適用中華人民共和國(guó)法律，除此規(guī)定外，適用聯(lián)合國(guó)國(guó)際貨物銷(xiāo)售公約。20.通知(tngzh):所有通知(tngzh)用中文寫(xiě)成，并按照如下地址用傳真/電子郵件/快件送達(dá)給各方。如果地址有變更，一方應(yīng)在變更后2日內(nèi)書(shū)面通知另一方。21.本合同使用的 FOB、CFR、CIF 術(shù)語(yǔ)系根據(jù)國(guó)際商會(huì)2010 年國(guó)際貿(mào)易術(shù)語(yǔ)解釋通則。22文字：本合同中、英兩種文字具有同等法律效力，在文

Quality Guarantee：The Seller shall guarantee that the commodity must be in conformity with the quality, specifications a

24、nd quantity specified in this Contract and Letter of Quality Guarantee. The guarantee period shall be 1 month after the arrival of the goods at the port of destination, and during the period the Seller shall be responsible for the damage due to the defects in designing and manufacturing of the manuf

25、acturer.14. Inspection：(1) The manufacturers shall, before delivery, make a precise and comprehensive inspection of the goods with regard to its quality, specifications, performance and quantity/weight, and issue inspection certificates certifying the technical data and conclusion of the inspection.

26、 After arrival of the goods at the port of destination, the Buyer shall apply to China Commodity Inspection Bureau (hereinafter referred to as CCIB) for a further inspection as to the specifications and quantity/weight of the goods. If damages of the goods are found, or the specifications and/or qua

27、ntity are not in conformity with the stipulations in this Contract, except when the responsibilities lies with Insurance Company or Shipping Company, the Buyer shall, within 2 days after arrival of the goods at the port of destination, claim against the Seller, or reject the goods according to the i

28、nspection certificate issued by CCIB. In case of damage of the goods incurred due to the design or manufacture defects and/or in case the quality and performance are not in conformity with the Contract, the Buyer shall, during the guarantee period, request CCIB to make a survey. 15. Claim：The buyer

29、shall make a claim against the Seller (including replacement of the goods) by the further inspection certificate and all the expenses incurred therefrom shall be borne by the Seller. The claims mentioned above shall be regarded as being accepted if the Seller fail to reply within 3 days after the Se

30、ller received the Buyers claim. 16. Late delivery and Penalty:Should the Seller fail to make delivery on time as stipulated in the Contract, with the exception of Force Manure causes specified in Clause 17 of this Contract, the Buyer shall agree to postpone the delivery on the condition that the Sel

31、ler agree to pay a penalty which shall be deducted by the paying bank from the payment under negotiation. The rate of penalty is charged at 0.05% for every 1days, odd days less than 1days should be counted as 2 days. But the penalty, however, shall not exceed 5% of the total value of the goods invol

32、ved in the delayed delivery. In case the Seller fail to make delivery 2 days later than the time of shipment stipulated in the Contract, the Buyer shall have the right to cancel the Contract and the Seller, in spite of the acceptilation, shall nevertheless pay the aforesaid penalty to the Buyer with

33、out delay. The buyer shall have the right to lodge a claim against the Seller for the losses sustained if any.17. Force Manure：The Seller shall not be responsible for the delay of shipment or non-delivery of the goods due to Force Manure, advise the Buyer immediately of the occurrence mentioned abov

34、e and within 5 days thereafter the Seller shall send a notice by courier to the Buyer for their acceptance of a certificate of the accident issued by the local chamber of commerce under whose jurisdiction the accident occurs as evidence thereof. Under such circumstances the Seller, however, are stil

35、l under the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 15 days the Buyer shall have the right to cancel the Contract. 18. Arbitration:Any dispute arising from or in connection with the Contract shall be settled through frie

36、ndly negotiation. In case no settlement is reached, the dispute shall be submitted to China International Economic and Trade Arbitration Commission (CIETAC), Guangxi Commission for arbitration in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final
