1、綜合廣告代理協(xié)議書LETTER OF AGREEMENT廣 告 主:_ 代 理 商:_ 代理商品與服務(wù):_ 時(shí)刻: 年 月 日合肥嘉寶傳播有限公司(簡(jiǎn)稱代理商)擔(dān)任 柯達(dá)(中國(guó))有限公司 (以下稱廣告主)“陽(yáng)光之旅”行銷公關(guān)活動(dòng)的廣告代理公司,須遵照下述條件:代理商同意向廣告主提供本次行銷公關(guān)活動(dòng)的如下內(nèi)容:活動(dòng)整體設(shè)計(jì)及策劃活動(dòng)主題及要緊視覺(jué)形象設(shè)計(jì)平面廣告、電視廣告創(chuàng)意制作廣告媒體的打算及投放展覽設(shè)計(jì)和制作的監(jiān)督大篷車改裝的設(shè)計(jì)效果的監(jiān)督禮品、印刷品、卡通形象的設(shè)計(jì)與制作代理商的服務(wù)亦將包括審核所有已刊的廣告提交廣告主,包括核實(shí)廣告面積的實(shí)際尺寸、檢查已刊廣告的質(zhì)量及印刷廣告的刊出位置、審

2、核電臺(tái)及電視臺(tái)的播出證明,同時(shí)審核所有媒介及有關(guān)的收費(fèi)單據(jù)。2代理商將按照正常廣告價(jià)目表向廣告主支取一切媒介費(fèi)用。代理商的酬報(bào),媒介傭金為媒介凈價(jià)的17.65%。代理商應(yīng)將媒介傭金之外的所有媒介返還折扣全數(shù)歸還廣告主。廣告主在其所取得之媒介凈價(jià)低于代理商報(bào)價(jià)的 10% 時(shí),廣告主可自行投放,廣告主以取得凈價(jià)為基礎(chǔ)支付代理商媒介傭金。3代理商將向廣告主支取一切由下列工作產(chǎn)生之費(fèi)用,包括制作美術(shù)稿件、制版、電腦制作、打字組合、物料、電臺(tái)及電視臺(tái)廣告制作及藝員(包括整理節(jié)目)、照片、證明書及所有其它廣告附屬物品,包括與取得個(gè)不人士名字或照片使用權(quán)的相關(guān)費(fèi)用。代理商依此為其成本另加17.65%傭金計(jì)算

3、收費(fèi)。代理商將按其成本向廣告主支取與出差公干、包裝、運(yùn)送、快遞及郵電等相關(guān)的一切費(fèi)用。.中國(guó)最大的資料庫(kù)下載4代理商亦將對(duì)經(jīng)由第三單位,如展覽、攝影、電視制作及預(yù)備美術(shù)稿件的監(jiān)督列為收費(fèi)項(xiàng)目。其中涉及代理商為此消耗的所有時(shí)刻成本,例如布展、車體改裝、監(jiān)督影片剪輯、以及核查創(chuàng)作美術(shù)稿件過(guò)程的所有時(shí)期。5代理商將按照成本向廣告主提供廣告草樣及電視廣告畫面構(gòu)思圖。廣告主若要求更全面的廣告草樣及文字排版,則由代理商內(nèi)部進(jìn)行的完稿及電腦制作工作,均按照收費(fèi)標(biāo)準(zhǔn)支取。廣告主可依據(jù)實(shí)際情況自行發(fā)包印刷、贈(zèng)品業(yè)務(wù),代理商以凈價(jià)基礎(chǔ)收17.65%作為代理傭金。6代理商未取得廣告主的書面同意前,不得發(fā)放任何廣告,

4、亦不得在取得廣告主書面同意其可能成本前,產(chǎn)生任何將向廣告主支取的費(fèi)用。7廣告主須于代理商收費(fèi)單據(jù)發(fā)出日期起計(jì)30天內(nèi),付予代理商費(fèi)用。惟以下第10所列明電視廣告制作及媒介訂位所需要預(yù)付的金額則不在此限。廣告主若對(duì)收費(fèi)單據(jù)有異議,可在接獲收費(fèi)單據(jù)后1星期內(nèi)提出書面意見(jiàn)。代理商應(yīng)據(jù)此對(duì)相關(guān)單據(jù)提出書面澄清。8在廣告主同意基礎(chǔ)上,凡涉及外幣付費(fèi),廣告主盡可能以外幣付費(fèi)。超逾30日免息期仍未清付的金額,代理商保留按當(dāng)時(shí)利率向廣告主支取利息的權(quán)利。10代理商提出第三單位之確切依據(jù),依照規(guī)定,若需預(yù)付款的,廣告主須為電視廣告制作及預(yù)定媒介廣告時(shí)刻/篇幅預(yù)付實(shí)付廣告制作或媒介金額予代理商。11在雙方同意的免

5、息期過(guò)后,如費(fèi)用仍未獲清付,代理商保留權(quán)利給予廣告主7天書面通知,即廣告主需在接到書面通知7天內(nèi)支付一切有關(guān)費(fèi)用。12由廣告主授權(quán)的下述服務(wù),整體活動(dòng)設(shè)計(jì)及策劃,代理商將按每小時(shí)費(fèi)用收取,另加實(shí)報(bào)實(shí)銷成本,或任何經(jīng)雙方事先同意的金額。13由廣告主以書面要求的一切非經(jīng)常及額外工作,皆收取事先雙方同意的費(fèi)用。14代理商職員執(zhí)行慣常的工作任務(wù),例如實(shí)地考察以改善廣播時(shí)刻以及日常往返廣告主辦事處等,由此產(chǎn)生的正常交通費(fèi),代理商將不收費(fèi)用。但廣告主須償還代理商創(chuàng)作部職員參與特不廣告或電視臺(tái)廣告,以及代理商職員負(fù)責(zé)通常由廣告主本身雇員所處理的事宜,所產(chǎn)生的交通費(fèi)用實(shí)額。15本協(xié)議書將由_年_月_日起生效,

6、直至上述列出地址或任何一方以書面另提地址所代表的任何一方解除為止。16(a)本協(xié)議書可由任何一方以書面通知寄往另一方,于90日內(nèi)解除。在上述通知期限內(nèi),代理商及廣告主的一切權(quán)利、義務(wù)及責(zé)任仍將完全執(zhí)行及生效,包括完成廣告主授權(quán)代理商進(jìn)行的發(fā)放廣告稿,打算發(fā)稿至任何截稿時(shí)刻在上述上述通知90日期限內(nèi)的媒介。(c)本協(xié)議書解除時(shí)代理商須交回廣告主前次向廣告主支取費(fèi)用所產(chǎn)生的全部資產(chǎn)及物料以及所有由代理商或廣告主訂立的合同以及預(yù)訂的一切廣告時(shí)刻、空位、藝員及其它廣告相關(guān)物。所有虧欠的費(fèi)用及回扣仍將歸入廣告主的帳戶,不須調(diào)整之前所支付的傭金。由代理商代表廣告主訂立的一切未完成合同預(yù)留廣告及非收費(fèi)責(zé)任,

7、廣告主將予代理商賠償。代理商亦將交回一切由廣告主提供有關(guān)廣告主產(chǎn)品、銷售、數(shù)據(jù)等資料以及研究資料。代理商同意不泄露此等機(jī)密資料予任何于本協(xié)議書解除后可能雇傭此等服務(wù)的人士。廣告主同意償還代理商任何之前由廣告主授權(quán)而未能完成工作的制作成本及附加傭金。此等未完成工作將退回予廣告主,廣告主有權(quán)加以完成并于日后的廣告中使用此等材料及意念。廣告主亦可選擇托付代理商在90日通告期限之后的任何日期發(fā)放廣告予傳播媒介。在此情況下代理商將按照慣例收取正常的傭金。在期限(90日)屆滿后廣告主未作此類要求,則該期滿,日后雙方的關(guān)系不再產(chǎn)生任何權(quán)利及義務(wù)。廣告主可選擇在不遲于90日通知期限最后一日前由代理商將一切有關(guān)

8、印刷、時(shí)刻及藝員的合同以及對(duì)電臺(tái)或電視臺(tái)所制作物件的監(jiān)督工作轉(zhuǎn)移予新代理公司或廣告主,使通知期限結(jié)束前可進(jìn)行正常的移交工作。代理商同意與廣告主及新代理公司合作落實(shí)有效率的責(zé)任移交工作。17廣告主付予代理商款項(xiàng)的毛額或凈額須繳付的,或代理商付予媒體供應(yīng)者款項(xiàng)的毛額或凈額須繳付的,或因代理商提供服務(wù)或額外服務(wù)而須繳付的,或與該等服務(wù)有關(guān)的各項(xiàng)應(yīng)繳稅項(xiàng)、關(guān)稅或政府征費(fèi)(例如上海城建稅、廣州防洪基金及印花稅等),一律由廣告主承擔(dān)。18(a)廣告主不能要求代理商做出中華人民共和國(guó)廣告法或中華人民共和國(guó)其它法律禁止進(jìn) 行的任何情況,亦不能要求代理商不做該等法律規(guī)定必須進(jìn)行的任何情況。只有廣告主有資格享有代

9、理商在本協(xié)議上所承諾的服務(wù)。代理商毋須就有關(guān)的承諾而向第三者(包括但不限于任何與廣告主有關(guān)的公司)負(fù)任何責(zé)任。(c )代理商就提供任何服務(wù)或無(wú)法履行任何服務(wù)承諾而須向廣告主承擔(dān)的責(zé)任,只限于代 理商就該項(xiàng)服務(wù)所收取的傭金總額,而代理商須向廣告主承擔(dān)的責(zé)任亦同時(shí)受下一條 文所規(guī)限。任何與廣告主所提供或認(rèn)可的任何物料有關(guān),或與廣告主的任何指示有關(guān),或由之而引起的行動(dòng)、訴訟、費(fèi)用、損毀、損失、索償或追究,代理商均毋須承擔(dān)任何責(zé)任,而廣告主須向代理商就有關(guān)事項(xiàng)做出賠償。19廣告主前述隨同本函件所附的副本將構(gòu)成對(duì)文件內(nèi)條款的同意。20本協(xié)議受中國(guó)法律所制約,并須依照中國(guó)法律詮釋。合肥嘉寶傳播有限公司 明

10、了及同意_總經(jīng)理(代理商)(廣告主)G&B Advertising Agency (hereafter referred to as “AGENCY”) agrees to serve as an advertising agency of (hereafter referred to as “ADVERTISER”) in China in accordance with and subject to the following terms and conditions.AGENCY agrees to furnish to ADVERTISER all the services custo

11、marily furnished by advertising agencies except as may be otherwise mutually agreed. Without limiting the foregoing AGENCYs services shall include formulation of marketing plans in cooperation with ADVERTISER, study and analysis of the market potentials for such products, creation and execution of a

12、dvertising plans and campaigns of all types.AGENCY will bill the ADVERTISER at normal card rates for all media.AGENCY will bill the ADVERTISER for expenditure incurred for artwork, engraving, electrotyping, type composition, materials, radio and television production and talent(including package pro

13、grams), photographs, testimonials and all other advertising adjuncts, including expenditures in connection with acquiring authorization for the use of the names or photographs of individuals, at the cost thereof to AGENCY plus 17.65%. AGENCY will bill ADVERTISER at cost for expenditures in connectio

14、n with travel, packing, forwarding, express and postage expenses.AGENCY will include a supervision fee on photography, TV production, and artwork preparation. This covers all aspects of AGENCY time incurred such as location hunting, casting, editing supervision, and checking all stages of artwork de

15、velopment.AGENCY will provide layouts and story-boards at cost to ADVERTISER. Comprehensive layouts and typesetting required by ADVERTISER, finished art, and mechanical paste-ups prepared with the agency will charged at standard hourly rates.AGENCY shall not place any advertising without first obtai

16、ning the approval of the ADVERTISER in writing, nor shall it incur any expenditure, for which the ADVERTISER shall be billed, except shipping expenses, without first obtaining the approval of the ADVERTISER in writing for the estimate cost thereof.ADVERTISER will remunerate AGENCY within 30 days fro

17、m AGENCYs invoice date with the exception of the prepayment for TV production and media booking as mentioned in #10 below. ADVERTISER shall object against invoices within one week after receipt in writing and AGENCY shall then clarify the relevant invoices in writing.For all foreign currency expendi

18、tures, ADVERTISER agrees to pay the AGENCY by the same foreign currency.AGENCY will reserve the right to charge ADVERTISER interest at the prevailing market rate for the sum outstanding in excess of the 30 days credit term.ADVERTISER shall pay 100% deposit up front to AGENCY for TV production.ADVERT

19、ISER shall pay 100% up front to AGENCY for all media booking requirement.AGENCY will reserve the right to terminate all expenditures on behalf of ADVERTISER in the event payments are not made within agreed credit terms by giving ADVERTISER 7 days written notice.For the services listed below as autho

20、rized by ADVERTISER, AGENCY shall bill its hourly time charges, out-of-pocket costs or such amount as shall be agreed upon in advance.Publicity.Design and preparation of cooperation of other non commission-able advertising.Design and/or preparation of booklets and printed matter.Design of labels of

21、packaging, etc.Design and/or preparation of merchandising and sales aids.For research fee and other research related cost, AGENCY should prepare an estimate for the approval of the ADVERTISER. AGENCY should invoice ADVERTISER according to the approved estimate.All extraordinary and unusual work requ

22、ested by ADVERTISER in writing will be charged at a fee to be mutually agreed in advance.AGENCY will assume without charge to ADVERTISER all normal travel expenses of AGENCY personnel engaged in regular duties such as field travel to improve broadcast time, and routine travel to and from ADVERTISERs

23、 office, ADVERTISER will reimburse AGENCY its net cost for travel of creative personnel in connection with specific advertisements or commercials and for any travel of AGENCY personnel in connection with matters normally handled by ADVERTISERs staff.This agreement shall become effective from and sha

24、ll continue until terminated by either party at the address given above or such other address as may be designed by either party in writing.(a)This agreement may be terminated by either party upon 90 days written notice mailed to the party to whom such notice is addressed.The rights, duties and resp

25、onsibilities of AGENCY and ADVERTISER shall continue in full force and effect during this period of notice, including the completion of plans for and the placing of advertisements ADVERTISER has authorized AGENCY to place in any media whose closing dates fall within the 90-day notice period.Upon ter

26、mination of this agreement, AGENCY shall transfer to ADVERTISER all property and materials previously charged or chargeable to ADVERTISER and all contracts and reservations for time, space, talent and other advertising adjuncts entered into by AGENCY or ADVERTISER, and all short rates and rebates sh

27、all be for the account of ADVERTISER, without adjustment of commissions previously paid.ADVERTISER will indemnify AGENCY on all incomplete contracts, reservations and non-chargeable commitments entered into by AGENCY on behalf of ADVERTISER.(d)AGENCY will also return to ADVERTISER all information pr

28、ovided byADVERTISER on ADVERTISERs products, sales, or marketing data and market research information and AGENCY agrees not to disclose such confidential information to anyone who might engage their services after such termination.ADVERTISER agrees to reimburse AGENCY for production costs plus commi

29、ssion of any incomplete work previously authorized by ADVERTISER. Such incomplete work will be returned to ADVERTISER and ADVERTISER will have the right to complete and use such material and ideas in its future advertising.ADVERTISER may elect to have AGENCY place advertisements in media on dates su

30、bsequent to the 90-day notice period. In such cases AGENCY will receive the usual commission. If no such request is made by ADVERTISER beyond the 90-day expiration period no right or liabilities shall arise out of this relationship after such expiration date.All print, time and talent contracts and

31、the supervision of production of radio or TV properties will be assigned by AGENCY to the new agency or to ADVERTISER if ADVERTISER so elects, not later than the last day of this 90-day notice period so that a normal transition may take place at the end of the notice period.AGENCY agrees to cooperat

32、e with ADVERTISER and the new agency to effect an efficient transition in responsibilities.All taxes, duties, levies or similar regulatory imposts(such as, but not limited to, Business Tax, Custom Duty, Stamp Duty, etc.) that are applicable to the gross or net amounts of ADVERTISERs payments to AGEN

33、CY or to AGENCYs payments to media suppliers or that arise out of or in connection with AGENCYs performance of the services or any additional services(the “Applicable Taxes”) shall be for the account of ADVERTISER.(a)ADVERTISER shall not require AGENCY to do anything prohibited, or to omit to do anything required, by the Advertising Law or other law of the Peoples Republic of China.Only ADVERTISER is entitled to reply on AGENCYs unde
