5、alltheessentialinformation,advice,consultationandotherservicesrequestedbyPARTYA,inviewofobtainingtheprojectcontractssignedbetweenPARTYAandtheCLIENTandsoastosecurethegoodexecutionofthecontractsbycoordinationandsolvingtheproblemsoccurredbetweenPARTYAandtheCLIENT.PARTYBwillactasaconsultantofPARTYAinXXX

6、X(COUNTRY)topromotePARTYAsparticipationinthesaidProjectsinXXXX(COUNTRY),alongwithXXXX(COUNTRY)authoritiesandprivateentities.ThatconsultantserviceisnotlimitedinscopebutthepartieswillagreeonalistoftargetswhichwillconstitutetheinitialbasisofPARTYBswork.3.2UpontherequestofPARTYAwhenevernecessary,PARTYBs

7、houldalso:ProvideassistancetoPartyAsworkintheclientscountry.SupplytoPartyAwithdataconcerningthemarketandotherinformationincludinginformationonlaws,payments,taxationandotherstandardsinforceintheclientscountrywhichcouldbenecessary.Takepartinthepreparationandsubmissionofanywrittendocumentwhichmustbepre

9、iontotheabovemustbeagreedtoinwritingbytheParties.ARTICLE5REMUNERATION5.1PartyAshallpaytoPartyBsuchremunerationasPartyBshallbeentitledtoinaccordancewiththetermsofthisAgreement.5.2ThePartiesagreethatremunerationshallbepaidtoPARTYBaccordingtothepercentageandthecontractamountshowninthetablebelowwhenthec

10、ontractamountisequaltothebiddingprice:Whenthecontractamountislowerthanthebiddingprice,thepercentageshowninthetableaboveshallbereducedaccordinglyuponthePartiesfriendlydiscussion.5.3PaymentsshallbemadeintoPartyBsbankaccountspecifiedbyPartyBriting,wandshallbeinthesamecurrency(USD)asthatoftheProjectcont

11、ract.5.4InconsiderationofthefactthatPartyAshallbepaidinaccordancewiththepaymentscheduleoftheProjectcontract,paymentsinfavorofPartyBshallbemadecorrespondenetly,andshallbemadeafterPartyAseffectivereceiptofeachpaymentfrotheClient.ARTICLE6VALIDITYANDTERM6.1ThisAgreementshallcomeintoforceonthedateofsigna

12、tureandshallremainvalidfor1year.ThisAgreementshallremainvaliduntiltheendoftheProjectiftheProjectisunderimplementionwhenthisAgreementexpires.6.2IntheeventthattheClientunilateralyrescindstheProjectcontractforanyreasonbeforetheexpriationoftheProject,thisagreementshallautomaticallybecome.精選文檔ineffective

13、ness.However,theconsultantsshallstillmakenecessarystepstoassistPARTYAwiththeClienttoconfirmthevalidityofthepartthathasbeenperformedandensureinobtainingthepaymentequivalenttothevalueofthepartthathasbeenconfirmed.ARTICLE7-FORCEMAJEURE7.1IftheAgreementispreventedfromexecutionbyforcemajeure,theprevented

14、partyshallpromptlyinformtheotherpartyoftheeventandthedetailedinformationabouttheeventandthecertificatethatproveshowtheexecutionoftheagreementhasbeeninfluencedbytheevents.7.2InthisClause,“ForceMajeure”meansaneventcannotbeforseenbytheparties,beyondthecontroloftheparties,whichmakesitimpossibleforaparty

15、toperformitsobligationundertheContract,includingbutnotlimitedto:naturalcalamities;and/or,anychangeofforeignexchangecontrolpolicy;and/or,anypublicationofnewlawsorregulationsaswellastheintroductionofgovernmentalmeasuresorthepracticingofadministrativeactswhichmaybelikelytoaffecttheperformanceofthisagre

16、ement.7.3IncaseoftheForceMajeure,theexecutingperiodoftheAgreementshallbeextendedtoaperiodequaltothatoftheaccident.7.4BothpartiesshallnotdemandcompensationofeachotherforlossescausedbysuchaForceMajeure.ARTICLE8LANGUAGE8.1Alldocuments,communicationsornotificationsreferredtothepresentAgreement,orwhichma

17、yberequiredunderthetermsofthisAgreement,shallbeinEnglishARTICLE9GOVERNINGLAWANDARBITRATION.精選文檔9.1Theagreement,includingwithoutlimitationitsconclusion,validity,construction,performanceandsettlementofdisputes,shallbegovernedbythelawsofthePeoplesRepublicofChinawithoutgivingeffecttotheprinciplesofconfl

18、ictoflaw.9.3Tothefullestextentpermittedbythelaw,thisarbitrationproceedingandthearbitratorsawardshallbemaintainedinconfidencebythepartiessoastoprotectrelevantvaluableinformationorintellectualpropertyrights.9.4Notwithstandinganyreferencetoarbitration,bothPartiesshallcontinuetoperformtheirrespectiveobl
