白米出口買賣合同（中英文對照）白米出口買賣合同（中英文對照）CONTRACTOFWHITERICETRADE賣方：中國某公司買方：英國某公司雙方同意按照下列條款由賣方出售，買方購進(jìn)以下貨物：Thesellersagreetosellandthebuyersagreetobuytheundermentionedgoodsonthetermsandconditionsstatedbelow:貨物名稱、規(guī)格、包裝和原產(chǎn)地Nameofthecommodity,specifications,packingandoriginal白米，長形，碎粒最高25%,雜質(zhì)最高0.25%,水份最高13%,50公斤/每袋，麻袋包裝。whiterice,longshapedbrokengrains(max.)25%admixture(max.)0.25%andmoisture(max.)13%.packedingunnybagsof50kiloseach.原產(chǎn)地:中國Original:China2、數(shù)量quantity:1000公噸M/T賣方有權(quán)在3%內(nèi)多裝或少裝shipment3%moreorlessatseller7soption3、單價(jià)unitprice每公噸200美元CIF紐約USD200perM/TCIFNewYork4、總值：200000美元TotalAmount:TwohundredthousandUSDollarsonly5、裝運(yùn)期限：3月份裝運(yùn)Timeofshipment:shipmentduringMarchofthisyear.6、裝運(yùn)口岸：中國上海港Portofloading:Shanghaiport,China7、目的口岸：英國倫敦港Portofdestination:Londonport,Britain8、保險(xiǎn):Insurance由賣方按發(fā)票金額的110%投保水漬險(xiǎn)，加保短量險(xiǎn)，按1981年1月1日中國人民保險(xiǎn)公司海洋運(yùn)輸貨物保險(xiǎn)條款為準(zhǔn)。Insurancetobecoveredbythesellersfor110%oftheinvoicevalueagainstW.P.AincludingshortageinweightasperandsubjecttotheOceanMarinClausesofthePeople'sInsuranceCompanyofChinadatedJan.1,1981.9、付款條件:Termofpayment:憑保兌的、不可撤銷的即期信用證在中國憑單付款。信用證以賣方為受益人，并允許分批裝運(yùn)和轉(zhuǎn)船，該信用證必須在裝運(yùn)約15天前開到賣方，并在裝船后在上述裝運(yùn)港繼續(xù)有效15天。否則賣方無須通知即可有權(quán)取消本合同，并向買方索賠因此而發(fā)生的一切損失。Byconfirmed,irrevocableLetterofCreditinfavorofthesellerspayableatsightagainstpresentationofshippingdocumentsinChina,withpartialshipmentsandtransshipmentallowed.ThecoveringLetterofCreditmustreachthesellers15daysbeforethecontractedmonthofshipmentandremainvalidintheaboveloadingportuntilthe15thdayaftershipment,failingwhichthesellersreservetherighttocancelthecontractwithoutfurthernoticeandtoclainagainstthebuyersforanylossresultingthereform.10、單據(jù)：Documents:賣方應(yīng)向議付銀行提供已裝船清潔提單、發(fā)票、中國商品檢驗(yàn)局出具的品質(zhì)證明和數(shù)量/重量鑒定書，以及可轉(zhuǎn)讓的保險(xiǎn)單。Thesellersshallpresenttothenegotiatingbank,cleanandonboardbillofloading,invoice,qualitycertificateandsurveyreportonquantity/weightissuedbytheChinaCommodityInspectionBureau,andtransferableinsurancepolicy.11、裝運(yùn)條件：Termsofshipment裝運(yùn)船只由賣方安排，允許分批裝運(yùn)及轉(zhuǎn)船。Thecarryingvesselshallbeprovidedbythesellers.Partialshipmentandtransshipmentareallowed.賣方于貨物裝船后，應(yīng)將合同號(hào)碼、品名、船名、裝船日期以電報(bào)通知買方。Afterloadingiscompleted,thesellershallnotifythebuyersbycableofthecontractednumber,nameofcommodity,nameofthecarryingvesselanddateofshipment.12、品質(zhì)、數(shù)量、質(zhì)量的異議與索賠:Quality/quantitydiscrepancyandclaim:貨到目的口岸后，買方如發(fā)現(xiàn)貨物品質(zhì)或數(shù)量或重量與合同規(guī)定不符,除屬保險(xiǎn)公司或船公司的責(zé)任^,買方可憑雙方同意的檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證書向賣方提出異議。品質(zhì)異議須于貨到目的地口岸30日內(nèi)提出，數(shù)量、重量異議須于貨到目的地口岸15日內(nèi)提出。賣方應(yīng)于收到異議后30日內(nèi)答復(fù)買方。Incasethequalityand/orquantity/weightarefoundbythebuyerstobenbotinconformitywiththecontractafterthearrivalofthegoodsattheportofdestination,thebuyersmaylodgeclaimwiththesellerssupportedbybothparties,withtheexception,however,ofthoseclaimsforwhichtheinsurancecompanyand/ortheshippingcompanyaretobeheldresponsible.Claimforqualitydiscrepancyshouldbefiledbythebuyerswithin30daysafterthearrivalofthegoodsattheportofdestination,whileforquantity/weightdiscrepancyclaimshouldbefiledbythebuyerswithin15daysafterthearrivalofthegoodsattheportofdestination.Thesellersshall,within30daysafterreceiptofthenotificationoftheclaim,sendreplytothebuyers.13、不可抗力ForceMajeure由于人力不可抗拒之事故，使賣方不能在本合同規(guī)定期限內(nèi)交貨或不能交貨，賣方不負(fù)責(zé)任。但賣方須盡快以電報(bào)通知買方，并在事故發(fā)生后15天內(nèi)以掛號(hào)信向買方提供由中國國際貿(mào)易促進(jìn)委員會(huì)或有關(guān)機(jī)構(gòu)出具的事故證明。IncaseofForceMajeure,thesellersshallnotbeheldresponsibleforlatedeliveryornon-deliveryofthegoodsbutshallnotifythebuyersbycableassoonaspossibleandgivethebuyersacertificatebytheChinaCouncilforthePromotionfoInternationalTradeorothercompetentauthoritiesbyregisteredmailissued.14、仲裁Arbitration在履行合同時(shí)合同雙方如發(fā)生爭議，雙方應(yīng)通過相互協(xié)商解決。如協(xié)商不成，則仲裁解決。仲裁應(yīng)在中國上海進(jìn)行，由中國國際貿(mào)易促進(jìn)會(huì)對外經(jīng)濟(jì)貿(mào)易仲裁委員根據(jù)其仲裁程序進(jìn)行仲裁。仲裁裁決是終局的，對雙方都有約束力。仲裁費(fèi)由敗訴方承擔(dān)。Anydisputesarisingformtheexecutionoforinconnectionwiththecontractshallbesettledthroughmutualconsultationsbetweenthepartiesthereto.Incasenosettlementcanbereachedthroughconsultations,thedisputesinquestionshallbesubmittedforarbitration.Thearbitrationshalltakeplaceinshanghai,China,andshall,inaccordancewithitsrulesofprocedure,beconductedbytheForeignEconomicandTradeArbitrationCommissionoftheChinaCouncilforthePromotionofInternationalTrade.Thearbitrationawardshallbefinalandbindingonthepart
