強(qiáng)度差價(jià)StrengthVariance對(duì)于規(guī)定了斷裂比強(qiáng)度最小值的合同,未達(dá)到此最小值的,差價(jià)如下:Intermsofacontractthatprovidestheminimumstrength,thepricedifferenceshallbesetforthbelowifitfailstoreachtheminimumstrength:儀器測(cè)試值低于最小值扣減幅度ValuetestedlessthantheminimumvalueDeduction(%)比6.還0低的,每低1克/特克斯,扣減幅度增加4。%Iflessthan6.0,foreachgram/texlowered,thedeductionis4%.9長(zhǎng)絨棉質(zhì)量降級(jí)差價(jià)(按合同單價(jià)的百分比％)9PriceDeductionforLong-stapleCottonInferiorQualityGrade(%ofthecontractunitprice)除非雙方另有約定，否則適用以下規(guī)定：Unlessotherwiseagreedtobytheparties,theprovisionshereinaftershallapply:品級(jí)降級(jí)差價(jià)按通用棉花標(biāo)準(zhǔn)PriceDeductionduetoInferiorQualityGrade(inaccordancewiththelongstaplecottongradeprovidedinUSDAuniversalstandards):級(jí)級(jí)-級(jí)級(jí)級(jí)級(jí)2長(zhǎng)2度降級(jí)差價(jià)InferiorStapleDeduction檢驗(yàn)結(jié)果低于合同長(zhǎng)度（英寸）扣減比例Deduction(%)Deduction(%)MicronaireVariance與細(xì)絨棉相同。AsperUplandcotton..強(qiáng)4度差價(jià)9.4StrengthVariance與細(xì)絨棉相同。AsperUplandcotton10違約索賠ContractSettlementDifferences10.延1遲裝運(yùn)DelayofShipment由于賣方原因造成不能按期裝運(yùn)的，則賣方應(yīng)從合同規(guī)定的最晚裝運(yùn)日的第十一天起,按照實(shí)際延遲的天數(shù)，每月付給買方貨值金額1.2的5遲%裝費(fèi)。IfthecottonfailstobeshippedasscheduledduetotheSeller’sreasons,theSellershallpaytheBuyeradelayeddeliveryfeeequivalentto1.25%ofthevalueofthecommodityforthedelayincurredinthecontractedlatestshipmentdatefromtheeleventhdayafterthemonththecottonwasduetobeshipped.由于買方原因造成不能按期裝運(yùn)的，則買方應(yīng)從合同規(guī)定的最晚裝運(yùn)日的第十一天起,按照實(shí)際延遲的天數(shù)，每月付給賣方貨值金額1.2的5遲%裝費(fèi)。IfthecottonfailstobeshippedasscheduledduetotheBuyer’sreasons,theBuyershallcompensatetheSellercarryingchargesequivalentto1.25%ofthevalueofthecommodityforthedelayincurredinthecontractedlatestshipmentdatefromtheeleventhdayafterthemonththecottonwasduetobeshipped.由于買賣雙方中任何一方的原因造成超過(guò)合同規(guī)定的最晚裝運(yùn)日45天仍不能裝運(yùn)的，另一方有權(quán)解除合同，但違約方仍應(yīng)承擔(dān)違約責(zé)任。Ifthecottonfailstobeshippedwithin45daysafterthecontractedlatestshipmentdateasprovidedbytheContractduetothereasonsattributabletoeitherParty,theotherPartyisentitledtoterminatetheContractandthebreachingPartyshallbeliableforsuchterminationofContract.10.重2量差異10.2WeightDifferences到岸重量與合同重量的差異在合同允差范圍內(nèi)的，按合同價(jià)結(jié)算。超出合同允差的多裝部分買方有權(quán)拒收；超出合同允差的少裝部分按其貨值金額（按合同價(jià)計(jì)算）的15賠%償給買方。IfthedifferencebetweentheCIQlandedweightandthecontractweightiswithinthecontracttoleranceweight,paymentshallbesettledatthecontractprice.TheBuyerisentitlednottoacceptthepartexceedingthecontracttoleranceweightandtheBuyershallbecompensatedat15%ofthevalue(calculatedattheContractprice)oftheshortpart.10.3質(zhì)量不符10.3QualityDifferences出現(xiàn)下列質(zhì)量不符行為根據(jù)提供的有關(guān)證明，賣方應(yīng)做如下賠償：TheSellershallmakecompensationsprovidedasfollowsforanyqualitydifferencessetforthbelowwithrelevantcertificateprovidedbyCIQ:對(duì)1合同規(guī)定品級(jí)、長(zhǎng)度與到岸檢驗(yàn)品級(jí)、長(zhǎng)度相差1個(gè)級(jí)的棉包,則按上述8.、18.條2款規(guī)定的差價(jià)率補(bǔ)償。IntermsofthedeliveredbalesofwhichthegradeandstapleforinspectionareonegradeinferiorthanthegradeandstapleprovidedbytheContract,compensationsatthedeductionrateprovidedintheforegoingArticle8.1andArticle8.2shallbemade.10.3.如2果合同規(guī)定品級(jí)、長(zhǎng)度與到岸檢驗(yàn)品級(jí)、長(zhǎng)度相差2個(gè)級(jí)的棉包數(shù)量占該批棉包總數(shù)量的比例超過(guò)5%的，除按上述8.、18.條2款規(guī)定的差價(jià)率補(bǔ)償外，還應(yīng)按全部降級(jí)棉包合同金額的20作%為違約金賠償給買方。Ifmorethan5%ofthelandedshipmentarebalestwogradesinferiortothecontractgradeintermsofqualityandstaple,theninadditiontopricedeductioncompensationsasinArticles8.1and8.2,theBuyershallbegivenextraliquidateddamagesequivalentto20%ofthecontractvalueofthetotaldefectivebales.10.3.對(duì)3商檢后棉花級(jí)別低于合同規(guī)定級(jí)別3個(gè)級(jí)及以上的棉包、欺詐棉包和混雜棉包買方可選擇：退貨，賣方除退還全額貨款外還要按這些問(wèn)題棉包合同金額的作為違約金賠償給買方，并承擔(dān)退貨費(fèi)用；按上述、條款規(guī)定的差價(jià)率補(bǔ)償并按問(wèn)題棉包合同金額的50作%為違約金賠償給買方。10.3.3Intermsofabaleofcottonofwhichthequality,uponCIQinspection,is3ormorethan3gradesinferiortothegradeagreedintheContract,falsepackedbalesandmixedpackedbales,theBuyermaychooseto:A.returnthebales,inwhichcasetheSellershallpaytheBuyerliquidateddamagesequivalentto50%ofthecontractvalueoftheproblematicbalesinadditiontothefullrefundofpurchasepaymentaswellastheexpensesarisingfromreturnofbales;orB.havepricedeductioncompensationsasprovidedintheforegoingArticles8.1and8.2,inwhichcasetheSellershallpaytheBuyerextraliquidateddamagesequivalentto50%ofthecontractvalueoftheproblematicbales.11索賠期限TermofClaim除非雙方另有約定，索賠期不能超過(guò)最后到港日或出保稅庫(kù)日后70天。有問(wèn)題棉包的索賠期限按第12條款處理。Unlessotherwiseagreedtobytheparties,claimsfornoncompliancewiththeweightorqualityprovisionsshallbemadetotheotherpartywithin70calendardaysafterthelastdayoflandingoritsreleasefromabondedzone.ThetermofclaimofproblematicbalesshallbedealtwithArticle12below.12有問(wèn)題棉包的處理DisposalofProblematicBales買方須在棉花到港后6個(gè)月之內(nèi)對(duì)欺詐棉包、混雜棉包等問(wèn)題棉包提出索賠。索賠提出后棉包須另外分開(kāi)存放56天以供賣方核查，逾期視為賣方接受索賠。賣方同意支付買方處置棉包使之恢復(fù)使用價(jià)值所需的合理費(fèi)用。TheBuyershallmakeclaimsintermsoffalsepackedbales,mixedpackedbalesorotherproblematicbaleswithin6monthsafterthecottonarrivesattheport.Thebalesagainstwhichtheclaimsaremadeshallbestoredseparatelyfor56daysforthepurposesoftheSellersinspection,andtheSellershallbedeemedtoaccepttheclaimsiftheSellerdelaysthesaidinspection.TheSelleragreestopaytheBuyerthereasonableexpensesforthedispositionofthebalessoastorestoretheusevalueofthesame.13費(fèi)用標(biāo)準(zhǔn)13Rate13.檢1驗(yàn)費(fèi)用InspectionExpense13.1.重1量檢驗(yàn)費(fèi)由賣方負(fù)擔(dān)，每包50美分。如果檢測(cè)回潮率，賣方還應(yīng)承擔(dān)8美分的樣品費(fèi)和每個(gè)樣品2美元的水分測(cè)試費(fèi)。TheSellershallbeartheweightinspectionexpenseattherateofUSD50centsperbale.Intermsofmoistureregaininspection,theSellershallbearthesamplingexpensenotapprovedattherateofUSD80centspersampleandthemoisturetestingexpenseattherateofUSD$2persample,inaddition..質(zhì)2量檢驗(yàn)費(fèi)由買方負(fù)擔(dān)，每包1美元。如品級(jí)降級(jí)時(shí)，賣方應(yīng)負(fù)擔(dān)同樣的費(fèi)率。.2TheBuyershallbearthequalityinspectionexpenseattherateofUSD1perbale.Intheeventofinferiorgrade,thesamerateshallapplytotheSeller.2病蟲(chóng)害熏蒸費(fèi)用2ExpenseforInsectsFumigation賣方所交之棉花，不得帶有國(guó)家檢疫對(duì)象的病蟲(chóng)害。如棉花來(lái)自中國(guó)政府規(guī)定必須做熏蒸的國(guó)家或地區(qū)，則貨到港后根據(jù)國(guó)家檢疫規(guī)定作熏蒸處理時(shí)，其因熏蒸而產(chǎn)生的各項(xiàng)費(fèi)用，均由賣方負(fù)擔(dān)。ThecottondeliveredbytheSellershallnotcontainanydamagebydiseaseorinsectsubjecttonationalquarantine.WhentheCIQconductsthefumigationinaccordancewiththenationalquarantineprovisionsafterthecottonisdeliveredtopier,thevariousexpensesarisingfromthefumigationshallbebornebytheSeller.合同的終止TerminationoftheContract除非另有規(guī)定,本合同在下述任一種情況下終止:Unlessotherwiseprovidedherein,theContractmaybeterminatedinanyofthefollowingevents:通過(guò)雙方共同書面協(xié)議；或AThePartiesheretoreachanagreementinwriting;or如果另一方完全因其責(zé)任在合同規(guī)定的時(shí)間內(nèi)未履行其義務(wù)，程度嚴(yán)重，并且在收到未違約方的書面通知后30天內(nèi)未能消除違約影響或采取補(bǔ)救措施，在此種情況下，非違約方有權(quán)給另一方書面通知來(lái)終止合同。BIntheeventaPartyfailstoperformitsobligationstoamaterialorsubstantialextentwithinanyoftheshippingperiodsprovidedbytheContractduetothereasonsfullyattributabletosuchPartyandwheresuchPartyfailstoeliminatethebreachortakeanyremedialmeasureswithin30daysafterthereceiptofthewrittennoticefromthenon-breachingParty,thenon-breachingPartyshallbeentitledtocloseouttheContractandsubsequenttheretoprovideawrittennoticetotheotherParty.合同終止不影響終止合同方的任何權(quán)利，包括但不限于因合同終止而要求損害賠償?shù)臋?quán)利。TheterminationoftheContractshallnotaffectanyrightofthePartytakingsuchaction,including,butnotlimitedto,therightofclaimingcompensationforlossesincurredintheterminationoftheContract.本合同對(duì)任何貿(mào)易術(shù)語(yǔ)(如、、)的援引都視為是對(duì)2000年國(guó)際商會(huì)貿(mào)易術(shù)語(yǔ)解釋通則(INCOTERMS)的相關(guān)術(shù)語(yǔ)的援引。Anyquotationoftradeterms(suchasCIF,FOBandCFR)shallbedeemedasthequotationoftherelevanttermunderthe2000InternationalRulesfortheInterpretationofTradeTerms(INCOTERMS).本合同應(yīng)適用《聯(lián)合國(guó)國(guó)際貨物銷售合同公約》(CISG,即1980維也納公約)。ThisContractissubjecttotheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(“CISG”,namely1980ViennaConvention-the1980ViennaConventiononContractsfortheInternationalSaleofGoods).17不可抗力ForceMajeure合同當(dāng)事人因戰(zhàn)爭(zhēng)及嚴(yán)重的水災(zāi)、地震、禁運(yùn)、罷工、兵變、暴亂或其他該方當(dāng)事人無(wú)法控制，并在簽訂本合同時(shí)不能合理預(yù)見(jiàn)、不可避免或無(wú)法克服的事件造成其無(wú)法履行或遲延履行全部或部分合同義務(wù)，則該合同一方當(dāng)事人應(yīng)免責(zé)。但是，因不可抗力而影響其履約的合同一方應(yīng)盡快通知另一方事件的發(fā)生，并應(yīng)在事件發(fā)生后不遲于14天內(nèi)向另一方發(fā)送由事件發(fā)生地有關(guān)政府、行業(yè)協(xié)會(huì)或當(dāng)?shù)厣虝?huì)出具的關(guān)于發(fā)生不可抗力事件的證明或文件。在中國(guó)，出具證明的機(jī)構(gòu)為中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)。IfeitherPartytotheContractisunabletoperformordelaystheperformanceoftheobligationsoftheContract,partiallyorentirely,duetoreasonsofwar,seriousfire,earthquake,embargo,strike,mutiny,riotoranyothereventthatthepartiesareunabletocontrolandisreasonablyunforeseeable,unavoidableandunconqueredatthetimeofsigningtheContract,suchPartyheretoshallnotbeliable.However,thePartyofwhichtheperformanceisaffectedbytheforcemajeureeventshallnotifytheotherPartyatthetimeoftheoccurrenceofthesaideventandshallprovideevidenceofsucheventintheformofacertificateordocumentissuedbyrelevantlocalgovernmentalagencies,orlocaltradeunionwheretheforcemajeureeventoccursfortheotherPartynolaterthan14daysaftertheoccurrenceofthesaidevent.InChina,theinstitutethatissuessuchcertificateshallbetheChinaCo
