精品文檔精心整理精品文檔可編輯的精品文檔合同法(權(quán)威英文版)目錄:1、合同法(權(quán)威英文版)2、合同法(英文版)Thecontractlaw(AdoptedattheSecondSessionoftheNinthNationalPeople'sCongressonMarch15,1999andpromulgatedbyOrderNo.15ofthePresidentofthePeople’sRepublicofChinaonMarch15,1999)ContentsGeneralProvisionsChapterICommonProvisionsChapterIIMakingoftheContractChapterIIIValidityoftheContractChapterIVFulfillmentoftheContractChapterVModificationandTransferoftheContractChapterVITerminationofRightsandObligationsundertheContractChapterVIILiabilityforBreachofContractChapterVIIIMiscellaneousProvisionsSpecificProvisionsChapterIXPurchaseandSaleContractsChapterXContractsfortheSupplyandConsumptionofElectricity,Water,GasorHeatChapterXIDonationContractsChapterXIILoanContractsChapterXIIILeaseContractsChapterXIVContractsforFinancialLeaseChapterXVWorkContractsChapterXVIConstructionProjectContractsChapterXVIICarriageContractsChapterXVIIITechnologyContractsChapterXIXContractsofDepositChapterXXWarehousingContractsChapterXXIEntrustmentContractsChapterXXIIBrokerageContractsChapterXXIIIIntermediationContractsSupplementaryProvisionsGeneralProvisionsChapterICommonProvisionsArticle1ThisLawisenactedforthepurposeofprotectingthelegitimaterightsandinterestsofthepartiestocontracts,maintainingthesocio-economicorderandpromotingthesocialistmodernization.Article2ForthepurposeofthisLaw,acontractmeansanagreementontheestablishment,alterationorterminationofacivilright-obligationrelationshipbetweennaturalpersons,legalpersonsorotherorganizationsassubjectswithequalstatus.Agreementsonestablishingsuchpersonalrelationshipsasmarriage,adoptionandguardianshipshallbegovernedbytheprovisionsofotherlaws.Article3Thepartiestothecontracthaveequallegalstatus,andneitherpartymayimposeitswillontheother.Article4Thepartiesshall,pursuanttolaw,havetherighttoenterintoacontractontheirownfreewill,andnounitorpersonmayunlawfullyinterfere.Article5Thepartiesshallobservetheprincipleofequityindefiningeachother'srightsandobligations.Article6Thepartiesshallobservetheprincipleofgoodfaithinexercisingtheirrightsandfulfillingtheirobligations.Article7Thepartiesshall,inmakingandfulfillingthecontract,abidebylawsandadministrativeregulationsandrespectsocialethics,andmaynotdisruptthesocio-economicordernorimpairsocialandpublicinterests.Article8Alegallyexecutedcontracthaslegalbindingforceontheparties.Thepartiesshallfulfilltheirobligationsascontracted,andmaynotarbitrarilymodifyorterminatethecontract.Alegallyexecutedcontractisprotectedbylaw.ChapterIIMakingoftheContractArticle9Thepartiesshall,whenmakingacontract,havecorrespondingcapacityforcivilrightsandcivilconduct.Apartymay,inaccordancewiththelaw,entrustanagenttomakeacontract.Article10Thepartiesmay,whenmakingacontract,usewrittenform,verbalformoranyotherform.Thewrittenformshallbeadoptediflawsoradministrativeregulationssorequire.Thewrittenformshallbeadoptedifthepartiessoagree.Article11"Writtenform"asusedhereinmeansanyformwhichrenderstheinformationcontainedinacontractcapableofbeingreproducedintangibleformsuchasawrittenagreement,aletter,orelectronictext(includingtelegram,telex,facsimile,electronicdatainterchangeande-mail).Article12Thecontentofacontractisdeterminedbythepartiesandgenerallyincludesthefollowingclauses:(1)designationsornamesandaddressesoftheparties;(2)thetargetedmatter;(3)quantity;(4)quality;(5)priceorremuneration;(6)time,placeandmodeoffulfillment;(7)liabilityforbreachofcontract;and(8)disputesettlement.Thepartiesmaymakecontractswithreferencetovariousmodelcontractforms.Article13Thepartiesshall,inmakingacontract,taketheformofofferandacceptance.Article14An"offer"isanintentindicationshowingthedesiretoenterintoacontractwithothers,andtheintentindicationshallconformtothefollowingprovisions:(1)thecontentindicatedshallbeconcreteanddefinite;(2)theofferorshall,asisindicated,beboundbytheintentindicationuponitsacceptancebyanofferee.Article15Aninvitationforofferisanintentindicationshowingthedesiretoreceiveoffersfromothers.Mailedordeliveredpricecatalogs,auctionannouncements,invitationsforbid,capital-raisingprospectusandcommercialadvertisementsaresuchinvitationsforoffer.Acommercialadvertisementshall,ifitscontentconformstotheprovisionsregardingoffers,bedeemedanoffer.Article16Anofferbecomeseffectivewhenitreachestheofferee.Ifacontractismadeintheformoftextinelectronicdataandthereceiverhasdesignatedaspecialreceivingsystemtoreceivesuchdatatext,thetimeatwhichthetextinelectronicdataentersthedesignatedspecialsystemshallbethetimeofarrival;ifnospecialreceivingsystemisdesignated,thetimeatwhichthetextinelectronicdatafirstentersanyofthereceiver'ssystemsshallbethetimeofarrival.Article17Anoffermaybewithdrawn.Thewithdrawalnoticeofanoffershallreachtheoffereebeforeoratthesametimeasthearrivaloftheofferattheofferee.Article18Anoffermayberevoked.Therevocationnoticeofanoffershallreachtheoffereebeforethedispatchofanacceptancenoticebytheofferee.Article19Anoffermaynotberevokedunderanyofthefollowingconditions:(1)theofferorhasspecifiedatimelimitfortheacceptance,orhasexplicitlyindicatedinanyothermannertheirrevocabilityoftheoffer;(2)therearegroundsfortheoffereetomaintaintheirrevocabilityoftheofferandtheoffereehasmadepreparationsforthefulfillmentofthecontract.Article20Anofferlosesitseffectunderanyofthefollowingconditions:(1)arejectionnoticeoftheofferhasreachedtheofferor;(2)theofferorhasrevokedtheofferpursuanttolaw;(3)whenthefixedtimelimitforacceptanceexpires,theoffereeundertakesnoacceptance;or(4)theoffereemakesasubstantialchangeofthecontentoftheoffer.Article21Anacceptanceisanassentindicationoftheoffereetoanoffer.Article22Anacceptanceshallbemadeinformofanotice,unless,inlightoftradepracticesorasindicatedbytheoffer,theoffereemayindicatetheassentbyperforminganact.Article23Anacceptanceshallreachtheofferorwithinthetimelimitfixedbytheoffer.Ifnotimelimitisfixedbytheoffer,theacceptanceshallreachtheofferorinaccordancewiththefollowingprovisions:(1)ifanofferismadeorally,acceptanceshallbemadepromptlyunlessthepartiesstipulateotherwise;and(2)ifanofferisnotmadeorally,theacceptanceshallreachtheofferorwithinareasonableperiodoftime.Article24Ifanofferismadethroughaletteroratelegram,thetimelimitforacceptancecommencesonthedateshownontheletteroronthedatethetelegramishandedinfordispatchor,ifnosuchdateisshownontheletter,fromthedateshownbythepostmarkoftheletter.Ifanofferismadebymeansofinstantaneouscommunicationssuchastelephoneorfacsimile,thetimelimitforacceptancecommencesatthemomentthattheofferreachestheofferee.Article25Acontractisexecutedatthetimewhentheacceptancebecomeseffective.Article26Theacceptancebecomeseffectivewhentheacceptancenoticereachestheofferor.Ifanacceptanceneedsnonotice,itbecomeseffectivewhenanactofacceptanceisperformedinlightoftradepracticesorasindicatedbytheoffer.Whereacontractismadeintheformoftextinelectronicdata,theprovisionsofParagraph2,Article16ofthisLawshallbeapplicabletothetimeofarrivaloftheacceptance.Article27Anacceptancemaybewithdrawn.Thewithdrawalnoticeoftheacceptanceshallreachtheofferorbeforeoratthesametimeastheacceptancenoticereachestheofferor.Article28Iftheoffereemakesanacceptancebeyondthetimelimitforacceptance,itshallconstituteanewofferunlesstheofferornotifiestheoffereeintimethattheacceptanceiseffective.Article29Ifanoffereemakeswithinthetimelimitforacceptanceanacceptancethatcouldreachtheofferorintimeundernormalconditionsbuthappenstoreachtheofferorbeyondthelimitduetootherreasons,theacceptanceshallbeeffectivenotwithstandingunlesstheofferornotifiestheoffereeintimethattheacceptanceisdeniedduetoitsdelayedarrival.Article30Thecontentofanacceptanceshallbeconsistentwiththecontentoftheoffer.Iftheoffereeproposesanysubstantialchangetothecontentoftheoffer,itshallconstituteanewoffer.Changesrelatedtothetargetedmatter,quantity,quality,priceorremuneration,durationoffulfillment,placeandmodeoffulfillment,liabilityforbreachofcontractandmethodofdisputesettlementinacontractaresubstantialchangestothecontentofanoffer.Article31Ifanacceptancemakesnon-substantialchangestothecontentoftheoffer,theacceptanceshallbeeffectivenotwithstandingandthecontentofthecontractshallthusbebasedonthecontentoftheacceptance,unlesstheofferorindicatesintimeitsobjectionthereto,orasindicatedintheoffer,theacceptancemaynotmakeanychangetothecontentoftheoffer.Article32Ifthepartiesenterintoacontractintheformofacontractinstrument,thecontractisexecutedatthetimewhenbothpartiesputtheirsignaturesoraffixtheirsealsthereto.Article33Ifthepartiesenterintoacontractintheformofletterortextinelectronicdataoranyotherforms,aconfirmationinstrumentmayberequiredpriortotheexecutionofthecontract.Thecontractisexecutedatthetimewhentheconfirmationinstrumentissigned.Article34Theplacewheretheacceptancebecomeseffectiveshallbetheplacewherethecontractisexecuted.Whereacontractismadeintheformoftextinelectronicdata,thereceiver'smajorplaceofbusinessistheplaceofexecutionofthecontract;intheabsenceofamajorplaceofbusiness,thereceiver'shabitualresidenceistheplaceofexecutionofthecontract.Wherethepartiesstipulateotherwise,suchstipulationsshallgovern.Article35Ifthepartiesadopttheformofacontractinstrumenttomakeacontract,theplacewherebothpartiessignorstampthecontractistheplaceofexecutionofthecontract.Article36Wherethepartiesfailtomakeacontractinwrittenformasprovidedforbylawsoradministrativeregulationsorasagreedbytheparties,butapartyhasalreadyperformedthemajorobligationsandtheotherpartyhasacceptedtheperformance,thecontractshallbeconsideredasexecuted.Article37If,inmakingacontractintheformofacontractinstrument,apartyhasalreadyperformedthemajorobligationspendingthesignatureorsealandtheotherpartyhasacceptedtheperformance,thecontractshallbeconsideredasexecuted.Article38IftheStategives,accordingtotheneeds,mandatoryassignmentsorStatepurchaseorders,thelegalpersonsandotherorganizationsconcernedshallconcludecontractsinaccordancewiththerightsandobligationsprovidedforbytherelevantlawsandadministrativeregulations.Article39Ifstandardclausesareusedinmakingacontract,thepartythatprovidesthestandardclausesshalldeterminetherightsandobligationsbetweenthepartiesinaccordancewiththeprincipleoffairness,andshallcallinareasonablemannertheotherparty'sattentiontotheexemptibleandrestrictiveclausesregardingitsliability,andgiveexplanationsofsuchclausesattherequestoftheotherparty."Standardclauses"meanstheclausesthatareformulatedinanticipationbyapartyforthepurposeofrepeatedusageandthatarenotaresultofconsultationwiththeotherpartyinthemakingofthecontract.Article40StandardclausesshallbecomeinvalidiftheyfallunderanyofthecircumstancessetforthinArticles52and53ofthisLaworifthepartythatprovidesthestandardclausesexemptsitselffromtheliability,imposesheavierliabilityontheotherparty,orprecludestheotherpartyfromitsmainrights.Article41Ifadisputearisesovertheunderstandingofastandardclause,theclauseshallbeinterpretedinaccordancewithitscommonunderstanding.Ifastandardclausehasmorethanoneinterpretation,theclauseshallbeinterpretedinamannerunfavorabletothepartyprovidingtheclause.Ifastandardclauseisinconsistentwiththenon-standardclause,thenon-standardclauseshallbeadopted.Article42Inthemakingofacontract,thepartythatfallsunderanyofthefollowingcircumstances,causingthuslosstotheotherparty,shallholdtheliabilityfortheloss.(1)engaginginconsultationwithmaliciousintentioninnameofmakingacontract;(2)concealingintentionallykeyfactsrelatedtothemakingofthecontractorprovidingfalseinformation;or(3)takinganyotheractcontrarytotheprincipleofgoodfaith.Article43Neitherpartymaydiscloseorinappropriatelyexploitbusinesssecretsobtainedinthemakingofacontractnomatterthecontractisexecutedornot.Thepartythatdisclosesorinappropriatelyexploitsthesaidbusinesssecretscausingthuslosstotheotherpartyshallholdtheliabilityfortheloss.ChapterIIIValidityoftheContractArticle44Acontractlegallyexecutedshallbecomeeffectiveuponexecution.Whereacontractmaybecomeeffectiveonlyafterthecompletionofapprovalandregistrationprocedureaccordingtotheprovisionsoflawsandadministrativeregulations,suchprovisionsshallgovern.Article45Thepartiesmayagreetoattachconditionsonthevalidityofthecontract.Acontractwithcollateralconditionsonitsentryintoeffectshallbecomeeffectiveuponthefulfillmentoftheconditions.Acontractwithcollateralconditionsonitsdissolutionshallloseitsvalidityuponthefulfillmentoftheconditions.Whereeitherparty,forthesakeofitsowninterests,unjustifiablypreventsthefulfillmentoftheaforesaidconditions,theconditionsshallbedeemedasfulfilled;whereeitherpartyunjustifiablyhastensthefulfillmentoftheconditions,theconditionsshallbedeemedasnotfulfilled.Article46Thepartiesmayagreetoattachatimelimitfortheentryintoeffectofacontract.Acontractwithanattachedtimelimitforitsentryintoeffectshallbecomeeffectiveuponexpiryofthetimelimit.Acontractattachedwithatimelimitforitsterminationshallloseitseffectuponexpiryofthetimelimit.Article47Acontractenteredintobyapersonwithlimitedcivilcapacitymaybecomevalidonlyafterratificationbyhislegalagent.However,acontractofsuchkindwhichispurelyprofit-makingorthemakingofwhichiscompatibletotheage,intelligenceandmentalhealthofthepersonconcernedneedsnoratificationbyhislegalagent.Thecounterpartmayurgethelegalagenttogiveratificationwithinonemonth.Wherethelegalagentdoesnotrespond,thenon-responseshallbedeemedarefusalofratification.Pendingtheratification,thebonafidecounterparthastherighttorescind.Therescissionshallbemadebyanotice.Article48Acontractthatisenteredintobyanactorwithouttherightofagency,inexcessoftherightofagencyorbeyondtheexpirationoftherightofagency,inthenameofaprincipalandwithoutratificationbytheprincipal,shallhavenobindingforceontheprincipal,andtheactorshallbeartheresponsibilitytherefor.Thecounterpartmayurgetheprincipaltogiveratificationofthecontractwithinonemonth.Wheretheprincipaldoesnotrespond,thenon-responseshallbedeemedarefusalofratification.Pendingtheratification,thebonafidecounterparthastherighttorescind.Therescissionshallbemadebyanotice.Article49Whereanactorenters,withouttherightofagency,inexcessoftherightofagencyorbeyondtheexpirationoftherightofagency,intoacontractinthenameofaprincipal,andwherethecounterparthasgroundstobelievethattheactorhastherightofagency,theactofagencyshallbedeemedaseffective.Article50Wherealegalperson,orthelegalrepresentativeorthepersoninchargeofanorganizationexceedsthelimitsofpowerinmakingacontract,theactofrepresentationshallbeeffectiveunlessthecounterpartisawareoroughttobeawareoftheexcessofthelimitofpower.Article51Whereapersonwithouttherightofdisposaldisposesofanother'sproperty,uponratificationbytheobligeeorifthepersonwithouttherightofdisposalobtainstherightofdisposalaftermakingthecontract,thecontractshallbeeffective.Article52Acontractisinvalidunderanyofthefollowingcircumstances:(1)eitherpartyentersintothecontractbymeansoffraudorcoercionandimpairstheState'sinterests;(2)thereismaliciousconspiracycausingdamagetotheinterestsoftheState,ofthecollectiveorofathirdparty;(3)thereisanattempttoconcealillegalgoalsunderthedisguiseoflegitimateforms;(4)harmisdonetosocialandpublicinterests;or(5)mandatoryprovisionsoflawsandadministrativeregulationsareviolated.Article53Thefollowingclausesonliabilityexemptioninacontractshallbeinvalid:(1)thosecausingphysicalinjurytotheotherparty;or(2)thosecausinglossestopropertytotheotherpartybyintentionorduetogrossnegligence.Article54Eitherpartyhastherighttorequestapeople'scourtoranarbitrationinstitutiontoalterorrescindanyofthefollowingcontracts:(1)anycontractwhichismadeundersubstantialmisunderstanding;or(2)anycontractthemakingofwhichlacksfairness.Whereapartymakestheotherpartyenterintoacontractagainstitstruewillbymeansofdeceit,coercionortakingadvantageofitsdifficulties,theinjuredpartyhastherighttorequestapeople'scourtoranarbitrationinstitutiontoalterorrescindthecontract.Wheretherequestofthepartyisanalterationtothecontract,thepeople'scourtorarbitrationinstitutionshallnotrescindit.Article55Therighttorescindshallvanishwhere:(1)thepartywiththerighttorescindhasnotexerciseditwithinayearfromthedateonwhichitwasawareoroughttobeawareofthematterfortherescission;or(2)thepartywiththerighttorescindwaiversitsrightbyexpressindicationorbyitsownactafteritwasawareofthematterfortherescission.Article56Aninvalidorrescindedcontractdoesnothavelegalbindingforcefromtheoutset.Ifapartofacontractbecomesinvalidwithoutaffectingthevalidityoftheotherparts,theotherpartsremainvalid.Article57Ifacontractbecomesinvalid,orisrescindedorterminated,thevalidityofitsindependentlyexistingclausespertainingtothesettlementofdisputesshallnotbeaffected.Article58Afteracontractbecomesinvalidorisrescinded,anypropertyobtainedunderthecontractshallbereturned.Ifitisimpossibleorunnecessarytoreturntheproperty,compensationshallbemadeatanestimatedprice.Thepartyatfaultshallcompensatetheotherpartyforthelosscausedbythefault.Ifbothpartieshavefaults,theyshallbeartheirrespectiveresponsibilities.Article59IfthepartiesimpairbymaliciousconspiracytheinterestsoftheState,ofthecollectiveorofathirdparty,thepropertytheyhavethusobtainedshallbereturnedtotheState,thecollectiveorthethirdparty.ChapterIVFulfillmentoftheContractArticle60Thepartiesshallfulfillfullytheirrespectiveobligationsascontracted.Thepartiesshallobservetheprincipleofgoodfaithandfulfilltheobligationsofnotification,assistanceandconfidentialityinaccordancewiththenatureandaimsofthecontractandtradepractices.Article61Foracontractthathasbecomevalid,wherethepartieshavenotstipulatedthecontentsregardingquality,priceorremunerationortheplaceofperformance,orhavestipulatedthemunclearly,thepartiesmaysupplementthembyagreement;iftheyareunabletoreachasupplementaryagreement,theproblemshallbedeterminedinaccordancewiththerelatedclausesofthecontractorwithtradepractices.Article62WherethepartieshaveunclearlystipulatedrelatedcontentsinacontractandfailstodeterminetheminaccordancewiththeprovisionsofArticle61ofthisLaw,thefollowingprovisionsshallapply:(1)incaseofunclearqualityrequirements,thecontractshallbeperformedinaccordancewithStatestandardsortradestandards,orintheabsenceofsuchstandards,inaccordancewithcommonstandardsorspecialstandardsconformingtotheaimofthecontract;(2)incaseofunclearpriceorremunerationstipulation,thecontractshallbeperformedinaccordancewiththemarketpriceintheplaceofcontractperformanceatthetimeofthemakingofthecontract,oraccordingtothegovernment-setpriceorgovernment-guidedpriceifitissorequiredbylaw;(3)incaseofunclearstipulationofplaceofperformance,wherethepaymentisincash,thecontractshallbeperformedintheplaceofthecashrecipient;wherethepaymentisinrealestate,thecontractshallbeperformedintheplacewheretherealestateislocated;whereothertargetedmattersareinvolved,thecontractshallbeperformedintheplaceofthepartyfulfillingtheobligations;(4)incaseofuncleartimelimitfortheperformance,thedebtormayfulfillitsobligationsatanytime,andthecreditormaydemandthefulfillmentatanytime,whilegivingthedebtornecessarytimetomakepreparations;(5)incaseofunclearmodeofperformance,thecontractshallbeperformedinamannerconducivetotherealizationoftheaimofthecontract;and(6)incaseofunclearchargefortheperformance,thechargeshallbebornebythepartyfulfillingtheobligations.Article63Foracontractwiththegovernment-setpriceorgovernment-guidedpriceasthefulfillingprice,wherethegovernmentpriceisadjustedwithinthedeliveryperiodofthecontract,thepriceatthetimeofdeliveryshallbethefulfillingprice.Whereanoverduedeliveryoccursandthepricegoesupatthedelivery,theoriginalpriceshallbethefulfillingprice;ifthepricedropsatthedelivery,thenewpriceshallbethefulfillingprice.Whereanoverduedelivery-takingoroverduepaymentoccurs,thenewpriceshallbethefulfillingpriceifthepricegoesup;andtheoriginalpriceshallbethefulfillingpriceifthepricegoesdown.Article64Wherethepartiesagreethatthedebtorshalldischargethedebtstoathirdpartyandwherethedebtorfailstodosoorfailstomeetitsliabilityascontracted,thedebtorshallbeartheliabilityforbreachofcontracttothecreditor.Article65Wherethepartiesagreethatathirdpartyshalldischargethedebtstothecreditorandwherethethirdpartyfailstodosoorfailstomeetitsliabilityascontracted,thedebtorshallbeartheliabilityforbreachofcontracttothecreditor.Article66Wherethepartiesareindebttoeachotherandthereisnotimeorderfordischargingthedebts,theyshallmeettheirrespectiveliabilitiessimultaneously.Eitherpartyhastherighttorejecttheotherparty'sdemandforthedischargebeforethelattermeetsitsownliabilities.Eitherpartyhastherighttorejecttheotherparty'sdemandforthedischargeifthelatterfailstomeetitsliabilitiesascontracted.Article67Wherethepartiesareindebttoeachotherandthereisatimeorderforthemtodischargethedebts,thepartywhichisthenexttodischargethedebtshastherighttorejectthedischargedemandedbythepartywhichisthefirsttomeetitsliabilitiesbutfailstomeetthem.Thepartywhichisthenexttodischargethedebtshasalsotherighttorejectacorrespondingdischargedemandedbythepartywhichisthefirsttomeetitsliabilitiesbutfailstomeetthemascontracted.Article68Thepartywhichoughttodischargeitsdebtsfirstmaysuspendthedischargeifithastruthfulevidencetoprovethattheotherpartyfallsunderanyofthefollowingsituations:(1)businessoperationsseriouslydeteriorating;(2)divertingpropertiesandwithdrawingcapitaltoevadedebts;(3)fallingintobusinessdiscredit;or(4)othersituationsshowinginabilityorpossibleinabilitytomeetliabilities.Apartythatsuspendsthedischargewithouttruthfulevidenceshallbeartheliabilityforbreachofcontract.Article69WhereapartysuspendsthedischargeofitsdebtsinaccordancewiththeprovisionsofArticle68ofthisLaw,itshallpromptlynotifytheotherpartyofthesuspension.Thepartyshallresumethedischargewhentheotherpartyprovidesaguarantee.Thepartythathassuspendedthedischargemaydissolvethecontractiftheotherpartyhasfailedtoregainitscapabilityofmeetingitsliabilitiesandtoprovideaguaranteewithinareasonableperiodoftime.Article70Ifacreditorsplits,mergesorchangesdomicilewithoutnotifyingthedebtorandthusmakesitdifficulttodischargethedebts,thedebtormaysuspendthedischargeordepositthetargetedmatter.Article71Thecreditormayrefuseananticipateddischargeofdebtsbythedebtor,exceptthattheanticipateddischargedoesnotimpairthecreditor'sinterest.Anyadditionalexpensescausedtothecreditorbythedebtor'santicipateddischargeofdebtsshallbebornebythedebtor.Article72Thecreditormayrefuseadischargeofdebtsinpartbythedebtor,exceptthatthepartialdischargedoesnotimpairthecreditor'sinterest.Anyadditionalexpensescausedtothecreditorbythedebtor'sdischargeofdebtsinpartshallbebornebythedebtor.Article73Ifadebtorisindolentinexercisingitsmaturedcreditor'srightsandthuscauseslossestothecreditor,thecreditormayapplytoapeople'scourttosubrogatethedebtor'screditor'srightsandexercisethemunderthecreditor'sname,exceptforthecreditor'srightsexclusivelybelongingtothedebtor.Thescopeforexercisingthesubrogationislimitedtothecreditor'srightsenjoyedbythecreditor.Theexpensesrequiredbythecreditor'ssubrogationshallbebornebythedebtor.Article74Ifadebtordisclaimsitsduecreditor'srightsortransfersgratisitspropertyandthuscauseslossestothecreditor,thecreditormayapplytoapeople'scourttorescindthedebtor'saction.Thecreditormayalsoapplytoapeople'scourttorescindthedebtor's
