倉儲及派送服務合同(中英文)

ThisAGREEMENTismadeandenteredinto,byandbetween：(As“PartyA”)(以下簡稱甲方)And(As“PartyB”)(以下簡稱乙方)Toensurebothparties’businessgoalsandeconomicachievement,itisnecessarytoclarifytheresponsibilitiesofbothparties.AccordingtothisAgreementendorsedherein,PartyBagreedtoprovidingdoor-to-doordeliveryservicesforPartyA,therefore,thisagreementshallbeagreeduponandsignedbybothpartieswiththefollowingtermandconditions.為了明確甲乙雙方的責任，確保雙方實現(xiàn)各自的經濟目的，經甲乙雙方協(xié)商，就乙方向甲方提供貨物門到門運輸及派送服務事宜達成本合同，以便共同遵守。ServicetobeRendered第一條：服務范圍PartyBagreedtoprovidethefollowingserviceitemstoPartyA:乙方為甲方提供受甲方委托的下列服務項目.Expresswithinthecity.市內貨物的快遞；.Domesticroutingdoor-to-doordeliveryservices.貨物全國門到門運輸；.ProvidessufficientstoragespaceforthegoodsneededtobeStored/delivered.承運貨物的倉儲服務；.Providesinspectionandpackagingservicesforthegoods.承運貨物的分檢、包裝。RepresentationandWarranties第二條：服務要求PartyBshallagreetoprovidesquaremeter(s)(m2)ofwarehousestoragespacetoPartyAforstoringof,andPartyBshallnominateaspecialisttomanageallaffairsinvolvedhereinforPartyA.乙方將米的庫房面積租給甲方儲存，并派專人負責甲方的業(yè)務。Bothpartiesshallconductinspectionandqualitycontrolactivitiescurrentlywhenthegoodsgetintowarehouse.PartyAshouldsendanauthorizationnoticetoPartyBforinspectionoftheirgoodswhenPartyAisabsent.Inthiscase,PartyBwillnotberesponsibleforanyqualityproblemsofthegoods.PartyBshallprepareamasterlistaftergoodsarestoredinthewarehouse,thismasterlistshallbesignedbyPartyBandfaxedtoPartyAinatimelymanner.貨物進入乙方倉庫時，由甲方人員與乙方庫管人員同時驗貨清點入庫；或委托乙方庫管人員代替甲方人員對貨物進行清點及辦理入庫手續(xù)，貨物的質量問題由甲方負責。入庫后乙方應為甲方開具入庫清單，并簽名后傳真至甲方。ThegoodsstoredinwarehouseshallbereleasedtotheauthorizedpersonnelonlywithsigneddocumentsbydesignatedPartyApersonnel.PartyB’srepresentativehasrighttorefuseanyunauthorizedrequestsofstorage/releaseactivitiesfromPartyA.甲方貨物需要出入庫時，乙方憑甲方指定人員手書簽字方可辦理，其他甲方人員均無權要求出入庫。a)EveryneedtobesignedbyauthorizedpersonalofPartyBanddesignatedpick-uppersonnel.Every<Receipt>needtobesignedbyPartyBrepresentativeandthedesignateddeliverypersonnel.Theseformsareofficialrecordsandshallbetreatedaspartofthisagreement.Itisbothpartiesresponsibilitytokeepanoriginalsignedcopyintotheirrecords.《出庫單》需經乙方和提貨方簽字,《入庫單》需經乙方和送貨方簽字，該記錄為合同的有效組成部分，當事人雙方各保存一份。b)PartyBshallcooperatewithPartyAonpick-up/deliverybusinessesinthecity.PartyBshallintensivelyfollowthedailydeliveryschedule,toensuretheavailabilityofvehicleforPartyAtouseandguaranteetorespondtimelyforemergencyon-calls.乙方將積極配合甲方市內運輸業(yè)務，嚴格遵循送貨時間，保證甲方的日常用車，對加急服務做到隨叫隨到。c)PartyBshallprovideadomesticuniformratestandardforservices.EverybranchofPartyBshallfollowtheirownstandardofbusinessstrictly;suchasdeliverypersonnelmustwearcompany’suniformduringbusinesshours,PartyB’soperatorsmustwearingtheiruniforms.PartyBshalldesignateapersontohandletheentirebusinesspracticethatincludesmonitoringtheentiredeliveryroutesforPartyA.乙方全國范圍內實行統(tǒng)一的報價，各公司嚴格執(zhí)行乙方內部的業(yè)務流程；統(tǒng)一派送人員服裝，對于乙方的一線操作人員，必須穿著乙方工服。實行一票到底，指定專人負責甲方的業(yè)務，實施派送的全程跟蹤。ThedesignatedwarehousepersonalfromPartyBshallberesponsibleforrecordingdailybusinessaffairsregardingtopartyA’sgoodsonhandcopyandrecorddatawithcomputer.PartyBshallprovidethecurrentwarehousestatetoPartyAviae-mailonweeklyandmonthlybasis.乙方的庫房專員將甲方貨物的日常出入庫情況記入在案并錄入到電腦中存檔；并將庫房內貨物的最新狀態(tài)以周報、月報的形式MAIL到甲方。PartyBshallprovideworkorderforeachrequestreceivedfromPartyA.Eachworkordershallincludedetaileddeliverystatus.Inaddition,theentirerelatedinformationshouldbekeptinMISsystemasdocumentfiles,thissystemshallbewrittenbyLANprogram.PartyAshallreviewtheserecordsbytheendoftheyearforbusinessestimatepurposes.乙方對甲方每次委托的業(yè)務都開具工作單，記錄貨物運輸?shù)脑敿毲闆r。并將所有工作單錄入的信息，通過LAN上的MIS系統(tǒng)保存到服務器上，以文本文件的形式保存下來，以供甲方年底業(yè)績回顧。Section3．TermofThisAgreement第三條：服務期限Thisagreementshallbeeffectedfromto.Iftherearenoissuesregardingthisagreementbytheendofthisperiodfrombothparties,thisagreementshallbeextendforanothertermautomatically.Ifeitherpartywantstoterminatethisagreementduringtheinitialorextendedperiodoftime,thepartywhowantstoterminatethisagreementshallnotifytheotherpartyatleast3monthspriortotheterminationofthisagreement.Ifthisnoticeislessthan3months,thepartywhowantstoterminatethisagreementshouldpaycompensationtotheotherparty.從年月日起至年月日止；合同期滿甲乙雙方如無異議，本合同將自動順延；在協(xié)議期限或自動順后，協(xié)議之任何一方如需中途停止協(xié)議時，需提前個月，而短于個月時，提出方需賠付對方相應的損失。Section4．TheMethodsUsedforConfirmationofServices.第四條：服務確認方式PartyBshallreceivearequestviatelephoneorfaxfromPartyA.乙方通過電話和傳真接受甲方委托。2．Uponapprovalofarequestbybothparties,PartyAshallsubmitandtransfertheentiredocumentsrelatedtoPartyBinatimelymanner.達成委托后甲方應及時將運輸所需全部手續(xù)移交給乙方。3．UponreceiveaworkrequestfromPartyA,PartyBshallissueaworkorderinaccordancewiththestandardservicechargeandprocessappropriateinsurancecoverage(asrequestedbyPartyA)immediately.乙方接受甲方委托后應及時辦理有關貨物手續(xù)，并按服務收費標準開據(jù)工作單，及辦理保險手續(xù)(在甲方提出保險要求時)。Section5．TheLiabilitiesforDefaultofThisAgreement第五條：違約責任PartyBshallwarrantthesafetyofGoodsduringtheperiodofstorageandtransportation.IntheeventthatPartyBcausesanyloss,shortage,ordamagetotheGoodsduringthestorageandprocess,PartyBshallberesponsibletoclaimanyliabilitiesfromtheinsurancecompanyinaccordancewiththeInsurancelaw.Intheeventthereisnoinsurancecoverageforthedamage,then,thiscoverageshallbecompensatedbyPartyBinaccordancewith“PartyBDeliveryClause”.Ifthelossordamageoccurredwhileunloadingfromtheseaport,railroad,airport,orForceMajeure,PartyBwillhelpPartyAtofileclaimtocompensatetheloss.乙方應保證在上述服務過程中貨物的安全，如因為乙方原因造成貨物的丟失、短少、損壞的，乙方按甲方所投保險的范圍，依據(jù)國家保險條例通過保險公司承擔賠償責任；若未投保的，按《乙方運輸條款》執(zhí)行。門到港服務因貨場、鐵路、機場原因及不可抗力所造成的損失，乙方協(xié)助甲方進行索賠。PartyBshallberesponsibleforthesafetyoftheGoodsthatstoredwithinwarehouse.PartyBshallcompensateanyloss,shortage,ordamageofGoodsduringstorageperiod(excludeForceMajeure,reasonabledepreciationorthedamageswerecausedbyPartyA).乙方負責甲方儲存貨物庫房的安全。貨物在儲存期間，由于保管不善而發(fā)生貨物滅失、短少、損壞的，將由乙方負責賠償損失(因不可抗力、貨物的合理損耗、甲方的責任等原因造成的損失除外)。Ifanyofloss,damageandcontaminationoccurredbecauseofdefaultofthestorageconditionsandspecificstoragerequirementsunderthisAgreementbyPartyB,PartyBshallberesponsibleforcompensatingtheentirelosstoPartyA.在貨物保管期間未按合同規(guī)定的存儲條件和保管要求，造成貨物滅失、短少、污染、損壞的，應承擔全部賠償責任。IfthereisanydiscrepancybetweenPartyA’smasterlistagainsttheactualnumberofGoodsthatarereleasedorstored,oranyabnormaldeliveryschedulewereobservedbyPartyB’srepresentative,PartyBshallnotifypartyAimmediately.PartyBshallclarifythesituationwithPartyAanddeliverypersonnelpriortoreceivingtheGoodsintothewarehouse.Infailuredoingso,PartyBshalltaketheresponsibilityforthisincident.如入庫數(shù)量與甲方《入庫通知》數(shù)量不符或有到貨異常現(xiàn)象，乙方應立即通知甲方人員到場與送貨方人員在現(xiàn)場當時交涉解決，否則由乙方承擔全部責任。ItisPartyA’sresponsibilitytoprovidethemasterlistandrelateddocumentsforeachshipmentpriortoreceivingoftheGoodsintothewarehouse.IfanydiscrepancyoccursbecauseofPartyA’sfailuretoprovidecompletedocumentsorfailuretodeliversuchdocumentsontimeforinspection,PartyBisnotresponsibleforsuchdiscrepanciesandwillnotcompensateforanyloss.貨物進入乙方倉庫前，甲方應向乙方提供必要的貨物驗收資料，如未提供必要的驗收資料或提供的資料不齊全、不及時，所造成的驗收差錯及貽誤索賠期或者發(fā)生貨物品種、數(shù)量、不符合合同規(guī)定時，乙方不承擔賠償責任。IfPartyAfailstohavearepresentativepresentatthewarehousesiteorfailstoprepareamasterlistuponreceivingofsuchnoticefromPartyB,then,thelistthatprovidedbyPartyBshallbeusedasanofficiallistandbecomelegaldocument.PartyBwillnotberesponsibleforanydiscrepanciesoccurduringthisshipment.若乙方已通知甲方而甲方人員不能到場，則以乙方確認的入庫清單為最終清單，乙方不負任何責任。7．PartyAshallpacktheirGoodswiththestandardpackagematerialinaccordancewiththeNationalPackageGuideline.Ifthepackageisnotpackedwithstandardpackagematerialsaccordingthecommoditytransfersafetyregulation,PartyAshallrepackorsendarequesttoPartyBtorepackanyGoodsthatdonotmeetpackageregulation.PartyBwillnotberesponsibleforanydamagescausedbyimproperpackingorthepackageshavingtroubletobeopenedfordamageinspection.甲方委托運輸?shù)呢浳飸凑諊矣嘘P規(guī)定的標準包裝。沒有統(tǒng)一包裝標準的,應根據(jù)保證貨物安全運輸?shù)脑瓌t加以包裝或委托乙方進行。對因不合格包裝貨物受損及包裝完好無法開箱查驗的貨物受損時，乙方不負責任。AnadditionalfeewillbechargedbyPartyBifPartyAhasanextrarequestforpacking,specialdelivery,detourfordelivery,andextraequipmentneededfordeliverytoensuresafetyandavoidanyincidentsduringthedelivery.甲方為防范事故所要求乙方專人押送、特殊包裝、繞道行駛、配備器材等額外產生的費用，由甲方支付。9．ItisnecessaryforPartyAtonegotiatewithPartyBimmediatelywhenaworkrequestalreadysenttoPartyB,ortheAgreementisexpiredbuttheprocessisdelayedbecauseofPartyA(includingpick-uppersonnel).UponagreedbyPartyB,PartyAshouldreceiveapermissiontocontinuetousethewarehouse.ThemethodofpaymentshouldbereferredtoSection6ofthisAgreement.甲方已通知出庫或合同期已到，由于甲方(含提貨人)的原因致使貨物不能如期出庫，應立即與乙方協(xié)商，在乙方同意的情況下，甲方可繼續(xù)使用乙方倉庫，計費方法參照本合同第六條。Section6RateoftheAgreement第六條：結算方式及時間1．TheaccountingmethodandrateforservicechargesthatagreedbybothPartiesasfollows:乙方按照經雙方確認的收費標準進行收費。StorageRate(shouldbepaidbyPartyA):倉儲費用：Warehousecharge:RMB/m2/daypaidbyPartyAmonthly,monthlypaymentisYuan.ThereceiptshallbewrittenasRMBincapital,even.庫房倉儲費為：元/平米/天。甲方按月繳納租金，每月交納租金為一元；人民幣大寫：整。Inspectioncharge:分撿費：Foralargeamountofinspections(uptoitemsofGoods),thechargefromPartyBwillbe:/perlocation/pertypeofcommodity對于大量的分撿業(yè)務(貨物種類超過種以上時)，乙方將收取一定的服務費用：元/地/類Insurancecharge：Theinsurancerateis%ofthevalueofGoods.保險費：保險費率為％Othercharge：referencetotheAppendix.其它收費標準：詳見合同附件2．PartyBshallsendtheirpreviousmonthlystatementonorbeforethedayofeachmonthtoPartyA.PartyAshallsendtheirpaymentwithindaysviacash,check,orwiringafterPartyAreceivedadetailstatementfromPartyB.Anadditional%oftotalcharge/perdaywillbechargedbyPartyBifanydelaypaymentthatoverdays.乙方每月日前與甲方進行上月業(yè)務結算，甲方收到乙方所提供的結帳明細、發(fā)票后，在日內以現(xiàn)金、支票、電匯的方式支付給乙方。甲方如延遲付款超過天以上的，按服務費%/天的數(shù)額向乙方支付滯納金。3．IfanydelayofpaymentthatcausedbyPartyBorstatutoryholiday,PartyAshallnotbechargedforanydelinquentpayment.因法定節(jié)假日及乙方原因造成延遲付款，甲方不承擔延遲付款責任。4．IfthereisanychangeonserviceratesbyPartyB,PartyBshallnotifyPartyAinwritingamonthpriortotheoccurrenceofsuchchanges,andPartyBshouldreceiveawrittenconfirmationfromPartyAwithsuchchanges.Otherwise,theratewillremainthesameaslistedonthisAgreement.當乙方提供的服務價格發(fā)生變化，應提前一個月通知甲方并得到甲方認可，否則仍按本合同附件一所列價格體系執(zhí)行。Section7。TheRightsandObligationsforBothParties.第七條：雙方的權利義務TherightsandobligationsforpartyA甲方的權利義務PartyAhasrighttorequestPartyBtodeliverytheGoodstoanydestinationatanytimewithanymethodthatalreadylistedhereinthisAgreement.Ifthereisaneedforanychangeswiththisworkrequest,PartyAhastherighttochangetheworkrequestbeforePartyBhasprocessedthisrequestforpick-upordelivery.甲方有權要求乙方按委托的時間、地點、方式將貨物運送到目的地，在未辦理提貨、發(fā)貨手續(xù)之前，甲方有權變更或取消委托內容。PartyAhasrighttorequestPartyBtoprovideupdatedinformationatanytimeregardingtothestatusoftheworkrequest.甲方有權要求乙方隨時提供甲方所委托業(yè)務的進展情況，服務過程中的信息反饋。ItisPartyA’sobligationtoprovideaccuratedeliveryaddressesandotherrelatedinformationtoPartyB.PartyBshallnotberesponsibleforanyloss,shortageanddamagesbecauseofthewronginformationthatprovidedbyPartyA.甲方有義務提供準確的收貨人地址等與業(yè)務相關的信息，如因甲方提供的收貨人地址有誤所造成貨物的短少、滅失、損壞或貨物延送，乙方不承擔責任。PartyAshallfollowthepaymentscheduletosendpaymenttoPartyB.IfanybreachcausedbyPartyA,PartyAshalltaketheentireresponsibilityforthismatter.甲方有義務按合同約定時間與乙方進行結帳，出現(xiàn)違約時承擔其責任。TherightsandobligationsforPartyB乙方的權利義務AccordingthisAgreement,ItisPartyB’sobligationtoprovidesafedeliveryservicestoPartyAontime.TheservicesthatarerequestedbyPartyAshouldbetreatedashighpriorityatanytime.乙方應按合同要求為甲方及時提供安全準時運送貨物服務，在車輛運力緊張的情況下，優(yōu)先為甲方提供服務。ItisPartyB’sobligationtokeepPartyA’saffairsconfidentialandPartyBshallprovideacopyofreportsforeachdeliveryservicestoPartyA.乙方有義務為甲方保守商業(yè)秘密的義務，并向甲方提供承運服務執(zhí)行情況的存根。AvalidlicenseandotherlegaldocumentsshallbemadeavailablebyPartyBforeachvehiclethatusedbyPartyA,thesevehicleshouldbeoperatedbydriverswithgooddrivingrecords.乙方提供的服務車輛必須牌照齊全有效，技術狀況良好。ThewarehousepersonnelandstaffofPartyBshallprovide24-hourservicesasrequestedbyPartyA(includingstatutoryholiday).乙方庫管人員做到二十四小時服務(包括公眾假期)。PartyBshouldprovidemonthlyreporttoPartyAwithdetailsabouteachcommoditythatstoredintheleasedwarehouseandthelistofofficesuppliesthatusedbyPartyB’sstaff.Thereportshallbeaccurateandauthentic.IfPartyArepresentativewishtoauditrecords,PartyBshallproviderecordsgeneratedfromthepreviousday.乙方在每月向甲方提供一份貨物庫存明細和行政品發(fā)放明細，做到帳實相符；如甲方人員需隨時查看，乙方應提供前一天的帳目明細。IfPartyAviolatestheAgreement,PartyBhastherighttotemporarysuspendanyworkrequestthatreceivedfromPartyA.在甲方單方違約的情況下，乙方有權暫停執(zhí)行甲方所委托的業(yè)務。AmendmentandTerminationofTheAgreement第八條：合同的變更和解除DuringeffectiveperiodofthisAgreement,bothpartiesareprohibitedtomodifyorterminatetheAgreement.IfanypartyneedstomodifyorterminatetheAgreement,awrittennoticetotheotherpartyisrequireddayspriortotheoccurrenceofsuchchanges.合同期內任何一方不得隨意變更或解除合同，如一方需要變更或解除合同必須提前天通知對方。ntheeventthatanyForceMajeureorincidentoccurredthatcausedeitherpartyunabletopracticethisAgreement,itisnecessarytonotifytheotherparty
