鐵路隧道工程施工承包合同CONTRACTOFRAILWAYTUNNELENGINEERINGCONSTRUCTION（翻譯：張云軍）簽署日期：DateofSignature甲方：中鐵集團（以下簡稱甲方）PartyA:ChinaRailwayGroup.(hereinafterreferredtoasPartyA)乙方：隧道工程公司（以下簡稱乙方）PartyB:TunnelEngineeringCompany(hereinafterreferredtoasPartyB)條款目錄CONTENTS一、組成合同的文件：DocumentsConstitutedContract二、工程概況GeneralReviewofProject三、工期WorkTerm四、工程數(shù)量的核實和確認CheckandConfirmationofWorkQuantity五、承包工程造價ProjectCost六、工程質(zhì)量標準與驗收ProjectQualityStandardsandAcceptance七、隱蔽工程檢查和簽證InspectionandConfirmationofHiddenWorks八、材料的供應SupplyofMaterial九、工程變更Alteration十、雙方責任與權利ResponsibilitiesandRightsofParties安全施工SafeConstruction進度計劃ProgressSchedule承包工程價款支付和結算SettlementandPayment十四、履約擔保PerformanceBond(PB履約金2-5%)十五、保修MaintenanceandRepair違約責任Liabilities其它約定Miscellaneous鑒于：甲方系鐵路建設工程總承包商，因鐵路建設需要并經(jīng)過業(yè)主同意，通過招標將一號隧道工程承包給具有隧道建設資質(zhì)和能力的專業(yè)公司施工；鑒于：乙方系專業(yè)從事隧道工程建設的施工公司，具有相應的工程資質(zhì)和能力，中標承包本合同工程；據(jù)此，甲方將一號隧道的洞身鉆爆開挖、洞門修建、防排水設施、錨網(wǎng)噴支護、襯砌、洞內(nèi)溝槽及洞室和相應的隧道施工附屬項目承包給乙方施工，經(jīng)雙方協(xié)商一致，訂立本合同，共同遵守。WHEREAS:PartyAbeinggeneralcontractorofrailwayengineeringwill,fornecessityofrailwayconstructionandgainemployer’sconsent,contractthroughbiddingNo.Onetunnelprojecttotheprofessionalcompanywithqualificationandcapabilityoftunnelconstructionforexecution;WHEREAS:PartyBbeingtheprofessionalcompanyoftunnelconstructionwithcorrespondingengineeringqualificationandcapacityhaswonbiddingandbeenawardedtheprojecthereof.NOWTHEREFORE,Party,inaccordancewiththenecessityofconstruction,consigntheworksofTunnelNo.1topartyBforexecution,includingblastingexcavation,tunnelportalconstruction,drainagefacilities,boltingandshotcretelining,lining,channelandditchwithintunnelinadditiontocorrespondingprojectsaffiliatedtotunnelengineering,forwhichpartiesbymutualagreementconcludeandenterintothiscontract,partiesherebyagreeasfollows:一、組成合同的文件：DocumentsConstitutedContract組成本合同的文件包括：includingthefollowing:本合同協(xié)議書Agreementhereof本合同條款Termsandconditionshereof本工程適用的標準、規(guī)范及有關技術文件Standards,normsandconcernedtechnicaldocumentsapplicabletothisengineering.4、甲方技術交底圖紙DrawingsdeliveredbypartyA,withexplanationoftechnology.5、附件1《承包人承包工程項目一覽表——工程量清單》，以及雙方有關工程的洽商、變更等書面協(xié)議或文件視為本合同的組成部分。AppendixOne:TheList,BillofQuantityofEngineeringcontractedbycontractorinadditiontotheagreementsorfilesinwritingrelativetonegotiation,alterationofengineeringbypartiesheretowillbedeemedasintegralpartshereof.二、工程概況GeneralReviewofProject工程名稱：一號隧道。ProjectName:TunnelNo.One工程地點：DK094+506至DK095+658；ProjectPlace:工程規(guī)模：隧道總長1152m。ProjectScale:TotalTunnelLength:1152Meters承包范圍和內(nèi)容包含：ContractedScopeandContentsincludingasfollows:洞身開挖（圍巖級別分類情況見工程量清單）。具體內(nèi)容包括：臨時設施建設、腳手架，測量，人工挖除整修，鉆眼、爆破、通風、出碴、運料、照明，管線及排水，木支撐制作、安裝、拆卸，整修邊溝，超挖回填等為完成隧道開挖所需的一切工序施工、完成和缺陷修復工作（棄碴運距從出碴洞口算起1公里、棄碴場用地由甲方負責）。TunnelExecution:ThegradeofsurroundingrockrefertoListofQuantity,particularsthereofincludeasfollows:temporaryfacilities,scaffolding,measurement,artificialdiggingrenovation,drilling,blasting,ventilation,ballastleaving,transportmaterial,lighting,pipelineanddrainage,theproduction,installation,disassemblyofwoodensupport,repairsideditchinadditiontobackfillforoverexcavationandotherworkswhicharenecessityforexecution,complementanddefectrepairsoftunnelproject.支護Support砂漿錨桿、中空注漿錨桿。Mortaranchor,hollowgroutinganchor.超前小導管--鋼管加工制作、運輸、腳手架、鉆孔、頂管等全部制安過程；Advancedsmallpipe-pipemanufacture,transport,scaffolding,drilling,pipe,jackingandallotherprocessofmanufactureandinstallation.3、襯砌，包括正洞襯砌、仰拱及其鋼筋、仰拱填充、鋪底、大小避車洞襯砌。Lining,includingtunnel,invertedarchandreinforcement,theinvertedarchfilling,beddinginadditiontoliningofrefugeholesofvarioussizes.三、工期WorkTerm開工日期：，竣工日期為：。Commencementdateis,completiondateis.四、工程數(shù)量的核實和確認CheckandConfirmationofWorkQuantity乙方向甲方施工技術人員提交已完工程量計算單或簽證，以便甲方對乙方進行驗工計價。PartyBwillsubmitpartyA’stechnicalpersonnelwithListofCompletedQuantityorCertificateofQuantityforpartyA’sacceptanceandcalculationofpartyB’sworks.工程量驗收方法：MeansofQuantityAcceptance隧道開挖數(shù)量以隧道設計開挖斷面計算；襯砌數(shù)量按照圖紙設計厚度及尺寸計算；排水溝、電纜槽按照設計圖紙尺寸及附表清單單價計量；隧道砂漿錨桿、超前錨桿支護數(shù)量按乙方依照甲方技術交底施工的實際數(shù)量計算。Tunnelexcavationquantityiscalculatedpursuanttoexcavatedsectionintunneldesign;liningquantityiscalculatedpursuanttothethicknessandsizeofdrawing’sdesign;quantityofdrainageditchandcabletrougharecalculatedunderthedesignsizeindrawingsandunitpriceinappendixlist;quantityoftunnelmortaranchorandaheadoftheboltsupport,subjecttoPartyB’actualworkednumberarecalculatedinaccordancewithpartyA’stechnicalexplanation.乙方應按照甲方技術人員的技術交底進行施工。工程量以乙方按照甲方技術交底完成的實際施工數(shù)量為依據(jù)。乙方完成的結算工程量須由甲方施工技術、質(zhì)量檢驗工程師審核簽證，且須經(jīng)項目總工審批后才能作為驗工計價的依據(jù)。PartyBshould,pursuanttothetechnicaldirectionbypartyA’stechnicalpersonnel,carryoutexecution.ThequantityisthesamewhichareactualcompletionbypartyBinaccordancewithpartyA’stechnicaldirection.ThesettlementofquantityofpartyB’scompletionshould,priortobeingdeemedasthebasisoftheacceptanceandcostcalculation,bedeterminedbythecheckandconfirmationofpartyA’sengineersoftechnicianandqualityinadditiontotheexam/approvalofproject’sgeneralengineer.五、承包工程造價ProjectCost各分項工程承包單價為：見附件一《工程量清單》，結算工程數(shù)量根據(jù)實際完成的合格工程量計量。乙方根據(jù)甲方提供的施工圖紙，以下述的承包單價即《附件1：承包人承包工程項目一覽表—工程量清單》，完成隧道工程所有項目內(nèi)容施工、竣工和缺陷修復工作。Unitpriceofsub-projectrefertoAppendixOneBILLOFQUANTITYonwhichthesettlementquantitywillbecalculatedonthequalifiedquantitycompletedactuallybypartyB.PartyBwill,inaccordancewithpartyA’sexecutiondrawingsandsubjecttotheunitprice,viz.Project’sListandQuantityList,makecompletionofanyandallitemsoftunnelconstructionincludingexecution,completionanddefect’srepair.六、工程質(zhì)量標準與驗收ProjectQualityStandardsandAcceptance乙方必須嚴格按照甲方技術交底、現(xiàn)行鐵路驗收標準和鐵路施工規(guī)范組織施工。乙方所承包的工程，必須達到國家或本行業(yè)現(xiàn)行的工程質(zhì)量驗收標準。PartyBshould,instrictconformitywithpartyA’stechnicaldirectionandexistingrailwayacceptancestandard/norm,carryoutexecutionhereof.TheprojectcontractedbypartyBshouldsatisfytotheacceptancestandardwhicharestipulatedbystateorindustry.凡因乙方原因造成的施工質(zhì)量不合格的工程，乙方應在規(guī)定的時間內(nèi)無償進行返工，如果返工后仍達不到驗收標準的，甲方有權委派其它單位或個人進行整修，費用由乙方承擔。Providedthatanydefect/unqualifiedworkinprojectexecutionduetopartyB,reworkshouldbecarriedoutbypartyBinfree,wherethereworkisstillnotsatisfyacceptancestandard,partyAisentitletodispatchothercontractororindividualtoconductrepairforwhichthecostwillbeonpartyB’saccount.七、隱蔽工程檢查和簽證InspectionandConfirmationofHiddenWorks甲方質(zhì)檢人員在對隱蔽工程檢查前，乙方應進行嚴格的自行檢查。RespecttohiddenworkpartyBshouldconductself-strictexambeforetheinspectionbypartyA’squalityinspector.乙方每進行一道工序施工前，必須及時通知甲方，對上道工序完成工程量的確認。PartyBshould,priortoconductnextworkprocedure,givenoticetimelytopartyAforconfirmationofthecompletionquantityinaheadprocedure.八、材料的供應SupplyofMaterial甲方提供給乙方材料單價：主要材料按市場價格執(zhí)行，其他非甲方供應材料由乙方自行采購，質(zhì)量滿足相應標準。ThepriceofmaterialswhicharesuppliedbypartyAtopartyB:mainmaterialswillbesubjecttomarkedprice,othernon-partyA’sprovisionofmaterials,thequalitythereofshouldbesatisfactionwithcorrespondingstandards,willbepurchasedbypartyBitself.九、工程變更Alteration建設單位和甲方對原工程設計進行的變更，乙方必須服從。Anyalterationtooriginaldesignbyemployerand/orpartyAshouldbeconformedwithbypartyB.因變更延誤的工期經(jīng)甲方批準后相應順延。Thedelayedtermduetoalterationmay,besubjecttopartyA’sapproval,beallowedcorrespondingextension.由于變更引起工程量的增減，按照附件1的單價執(zhí)行，但是涉及工程項目增加的，雙方另行協(xié)商確定單價。Addition/deductionofengineeringduetoalterationwillbeexecutedpursuanttothestipulationsofappendixOne,providedthatrespectwithadditionofprojectitem,thepricethereofwillbeotherwisegreedbyparties.十、雙方責任與權利ResponsibilitiesandRightsofParties1、甲方責任與權利ResponsibilitiesandRightsofPartyA負責解決施工場地的征用，工程用電主線提供至施工現(xiàn)場。Responsibleforrequisitionofconstructionsiteandprovisionofpowerlineforprojecttosite.甲方負責對工程進行技術交底，負責隧道主體的線形控制。Responsiblefortechnicalexplanationandlinearcontroloftunnelmainconstructure.（3)負責技術監(jiān)督、檢查工作，甲方技術人員有權對乙方不合格工程責令返工，對乙方提供的施工原始資料進行審核。Responsiblefortechnicalsupervisionandinspection,partyA’stechnicianisentitletogiveorderofreworkforpartyB’sanyunqualifiedprojectinadditiontooriginaldataonprojectwhichareprovidedbypartyB.2、乙方責任與權利LiabilitiesandRightsofPartyB(1)完成本合同承包范圍項目工程及附屬的施工、竣工和缺陷修復工作。Tocompletetheprojectworksincontractingscopehereofandtheexecution,completionanddefectrepairofauxiliaryworks.(2)嚴格按照施工圖紙、《鐵路隧道施工規(guī)范》及鐵路工程有關的其他技術規(guī)范和甲方技術交底進行施工，確保工程質(zhì)量。Tocarryoutconstructionandensureprojectqualityinaccordancewithexecutingdrawings,NormofRailwayTunnelConstructionandothertechnicalnormsrelevanttorailwayengineeringinadditiontopartyA’stechnicalexplanation.(3)作好施工原始記錄和編制甲方需要的全部施工資料交甲方存檔。TomakeoriginalrecordsofexecutionwhicharepartyA’snecessityandreferthesametopartyAforarchiving.十一、安全施工SafeConstruction乙方在施工中必須嚴格按施工技術規(guī)范、操作步驟及安全保護措施進行施工生產(chǎn)，如果由于乙方原因造成的人員傷亡和財產(chǎn)損失等事故，一切責任和后果均由乙方承擔。PartyBshouldinstrictaccordancewithnormofconstructiontechnology,operationprocedureandsafeprotectionmeasure,carryoutexecution,whereanyaccidentsofpersonalcasualtiesorpropertieslossduetopartyB,allliabilitiesandconsequencearisingtherefromwillbeundertakenbypartyB.爆破用炸藥、雷管由甲方安排供應，乙方必須安排專用存放地點，安排專人負責炸藥、雷管的接收、保管工作。如果因乙方原因造成炸藥、雷管丟失、被盜等，所造成的一切后果和損失，均由乙方負責。TheexplosiveanddetonatorforblastingworkwillbesuppliedbypartyA,andpartyBshouldpreparespecialplaceandassignparticularpersontotakechargeofreceiptandcustodyofexplosiveanddetonator,whereanylosingorstealingthereofduetopartyB,theanyconsequenceorlossarisingtherefromwillberesponsibleonpartyB.十二、進度計劃ProgressSchedule經(jīng)甲乙雙方同意的施工進度計劃，是本合同的組成部分，雙方必須遵守。Partiesheretoshouldconformwiththeprogressschedulewhichisagreedbypartiesandbeingtheintegralpartofthiscontract.乙方必須按照上報甲方的施工組織設計方案進行施工，嚴格執(zhí)行進度計劃，如果由于乙方原因造成進度滯后，乙方應當及時調(diào)整施工計劃，確保施工進度。PartyBshouldinaccordancewithDesignScheduleofConstructionOrganization,conductinstrictprogressplan,whereanyprogressdelayoccurduetopartyB,theadjustmentofexecutionshouldbemakeforensureprojectprogress.十三、承包工程價款支付和結算SettlementandPayment甲方不撥預付款，根據(jù)實際完成情況，按本合同第四條規(guī)定每月甲方根據(jù)由項目總工審核批準的工程量核定工程價款。每次應付金額為其驗工計價的80%，同時扣減甲方供應的材料及提供的水電費；扣留20%作為工程質(zhì)量保證金。NoadvancepaymentwillbepaidbypartyA.Projectcostwill,pursuanttoactualcompletionandstipulationofArticleFourhereof,beapprovedbypartyAateachmonthsubjecttotheprojectquantitywhichhasbeenconfirmedbytheproject’sgeneralengineer.Eachdueamountofpaymentis80%ofapprovedamountwithacceptancecompletionafterdeductionofthecostsofmaterials,waterandpower,whicharesuppliedbypartyAinadditiontodeductionof20%ofduepaymentasqualityretention.乙方施工工程全部完成并通過甲方、監(jiān)理、業(yè)主的驗收達到質(zhì)量要求后，進行工程結算。結算支付限額為合同總價的90%，扣減合同總價的10%作為保修金。待承包工程缺陷責任期、保修期滿后，保修金一次付清（無息）。Engineeringsettlementwill,uponcompletionofallprojectswhicharereachqualityrequirementsandhavebeenthroughacceptanceofpartyA,supervisionandemployer.Thepaymentlimitedforsettlementis90%ofcontracttotalcost,10%oftotalpaymentisdeductedasguaranteeretentionwhichwillberefund,uponexpirationofguaranteeperiod,bydumppaymentwithoutinterest.十四、履約擔保PerformanceBond合同簽約時乙方必須交納承包工程總造價5%的履約擔保金交與甲方，在乙方按照合同要求實施和完成本合同工程以前，履約擔保一直有效，直至乙方承包工程全部完成并通過甲方、監(jiān)理、業(yè)主的檢測達到質(zhì)量要求后，進行工程結算時退還給乙方。履約擔保期間履約擔保金無利息。PartyBshould,uponsignatureofcontract,payperformancebondequalto5%oftotalcontractpricetopartyA,whichwillbeeffectivepriortoexecutionandcompletionofprojectpursuanttotherequirementsbypartyB,andwillberefundtopartyBwithsettlementuntilandunlessfullcompletionofpartyB’scontractedprojectandthroughinspectionbypartyA,supervisionandemployerasinsatisfactionofqualityrequirements.Nointerestofperformancebondinperiodofguaranty.十五、保修MaintenanceandRepair保修范圍：承包工程全部內(nèi)容。ScopeofMaintenanceandrepair:Allcontractedprojects.保修期限：竣工后兩年。TimelimitedofMaintenanceandrepair:Twoyearsaftercompletion.保修金額和支付方式：保修金額為總合同價的10%，在竣工結算款中扣留，保修期滿后一次性歸返乙方。Sumandpaymentofmaintenanceandrepair:10%oftotalcontractprice,whichwillbedeductedfromcompletionsettlementpaymentandrefundedtopartyBindumppayment.十六、違約責任Liabilities甲方若沒按合同約定履行自己的責任和義務，應承擔違約責任，并承擔經(jīng)濟損失。ProvidedthatpartyAfailtoperformitsresponsibilitiesandobligationsinaccordancewithcontract,shouldundertakebreachliabilityandmakecompensationofeconomiclosstopartyB.如乙方未能按合同工期或甲方同意順延的工期完成施工任務，延期一天罰款1500元，罰款限額為合同總價的10%。ProvidedthatpartyBfailtocompleteexecutionofprojectoncontractedtermorwithintheextensiontermwhichisbypartyA’sconsent,onedelaydaywillbeimposedfineof1500Yuanandthelimitedfineis10%oftotalcontractprice.3、因乙方原因達不到質(zhì)量標準，乙方應在甲方要求的時間內(nèi)返工，直至符合標準為止，返工過程中發(fā)生的一切費用由乙方負責。WherefailuretosatisfactionofprojectqualitypartyBshouldwithinpartyA’srequiredperiodmakereworkthereofuntilsatisfytherequirementofquality,forwhichanyandallcostswillbeaccountonpartyB.4、因第三方原因（主要指業(yè)主、監(jiān)理、重大變更、地震等不可抗力因素）影響進度，工期可順延；工期順延期間乙方發(fā)生的一切費用均由乙方承擔，經(jīng)甲方審核批準后確定工期延長天數(shù)。Whereprojectprogressisaffectedordelayedduetothirdparty,whichmainlymeanbyemployer,supervision,materialalterationandearthquakeandotherforcemajuere,worktermmaybeextendedcorrespondingly,allcostsduringextensionoftermwillbebornebypartyB.ThedaysofextensionwillbeconfirmedsubjecttopartyA’sapproval.十七、其它約定MiscellaneousTheSchedulesandAnnexesheretoaremadeanintegralpartofthisContractandareequallybindingwiththemainbodyoftheContract.IntheeventofanyconflictbetweenthetermsandprovisionsofthemainbodyoftheContractandtheSchedulesorAnnexes,thetermsandprovisionsofthemainbodyofthisContractshallprevail.本合同的附錄以及附件為本合同不可分割的部分，并且與本合同正文的條款具有同等效力。如果本合同正文的條款與附錄以及附件的條款有沖突，以本合同正文條款為準。本合同未盡事宜甲乙雙方共同協(xié)商解決，合同期間雙方達成的任何協(xié)議作為本合同的附加條款，同樣具有法律效力。Anyoutstandingissuehereofwillbecommonlynegotiatedbypartieshereto.Anyagreementconcludedduringcontractperformancewillbedeemedastheappendixtermandconditionstothiscontractandwithequaleffect.若本合同履行過程中發(fā)生任何爭議，雙方將盡其最大努力通過友好協(xié)商解決。若協(xié)商不成，任何一方可將爭端提交至國際經(jīng)濟貿(mào)易仲裁委員會，按照申請仲裁時該會現(xiàn)行有效的仲裁規(guī)則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。Bothpartiesagreethatinthecaseofanydispute,theywillusetheirbesteffortstosolvealldifferencesamicablybynegotiation.IfnosettlementcanbereachedbynegotiationeitherPartymaysubmitsuchdisputetoInternationalEconomicandTradeArbitrationCommissionforarbitrationinaccordancewithitsarbitrationrulesthenineffect.Thearbitrationawardwillbefinalandbindinguponbothparties.本合同附件：隧道施工技術附件Appendixhereof:TechnicalAppendixofTunnelConstruction本合同正本貳份，甲乙雙方各壹份。ThiscontractismadetoworiginalcopiesforpartyAandpartyBholdeachcopyrespectively.甲方（蓋章）：PartyA(seal)乙方（蓋章）：PartyB(seal)代表（簽字）：Representative(signature)代表（簽字）：Representative(signature)隧道施工技術附件TechnicalAppendixofTunnelConstruction目錄隧道開挖前的準備工作洞口施工：TunnelPortalConstruction三、開挖施工：ExcavationConstruction四、安全處理SafetyTreatment五、裝碴與運輸：MuckLoadingandTransportation六、支護施工：SupportConstruction七、襯砌施工：LiningConstruction八、不良地質(zhì)段施工：Constructionatthesectionwithundesirablegeologicalconditions九、監(jiān)控和測量：MonitoringandMeasuring十、施工用電：ConstructionPowerSupply十一、施工機具：ConstructionEquipment十二、通風Airsupply一、隧道開挖前的準備工作隧道施工前，應根據(jù)工程地質(zhì)、水文地質(zhì)資料制定防排水方案；隧道進洞前要做好洞頂、洞口、輔助坑道的地面排水系統(tǒng)，防止地表水的下滲和沖刷；施工中要對洞內(nèi)的出水部位、水量大小、涌水情況、變化規(guī)律，補給來源及水質(zhì)成份做好觀測和記錄，并不斷改善防排水措施。Beforethetunnelconstruction,thewaterproofanddewateringplansshallbemadebasedonthegeologyandthehydro-geologicdata.Thesurfacedrainagesystemonthecrown,portalandauxiliaryaditsshallbepreparedbeforeenteringintothetunnel,soastopreventthegroundwater’sinfiltrationandscouring;Observationandrecordshallbemadeontheoutletposition,watervolume,surgingwater,regularityforchange,sourceofsupp
