2.UnusedServices.TheServicesmustbeusedwithinsix(6)monthsfromthesignaturedateoftheorderingdocument(“ProfessionalServicesPeriod”).AnyportionoftheServicesnotusedwithintheProfessionalServicesPeriodwillbeautomaticallyforfeitedbyYou,withnofurtheractionrequiredofeitherparty,andYouwillnotbeentitledtoarefund,oranycredittowardadditionalorotherServices,foranyunusedportionofthefeespaidforanyunusedportionoftheServices.YoumaynotapplyanyportionofunusedServicesorfeespaid,foranyServicesotherthantheServicesstatedinthisorder.InorderforOracletoprovideServicestoYouaftertheProfessionalServicesPeriod,OracleandYoushallmutuallyagree,inwriting,underaseparateorderingdocumentandorder,tothetermsandfeesforsuchServices.

3.YourObligationsandProjectAssumptions.InadditiontotheobligationsandassumptionsstatedinYourorder,YouacknowledgethatOracle’sabilitytoperformtheServicesdependsuponYourfulfillmentofthefollowingobligationsandthefollowingprojectassumptions:

A.YourObligations.

1.ObtainCloudServicesunderseparatecontractpriortothecommencementofServicesunderthisorderandmaintainsuchCloudServicesforthedurationoftheServicesprovidedunderthisorder.

2.Provideanynotices,andobtainanyconsents,requiredforOracletoperformServices.

3.LimitOracle’saccesstoanyproductionenvironmentsorshareddevelopmentenvironmentstotheextentnecessaryforOracletoperformServices.

4.IfwhileperformingServicesOraclerequiresaccesstoothervendor’sproductsthatarepartofYoursystem,YouwillberesponsibleforacquiringallsuchproductsandtheappropriatelicenserightsnecessaryforOracletoaccesssuchproductsonYourbehalf.

5.ProvideYourprojectgoalsandobjectives.

6.ProvideguidelinesfortheuseofYourbrand(s).

7.ParticipateintheVirtualDiscoverySessionandanyfollow-upmeetingsasneeded.

8.EnsureYourtasksarecompletedinthetimeframeasmutuallyagreedupon.

9.ContactOracle’sprojectmanagertorequestandscheduletheperformanceofServiceswithintheServicesPeriod,whichServiceswillbescheduledatadateandtimemutuallyagreedtobytheprojectmanagers.

10.Purchase“DeliverabilityforNewIPAddress”ServicesfromOracleunderseparateorder.

11.YouagreetomakereasonableeffortstolimitOracle'saccesstopersonaldatatotheminimumnecessarytoaccomplishtheintendedpurposes.YouacknowledgethatYouaresolelyresponsibleforprovidinganyrequirednoticesandobtaininganyrequiredconsentsfortheprocessingortransfersofpersonaldata.YouacknowledgethatOraclemayprovidetheServicesfromOracle'sgloballocations.

B.ProjectAssumptions.

1.AllServiceswillbedeliveredinanativelanguageoftheOracleentityidentifiedintheorderingdocument.

6.CapitalizedtermsnotdefinedintheagreementorthisordershallrefertonamedfunctionalityandactivitieswithintheapplicableCloudServices,asdescribedinmoredetailwithintheOracleProgramdocumentation.

7.OutofScope.ThefollowingactivitiesarenotwithinthescopeofServicesofthisorder:

a.PopulatinganycontentinOCM,

b.CreatinganyOCMcontent,

c.DeployinganyOCMcampaigns,

d.Creatinganyreports.

e.Anytasks,activitiesandServicesthatarenotexpresslyidentifiedinthisorderasbeingOracle’sresponsibility.

4.ProjectManagement.YouagreetodesignateaprimarycontactandOracleagreestodesignateaprojectmanagerwhoshallbothberesponsibleforcoordinatingactivitiesunderthisdocument.YouandOracleeachshalldirectallinquiriesconcerningtheServicestotheotherparty'sprimarycontactorprojectmanager.Oracle’sprojectmanagershallhavethesolerighttoexercisedirectcontrolandsupervisionovertheworkassignmentsofOracleresources.

2.UnusedServices.TheServicesmustbeusedwithinsix(6)monthsfromthesignaturedateoftheorderingdocument(“ProfessionalServicesPeriod”).AnyportionoftheServicesnotusedwithintheProfessionalServicesPeriodwillbeautomaticallyforfeitedbyYou,withnofurtheractionrequiredofeitherparty,andYouwillnotbeentitledtoarefund,oranycredittowardadditionalorotherServices,foranyunusedportionofthefeespaidforanyunusedportionoftheServices.YoumaynotapplyanyportionofunusedServicesorfeespaid,foranyServicesotherthantheServicesstatedinthisorder.InorderforOracletoprovideServicestoYouaftertheProfessionalServicesPeriod,OracleandYoushallmutuallyagree,inwriting,underaseparateorderingdocumentandorder,tothetermsandfeesforsuchServices.

3.YourObligationsandProjectAssumptions.InadditiontotheobligationsandassumptionsstatedinYourorder,YouacknowledgethatOracle’sabilitytoperformtheServicesdependsuponYourfulfillmentofthefollowingobligationsandthefollowingprojectassumptions:

A.YourObligations.

1.ObtainCloudServicesunderseparatecontractpriortothecommencementofServicesunderthisorderandmaintainsuchCloudServicesforthedurationoftheServicesprovidedunderthisorder.

5.ProvideYourprojectgoalsandobjectives.

6.ProvideguidelinesfortheuseofYourbrand(s).

7.ParticipateintheVirtualDiscoverySessionandanyfollow-upmeetingsasneeded.

8.EnsureYourtasksarecompletedinthetimeframeasmutuallyagreedupon.

9.ContactOracle’sprojectmanagertorequestandscheduletheperformanceofServiceswithintheServicesPeriod,whichServiceswillbescheduledatadateandtimemutuallyagreedtobytheprojectmanagers.

10.Purchase“DeliverabilityforNewIPAddress”ServicesfromOracleunderseparateorder.

11.YouagreetomakereasonableeffortstolimitOracle'saccesstopersonaldatatotheminimumnecessarytoaccomplishtheintendedpurposes.YouacknowledgethatYouaresolelyresponsibleforprovidinganyrequirednoticesandobtaininganyrequiredconsentsfortheprocessingortransfersofpersonaldata.YouacknowledgethatOraclemayprovidetheServicesfromOracle'sgloballocations.

5.AnytimelinesorexpectedcompletiondatesdiscussedwithYouareestimateddatesandareintendedforplanningpurposesonly.AssuchOracledoesnotguaranteethatanysuchtimelinesorexpectedcompletiondateswillbemetandfailuretomeetsuchtimelinesshallnotconstituteabreachofcontractorabrogateYourobligationtopayforServicesperformed.

6.CapitalizedtermsnotdefinedintheagreementorthisordershallrefertonamedfunctionalityandactivitieswithintheapplicableCloudServices,asdescribedinmoredetailwithintheOracleProgramdocumentation.
