Title:CommissionContractAgreement

Introduction

ThisCommissionContractAgreement(hereinafterreferredtoasthe"Agreement")isenteredintoonthis[Day]of[Month],[Year],between[YourName](hereinafterreferredtoasthe"Principal"),and[Agent'sName](hereinafterreferredtoasthe"Agent").

Article1:AppointmentofAgent

1.1ThePrincipalherebyappointstheAgentasitsexclusiverepresentativetosolicit,promote,andsecurebusinessonitsbehalfinthe[Territory].

1.2TheAgentacceptstheappointmentandagreestoperformthedutiesandobligationssetforthinthisAgreement.

Article2:CommissionStructure

2.1TheAgentshallbeentitledtoacommissionatarateof[Percentage]%onthenetsalesrevenuegeneratedfromthebusinesssecuredbytheAgentinaccordancewiththisAgreement.

2.2ThecommissionshallbecalculatedbasedontheactualpaymentreceivedbythePrincipalfromthecustomers.

2.3ThePrincipalshallpaytheAgentthecommissionwithin[Number]daysafterreceivingthepaymentfromthecustomers.

Article3:DutiesandObligationsoftheAgent

3.1TheAgentshalluseitsbesteffortstopromoteandmarketthePrincipal'sproductsorservicesintheTerritory.

3.2TheAgentshallmaintainaccuraterecordsofalltransactionsandprovidethePrincipalwithmonthlyreports.

3.3TheAgentshallcomplywithallapplicablelaws,regulations,andethicalstandardsintheperformanceofitsdutiesunderthisAgreement.

Article4:TermandTermination

4.1ThisAgreementshallenterintoforceonthedatefirstmentionedaboveandshallcontinueforatermof[Term]unlessterminatedearlierinaccordancewiththeprovisionsofthisArticle.

4.2EitherpartymayterminatethisAgreementbygivingwrittennoticetotheotherpartyatleast[NoticePeriod]priortotheintendeddateoftermination.

4.3Intheeventoftermination,theAgentshallbeentitledtoreceivethecommissiononthebusinesssecuredbytheAgentuptothedateoftermination.

Article5:Confidentiality

5.1TheAgentacknowledgesthatduringthetermofthisAgreement,itmayhaveaccesstoconfidentialinformationofthePrincipal.TheAgentagreestomaintaintheconfidentialityofsuchinformationandnotdiscloseittoanythirdpartywithoutthePrincipal'spriorwrittenconsent.

5.2ThisconfidentialityobligationshallsurvivetheterminationofthisAgreement.

Article6:Miscellaneous

6.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallpriordiscussions,negotiations,andunderstandings,whetherwrittenororal.

6.2AnyamendmentormodificationtothisAgreementshallbeeffectiveonlyifmadeinwritingandsignedbybothparties.

6.3ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
