ThisContractofWarehouseLease(hereinafterreferredtoas"theContract")isherebyexecutedbyandbetweentheLandlord(hereinafterreferredtoas"theLandlord")andtheTenant(hereinafterreferredtoas"theTenant")onthebasisofmutualconsultationandagreement.ThefollowingtermsandconditionsshallgoverntheleaserelationshipbetweentheLandlordandtheTenant:

1.LeaseProperty

TheLandlordherebyleasestotheTenant,andtheTenantherebyleasesfromtheLandlord,thewarehouselocatedat[fulladdressofthewarehouse](hereinafterreferredtoas"theLeasedProperty").

2.LeaseTerm

Theleasetermshallcommenceon[startdate]andterminateon[enddate].Thetotalleasetermshallbe[numberofyears/months]fromthecommencementdate.

3.Rent

TheTenantshallpaytheLandlordamonthlyrentof[amount](hereinafterreferredtoas"theRent")onorbeforethe[dayofthemonth]ofeachmonthduringtheleaseterm.TheRentshallbepaidinadvance,andanylatepaymentshallbesubjecttoalatefeeof[percentage]oftheRent.

4.SecurityDeposit

TheTenantshallpayasecuritydepositof[amount](hereinafterreferredtoas"theSecurityDeposit")totheLandlorduponexecutionofthisContract.TheSecurityDepositshallbereturnedtotheTenantupontheexpirationoftheleaseterm,subjecttotheLandlord'ssatisfactionwiththeconditionoftheLeasedProperty.

5.UseoftheLeasedProperty

TheTenantshallusetheLeasedPropertyfor[specificpurposeorgeneraldescriptionoftheuse].TheTenantagreesnottousetheLeasedPropertyforanyillegalorunauthorizedpurpose.

6.MaintenanceandRepairs

TheTenantshallmaintaintheLeasedPropertyingoodconditionduringtheleaseterm.TheTenantshallberesponsibleforallnecessaryrepairsandmaintenanceoftheLeasedProperty,exceptforthoserepairsandmaintenancearisingfromthenormalwearandtearoftheLeasedProperty.

7.Insurance

TheTenantshallobtainandmaintaininsurancecoveragefortheLeasedPropertyinanamountnotlessthanthereplacementvalueoftheLeasedProperty.TheTenantshallprovideproofofinsurancetotheLandlordwithin[numberofdays]afterexecutionofthisContract.

8.AssignmentandSubletting

TheTenantshallnotassignorsublettheLeasedPropertywithoutthepriorwrittenconsentoftheLandlord.

9.DefaultandTermination

Intheeventofadefaultbyeitherparty,theotherpartymayterminatethisContractuponwrittennoticetothedefaultingparty.Thedefaultingpartyshallbegivenareasonableopportunitytocurethedefaultbeforetermination.

10.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[state/country].

11.EntireAgreement

ThisContractconstitutestheentireagreementbetweentheLandlordandtheTenantwithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.

INWITNESSWHEREOF,theLandlordandtheTenanthaveexecutedthisContractasofthedatefirstabovewritten.

ThisContractofWarehouseLease(hereinafterreferredtoas"theContract")isherebyexecutedbyandbetweentheLandlord(hereinafterreferredtoas"theLandlord"),theTenant(hereinafterreferredtoas"theTenant"),andtheThirdParty(hereinafterreferredtoas"theThirdParty")onthebasisofmutualconsultationandagreement.ThefollowingtermsandconditionsshallgoverntheleaserelationshipbetweentheLandlord,theTenant,andtheThirdParty,withtheprimaryfocusontherightsandinterestsoftheTenant(hereinafterreferredtoas"thePrincipal").

1.LeaseProperty

TheLandlordherebyleasestotheTenant,andtheTenantherebyleasesfromtheLandlord,thewarehouselocatedat[fulladdressofthewarehouse](hereinafterreferredtoas"theLeasedProperty").

2.ThirdPartyRole

TheThirdPartyshallactasanintermediaryandshallhavethefollowingresponsibilities,rights,andinterests:

a)TheThirdPartyshallfacilitatethenegotiationandexecutionofthisContractbetweentheLandlordandtheTenant.

b)TheThirdPartyshallensurethattheTenant'srightsandinterestsareprotectedthroughouttheleaseterm.

c)TheThirdPartyshallprovideconsultingservicesrelatedtotheoperationandmanagementoftheLeasedProperty.

3.Tenant'sRightsandInterests

TheTenantshallhavethefollowingrightsandinterests:

a)TheTenantshallhaveexclusivepossessionanduseoftheLeasedPropertyforthedurationoftheleaseterm.

b)TheTenantshallhavetherighttosublettheLeasedPropertywiththepriorwrittenconsentoftheLandlord.

c)TheTenantshallhavetherighttorequesttheLandlordtomakenecessaryrepairsandmaintenancetotheLeasedProperty.

d)TheTenantshallhavetherighttoterminatethisContractintheeventofabreachoftheLandlord'sobligationsunderthisContract.

4.Tenant'sObligations

TheTenantshallcomplywiththefollowingobligations:

a)TheTenantshallpaytheRentontimeandinfullasstipulatedinthisContract.

b)TheTenantshallmaintaintheLeasedPropertyingoodconditionduringtheleaseterm.

c)TheTenantshallnotusetheLeasedPropertyforanyillegalorunauthorizedpurpose.

5.Landlord'sObligations

TheLandlordshallcomplywiththefollowingobligations:

a)TheLandlordshallprovidetheTenantwithasafeandhabitableLeasedProperty.

b)TheLandlordshallpromptlyaddressanyrepairsandmaintenanceissuesreportedbytheTenant.

c)TheLandlordshallnotunreasonablywithholdconsentfortheTenanttosublettheLeasedProperty.

6.Tenant'sRightsinCaseofDefault

IntheeventofadefaultbytheLandlord,theTenantshallhavethefollowingrights:

a)TheTenantshallhavetherighttoterminatethisContractuponwrittennoticetotheLandlord.

b)TheTenantshallhavetherighttoseekcompensationforanylossesincurredasaresultoftheLandlord'sbreachofthisContract.

c)TheTenantshallhavetherighttoseeklegalremediesagainsttheLandlordforanyviolationsofthisContract.

7.Tenant'sLimitationsandRestrictions

TheTenantshallcomplywiththefollowinglimitationsandrestrictions:

a)TheTenantshallnotaltertheLeasedPropertywithouttheLandlord'spriorwrittenconsent.

b)TheTenantshallnotassignthisContractwithouttheLandlord'spriorwrittenconsent.

c)TheTenantshallnotengageinanyactivitythatmayadverselyaffecttheLandlord'spropertyorreputation.

8.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[state/country].

9.EntireAgreement

ThisContractconstitutestheentireagreementbetweentheLandlord,theTenant,andtheThirdPartywithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.

1.ManagementServices

TheLandlordherebyentruststheTenanttoprovidepropertymanagementservicesforthepropertylocatedat[fulladdressoftheproperty](hereinafterreferredtoas"theManagedProperty").

2.ThirdPartyRole

TheThirdPartyshallactasaconsultantandshallhavethefollowingresponsibilities,rights,andinterests:

a)TheThirdPartyshallprovideexpertadviceandrecommendationsonpropertymanagementstrategiesandpractices.

b)TheThirdPartyshalloverseetheperformanceoftheTenantandensurecompliancewiththetermsofthisContract.

c)TheThirdPartyshallmediateanydisputesthatmayarisebetweentheLandlordandtheTenant.

3.Tenant'sRightsandInterests

TheTenantshallhavethefollowingrightsandinterests:

a)TheTenantshallhavetherighttoreceivetimelyandaccuratefinancialreportsrelatedtotheManagedProperty.

b)TheTenantshallhavetherighttomakedecisionsregardingsignificantpropertymanagementmatters,subjecttotheapprovaloftheLandlord.

c)TheTenantshallhavetherighttoterminatethisContractintheeventofabreachoftheLandlord'sobligationsunderthisContract.

4.Tenant'sObligations

TheTenantshallcomplywiththefollowingobligations:

a)TheTenantshallperformthepropertymanagementserviceswithduediligenceandinaccordancewiththehigheststandardsoftheindustry.

b)TheTenantshallmaintaintheManagedPropertyinaconditionthatpreservesitsvalueandensuresthesafetyandcomfortofitsoccupants.

c)TheTenantshallprovidetheLandlordwithacomprehensiveannualreportonthefinancialandoperationalstatusoftheManagedProperty.

5.Landlord'sObligations

TheLandlordshallcomplywiththefollowingobligations:

a)TheLandlordshallprovidetheTenantwithclearinstructionsandguidelinesforthemanagementoftheManagedProperty.

b)TheLandlordshallpromptlyaddressanyissuesraisedbytheTenantregardingthemanagementoftheManagedProperty.

c)TheLandlordshallnotunreasonablyinterferewiththeTenant'smanagementdecisions.

6.Tenant'sRightsinCaseofDefault

IntheeventofadefaultbytheLandlord,theTenantshallhavethefollowingrights:

a)TheTenantshallhavetherighttorequesttheLandlordtocurethedefaultwithinareasonableperiod.

b)IftheLandlordfailstocurethedefault,theTenantshallhavetherighttoseeklegalremediesagainsttheLandlord.

c)TheTenantshallhavetherighttoterminatethisContractiftheLandlord'sbreachismaterialandcannotbecured.

7.Tenant'sLimitationsandRestrictions

TheTenantshallcomplywiththefollowinglimitationsandrestrictions:

a)TheTenantshallnotenterintoanyagreementsorarrangementsthatconflictwiththetermsofthisContractwithouttheLandlord'spriorwrittenconsent.

b)TheTenantshallnotmakeanysubstantialchangestotheManagedPropertywithouttheLandlord'spriorwrittenconsent.

c)TheTenantshallnotengageinanyactivitiesthatmaycauseharmtotheLandlord'sinterestsorreputation.

8.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[state/country].

9.EntireAgreement

ThisContractconstitutestheentireagreementbetweentheLandlord,theTenant,andtheThirdPartywithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.
