Both parties have considered various forms of joint business enterprises for their business.c. Both parties desire to enter into a co-oper

5、ation agreement as the most advantageous business form for their mutual purpose.北京 XXXX投資顧問(wèn)有限公司 XXXXIIM 顧問(wèn)咨詢(xún)有限公司戰(zhàn)略合作協(xié)議事實(shí)陳述a.合作雙方欲聯(lián)合起來(lái)追求共同所需的商業(yè)目標(biāo)。b.合作雙方已經(jīng)就其經(jīng)營(yíng)業(yè)務(wù)考慮了各種形式的合作方式。c.合作雙方欲就其互利目標(biāo)達(dá)成一項(xiàng)合伙協(xié)議作為其最佳商業(yè)形式。2.RESPONSIBILITIES & RELIABILITIESParty AAccording to the information of XXXX business access sta

6、ndards, investment environment and tax policy which provided by Party B, Party A shall recommend the high-quality companies from China to conduct business through Party B in XXXX.Provide the full documentations of Chinese companies to conduct business in XXXX.Ensure the authenticity and legality of

7、all the documentation provided by the Chinese companies.As authorized by Party B, Party A is responsible to the signing and interpretation of various documents for mutual business.Assist Party B to conduct the business promotions and publicities in China.Party BParty B shall provide all the financia

8、l support on their business in China; it includes business initiation, management and promotion.As Party A shall refer the Chinese Companies to Party B. Party B shall provide these companies the consultant services regarding legal, audition, taxation, financial, risk management, accounting and other

9、 related areas.In order to establish the intensiveness business co-operation. Party B shall provide all the business related documents, information, legal acts and governmental information in XXXX for the reference of Party A.Party B shall provide a systematic training course on XXXX businesses SOP

10、(Standard Operation Procedure), XXXX law & Tax regulations and IIM Billing system for Party A employees.責(zé)任與義務(wù)甲方甲方根據(jù)乙方所提供的 XXX業(yè)務(wù)進(jìn)入標(biāo)準(zhǔn)、投資環(huán)境以及稅收政策，為乙方推薦中國(guó)國(guó)內(nèi)優(yōu)質(zhì)企業(yè)到乙 方公司開(kāi)展業(yè)務(wù)。提供中國(guó)公司在 XXXX進(jìn)行業(yè)務(wù)所需的所有文件。 確保中國(guó)公司文件的真實(shí)性、合法性。負(fù)責(zé)乙方在中國(guó)業(yè)務(wù)各種文件的簽署、解釋工作。 協(xié)助乙方在中國(guó)展開(kāi)相關(guān)業(yè)務(wù)的推廣及宣傳。乙方乙方將提供其相關(guān)項(xiàng)目的所有開(kāi)展、管理及推廣業(yè)務(wù)的資金北京 XXXX投資顧問(wèn)有限公司 XXXX

11、IIM 顧問(wèn)咨詢(xún)有限公司戰(zhàn)略合作協(xié)議甲方所推薦到 XXXX地區(qū)的企業(yè)，乙方須為其提供后續(xù)的經(jīng)營(yíng)、管理、法律法規(guī)咨詢(xún)、會(huì)計(jì)及其他相關(guān) 的顧問(wèn)服務(wù)工作。乙方根據(jù)甲方在中國(guó)開(kāi)展業(yè)務(wù)的需要，提供一系列必要的宣傳類(lèi)資料，包含當(dāng)?shù)氐亩愂照?、投資環(huán)境 分析、乙方公司的官方宣傳材料等。乙方須向甲方特定人士進(jìn)行XXXX當(dāng)?shù)貥I(yè)務(wù)的標(biāo)準(zhǔn)操作步驟、政府法律/ 稅則規(guī)定及 IIM 收費(fèi)系統(tǒng)的培訓(xùn)課程。3. COMMUNICATION STRUCTUREFor a better future business development, Party A and Party B shall establish a regu

12、lar meeting schedule for the business assessment, business flow and information exchange.三 業(yè) 務(wù)溝通交流機(jī)制為了將來(lái)更佳的業(yè)務(wù)拓展，甲、乙雙方須定時(shí)展開(kāi)會(huì)議，進(jìn)行業(yè)務(wù)發(fā)展的評(píng)估、流程及信息交流。4. CONVENANT AGAINST REVEALING TRADE SECRETSNo party shall, during the continuance of the co-operation relationship or for 5 years after its termination by a

13、ny means, divulge to any person not a member of both firms any trade secret or special information employed in or conductive to the co-operation business and which may come to the both partysknowledge in the course of the co-operation relationship, without the consent in writing of the other party,

14、or of the other party s heirs, administrators, or assigns.四 保 守商業(yè)秘密的承諾在甲、乙雙方展開(kāi)合作業(yè)務(wù)的存續(xù)期間或無(wú)論以何種方式終止合作業(yè)務(wù)后 5 年內(nèi)，如果沒(méi)有其他合伙人或 其繼承人、管理者或受讓人的書(shū)面同意，任何合伙人不得向非公司成員泄漏任何商業(yè)秘密或有官合作業(yè)務(wù) 采用或有助于合作業(yè)務(wù)的信息，在合作業(yè)務(wù)的運(yùn)營(yíng)過(guò)程中，該信息可能會(huì)成為合作雙方的專(zhuān)有知識(shí)。5. DURATION OF AGREEMENTThe term of this agreement shall be for 1 year, commencing on DATE

15、, and terminating on DATE, unless sooner terminated by mutual consent of the parties or by operation of the provisions of this agreement.五 協(xié) 議期限本協(xié)議期限為 1 年，從 2011 年 x 月x 日開(kāi)始到 2012 年 x月 x日結(jié)束，除非甲、乙雙方同意或本協(xié)議 條款規(guī)定可終止該協(xié)議。6. GOVERNING LAW北京 XXXX投資顧問(wèn)有限公司 XXXXIIM 顧問(wèn)咨詢(xún)有限公司戰(zhàn)略合作協(xié)議SThe enforcement and interpretat

16、ion of this agreement shall be governed by the laws of THE PEOPLE REPUBLIC OF CHINA.六 法 律適用本協(xié)議的實(shí)施和解釋適用于中華人民共和國(guó)法律。7. RESOLUTION OF DISPUTESAny dispute arising out if or in connection with this Agreement, shall be governed and construed by the laws of the PEOPLE S REPUBLIC OF CHINA in CHINA INTERNATIO

17、NAL ECONOMIC AND TRADE ARBITRATION COMMISSION, and shall be referred to and finally resolved by China Beijing District Court, P.R.C.七 爭(zhēng) 議的解決方案及管轄 所有因履行本協(xié)議引起的，與之相關(guān)的或不能夠通過(guò)協(xié)商解決的爭(zhēng)議及糾紛，任何一方均可將爭(zhēng)議提交中 國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，并且依照中華人民共和國(guó)規(guī)定，在北京通過(guò)仲裁的方式進(jìn)行解決。8. PREVAIL OF LANGUAGE VERSIONAny contradiction between Chinese a

18、nd English version, Chinese version shall prevail.八 中 文及英文版本間的效力所有因中、英文版本引起的矛盾及爭(zhēng)議，以中文版本為準(zhǔn)。9. OTHER PROVISIONBoth parties will be based on actual needs of the business co-operation to sign the specific business contracts and execute accordingly. If there are inconsistencies between the contract and this agreement, the contract shall prevail.九
