6、eMT cargos9.1 首付款9.1 Provisional payment:賣方可以憑以下單據(jù)議付信用證下95% CIF 貨款金額：Seller msay draw at sight for 95% provisional payment of the CIF value of shipment accompanied bythe following documents:(1) 貨物產(chǎn)地證明，一正兩副，由菲律賓商會簽發(fā)(2) Certificate of Origin in one original and 2 (two) copies issued by the Chamber of

7、Commerce of Philippine.(3) CCIC或SGS勺貨物商檢證，質(zhì)量證明要顯示該合同中所要求的所有實際數(shù)據(jù)。(4) Certificate of Quality issued by CCIC or SGS at the loading port. Certificate of quality to show actual result of the test of chemical composition and all other tests called for in this contract.(5) 船運公司的船運單證，清潔裝船提單，要求三正三副，空白背書，顯示“運

8、費按照租船合同”或“運費預(yù)付”，通知申請人。(6) Three originals and thre e copies of “ Clean on Board o” cean Bill of Lading at the loading port made out to order, blank endorsed marked“ frpeaigyhatble as per Charter Partyor” “ freightprepaid ”notifying the applicant.(7) 裝運港裝箱單證, 一正兩副，顯示貨物重量(8) Packing list in 1 (ONE) or

Showing the weight of thecargo(5)在裝貨港由CCIC或SG夠發(fā)的重量證明，一正兩副，顯示貨物重量。(9) Certificate of Quality issued by CCIC or SGS at the loading port in 1 (ONE) original and 2 (two) copies at the loading port. Showing the weight of the cargo(6)95% 貨物的商業(yè)發(fā)票, 兩正三副，顯示合同號，信

10、用證號和船名。(10) Commercial Invoice covering 95% value of the goods issued by the Seller in 2 (two) originals and 3 (three) copies indicating the contract number, L/C number and name of carrying vessel.9.2 最終付款：9.3 final payments貨物剩余的5%款項, 賣方憑以下單據(jù)進(jìn)行議付：The balance five (5%) due to Seller after provisional

11、 payment shall be drawn under the same Letter of Credit against Seller s final invoice with the following documents:I. 賣方的最終商業(yè)發(fā)票，一正四副，顯示合同號和應(yīng)付金額。I. Seller s signed final invoice in 4 originals indicating contract number and showing the total amount and claim for 5% of goods value.II.由CIQ簽發(fā)的一份重量檢測證明的

12、復(fù)印件II. One photocopy of inspection certificate of weight issued by CIQ in ChinaIII. 由CIQ簽發(fā)的一份質(zhì)量檢測證明的復(fù)印件IV. . One photocopy of inspection certificate of quality issued by CIQ in China最終發(fā)票以中國簽發(fā)的CIQ為依據(jù)，最終5%寸款在CIQ檢測證明在卸貨完畢的60天內(nèi)提供。如果該單據(jù)不能在60 天內(nèi)發(fā)給賣方，裝貨港的檢測報告將作為最終發(fā)票的依據(jù)。The final invoice is to be based on c

13、ertificates issued by CIQ of the Peopleic ofsCRheinpaubalsprovided in Clause 5 of this Contract within sixty (60) days after completion of discharging. If the Certificate issued by CIQ at the discharging port cannot be forwarded to Seller within sixty (60) days after completion of discharge in China

14、, then the certificate at the loading port shall be the basis of the final invoice.10. 價格的調(diào)整和拒收：10. Price adjustment錳的含量基于45%，調(diào)價如下：The content of Mn is based on 45%, and price shall be adjusted like below:10.1. 鎰的含量低于45%t其含量每低1%i礎(chǔ)彳減USD5鎰的含量高于 45%,其含量每高1磯礎(chǔ)價增 加USD5鎰的含量低于42%t買方有權(quán)拒收。10.1 The base price

15、shall be decreased by USD 5 as per Clause 2 for each 1% MN per DMT in case of MN below 45 %, fractions pro-rata.The base price shall be increased by USD 5 as per Clause 2 for each 1% MN per DMT in case of MN above 45 %, fractions pro-rata.Buyer can reject the goods when Mn content below 42%.10.2. 鐵的

16、含量超過9%寸，其含量每超過 1%基礎(chǔ)彳減USD1.5,其含量超過11%寸拒收或價格另議。10.3. The base price shall be decreased by USD 1.5 as per Clause 2 for each 1% Fe per DMT in case of Fe above 9%, fractions pro-rata. When Fe above 11%, buyer can reject the goods or renegotiate the price.10.4. 磷的含量超過0.10%時，其含量每超過 0.01%基礎(chǔ)價減USD2其含量超過0.15%時

17、拒收或價格另議。10.3 The base price shall be decreased by USD 2 as per Clause 2 for each 0.01% P per DMT in case of P above 0.10%, fractions pro-rata. When P above 0.15%, buyer can reject the goods or renegotiate the price.10.5. 硫的含量超過0.10%時， 其含量每超過0.01%基礎(chǔ)價減USD1.5， 其含量超過0.15%時拒收或價格另議。10.6. The base price sh

18、all be decreased by USD 1.5 as per Clause 2 for each 0.01% S per DMT in case of S above 0.10%, fractions pro-rata. When S above 0.15%, buyer can reject the goods or renegotiate the price.10.7. 二氧化硅的含量以 9.0%為基準(zhǔn)，其含量每超過1卷礎(chǔ)彳減USD1.5,超過12%寸拒收或價格另議。10.8. The base price shall be decreased by USD 1.5 as per

19、Clause 2 for each 1% SIO2 per MT in case of SIO2 above 9.0%, fractions pro-rata. When SIO2 above 12%, buyer can reject the goods or renegotiate the price.10.9. 三氧化二鋁的含量以3班基準(zhǔn)，其含量每超過1卷礎(chǔ)彳減USD1.5,超過5%寸拒收或價格另議。10.10. The base price shall be decreased by USD 1.5 as per Clause 2 for each 1% AL2O3 per MT in

20、 case of AL2O3 above 3.0%, fractions pro-rata. When SIO2 above 5 %, buyer can reject the goods or renegotiate the price.10.11. 含量以8.0%為基準(zhǔn)，其含量每超過1%基礎(chǔ)彳減USD2.7,超過12%寸拒收或價格另議。10.12. The base price shall be decreased by USD 2.7as per Clause 2 for each 1% H2O per MT in case of H2O above 8.0%, fractions pr

21、o-rata. When H2O above 12 %, buyer can reject the goods or renegotiate the price.11. 品質(zhì)檢測：11. The determination of quality11.1. 賣方在裝運時應(yīng)提供裝運港CCIC或SGS僉驗機(jī)構(gòu)出具的對所裝運貨物的檢測證明書。同時進(jìn)行封樣,共 4 份，以備復(fù)核。11.2. sellers shall supply the test reports issued by the CCIC or SGS when loading the cargo. And seller shall sea

22、l the sample of four lots when in need for future test.11.3. 四份封樣中，買賣雙方各執(zhí)一份，一份由CCIC或SGS留存?zhèn)鋸?fù)，一份由 CCIC或SGS進(jìn)行檢測。檢測費用由賣方承擔(dān)。11.4. In the four lot of sample, buyer and seller shall each keep one lot; one lot shall be kept by the CCIC or SGS and one lot shall be tested by the CCIC or SGS. The test fee shal

23、l be borne by the seller.11.5. 該CCIC或SGS勺檢測證明交2/3隨同賣方的商業(yè)發(fā)票，裝箱單等單據(jù)一同作為買方在付款時的議價單據(jù)。 同時賣方在貨物裝運后的7 個工作日內(nèi)，以書面形式將檢測證明書及商業(yè)發(fā)票的金額通知買方。11.6. The 2/3 of the CCIC or SGS test reports shall be accompanied with sellers commercial invoice,packing list as the negotiation documents. And seller must inform buyer the

24、test reports and the commercial invoice value seven working days after finishing the loading of the cargo.11.7. 方在卸貨港對運抵貨物會同CIQ進(jìn)行取樣檢測，檢測費由買方承擔(dān)。11.8. Buyer shall ask the CIQ in China to sampling and testing the goods in the discharging port and the testing fee shall be borne by the buyer.11.9. CIQ 對貨

25、物樣品的品質(zhì)成份及水份的檢測證明書將作為買方的最終付款依據(jù)。11.10. The quality and the moisture content shown on the CIQ test report will be the basis of the final payment.12. 在裝運港的所有稅費由賣方承擔(dān)。在卸貨港的所有稅費由買方承擔(dān)。12. Any taxes/dues on cargo at load port for sellers account.Any taxes/dues on cargo at discharge port for buyers account.13

26、. 法律與仲裁：14. ARBITRATION雙方簽訂合同后應(yīng)嚴(yán)格遵守執(zhí)行。如有爭議，雙方應(yīng)友好協(xié)商。如在 15 天內(nèi)不能達(dá)成共識應(yīng)依新加坡仲裁法進(jìn)行裁決，仲裁地點為新加坡，仲裁委員的裁決為最終裁決, 仲裁費用由敗訴方承擔(dān)。All disputes or differences whatsoever arising between the parties out of or relating to the construction, meaning and operation or effect of this contract or the breach thereof shall be s

27、ettled through friendly negotiations. In case no settlement can be reached within 15 days, the disputes shall be submitted for arbitration to the Arbitration in Singapore as per ICC rules of Conciliation and arbitration (latest edition) and the award made in pursuance thereof shall be binding on the

28、 parties. The venue of arbitration proceedings will be Singapore. The Decision of the Arbitration Commission shall be final and binding upon both parties neither party shall seek recourse to a law court or other authorities for revising the decision. The arbitration fee shall be borne by the losing

29、party.15. 違約：14. Breach of the contract通過傳真或電子郵件掃描件簽章訂立本合同后，雙方應(yīng)遵守此合同。合同傳真件或電子郵件掃描件效力等同于原件。違約的一方應(yīng)付合同總金額的2%的罰金。After signing the contract of this contract by Fax or E-mail, both parties shall perform this contract. The legal effect of the agreement made by fax or scanned E-mail is the same as the orig

30、inal contract. Any party who breach this contract shall pay 2% total value of this contact to the other party.15. 延遲交貨及付款PENALTY FOR DELAYED DELIVERY如賣方在合同規(guī)定的裝運日期延遲5 天并沒有任何解釋，買方有權(quán)解除合同。除非賣方得到買方的書面確認(rèn)，雙方就延遲交付時間達(dá)成一致，賣方可繼續(xù)履行合同。在未經(jīng)買方書面同意的情況下, 賣方未按時交付的貨物，將被處以未交付貨物價值0.5%(每天)的罰款，總罰款不得超過未交付貨物價值的 2%。Should the

31、 Seller fail to effect delivery on time within 5 days after the latest shipment time as stipulated in this contract without any explanation, the buyer has the right to cancel this contract. Only when the both parties make an agreement on the delay of delivery in writing form, seller can continueto p

32、erform the contract. Without the agreement from buyer in writing form, the seller may postpone delivery to the buyer on payment of penalty to the buyers. Penalty shall be charged at the rate of 0.5 %( each day) of the total undelivered cargo value of every day. The penalty shall not exceed 2% of the

33、 total value of goods involved.16. 操作程序：16. Procedure16.1. 買方確認(rèn)鎰礦石指標(biāo)和價格及合同條款。16.1 buyers confirm the specification of the Mn ore, the price and contract terms.16.2. 買賣雙方簽署合同。16.2 seller and buyer sign the contract16.3. 賣方在3個工作日內(nèi)開出鎰礦石合同總金額的2%!約金。16.3 sellers opened 2% PB (performing bond) of the cont

34、ract Value to buyer within 3 working days after signing contract.16.4. 買方收到賣方2%!約金后3個工作日內(nèi)開出合同金額的100%勺即期信用證。16.5. Buyer opens LC at sight covering the 100% of the contract value within 3 working days after buyer receives seller s 2% PB (performing bond).16.6. 賣方收到信用證后發(fā)貨。16.7. Seller delivery the carg

35、o within 20 days after receiving the LC16.8. 方按照信用證進(jìn)行首付款的支付16.9. buyers make the provisional payment according to the LC.16.10. 到買方指定港口后，中國商檢，屆時買賣雙方可以派人參與商檢。16.11. When the cargo reaches the discharging port indicted by the buyer, buyer shall apply for CIQ testing and both parties can join.16.12. CI

36、Q結(jié)果有后，買賣雙方進(jìn)行最終付款的結(jié)算。16.13. buyer and seller effect the final payment after CIQ test result come out.16.14. 貨物交易結(jié)束。16.15. finished the business of the MT cargo.17.保密條款17. Confidentiality雙方需保密，并不使信息外露給第三方，在公共領(lǐng)域方面除外。Both parties shall obey the principle of Confidentiality and not disclose to any third party except the public field.18.不可抗力條款18. Force Majeure有天意（大自然）所造成的因素包括：戰(zhàn)爭、政治封鎖、革命、暴動、起義、民變、罷工、火災(zāi)、水災(zāi)、風(fēng)暴或其他惡劣氣候等所造成的裝運不可預(yù)料的阻礙因素。若此等不可抗力的情形是可預(yù)料的，直接受影響的一方面盡早通過傳真或電報
