1、評估意見 Assessment Opinion、關(guān)于頻率：About freque ncy1合資協(xié)議要求取得柬埔寨全國范圍的6個頻率(22/24/26/28/30/32)的獨家使用權(quán)；目前柬方只提供了 18個省(市)、每省(市)6個的合法頻率，并且與合同要求 完全相同頻 道只有10個省，部分相同的6個省，完全不同的有2個省。According to the * JoinVenture Agreement* ,weieed to acquire the exclusive right to use the six freque ncies (22/24/26/28/30/32).Curre nt

8、 But if the exchange will be too difficult, Cambodian party should be responsible for remove the dispute caused by interference in the same frequencies by negotiation. 基于這種規(guī)劃的情況，為減少相鄰區(qū)的信號干擾，勢必采用降低發(fā)射功率或調(diào) 整天線覆 蓋場形的措施，它將對人口覆蓋率造成一定的影響。Based on the current scheme planning, for decreasing the signal inter

11、SCIG.3、目前的頻率批文，柬新聞部“禁止將批文出售、出租、轉(zhuǎn)讓或借給其他人投資運營J，o柬方口頭承諾將在未來12個月內(nèi)解決該問題，但網(wǎng)絡(luò)建設(shè)投資要先行，這增大了投資 的風(fēng)險性。The present frequency approval, which has been forbidden to be saled,rented, transferred or lending for others* investment and operation by Cambodian Ministry of the Information. Cambodian party has already com

12、mitted orally that in the future 12 months the problem mentioned above will be solved but the investment in the network construction need to be carried out priorly, which will add risk in in vestment.4、目前的頻率批文，只有1年時效(自2012年10月起算)。建議，頻率批文的有 效期為 50年，因為合資協(xié)議的 有效期限是50年。The effective term of the present f

13、requency approval is just 1 year (starting from October,2010). Suggestion made is that the effective term should be 50 years because the Joint Venture Agreement* bears the effective term of 50 years.5、目前的頻率批文，限制發(fā)射機功率和發(fā)射塔高度(1KW發(fā)射功率，80米發(fā)射塔)o 我們認為，不應(yīng)該限制。The present frequency approval, in which the tran

We think that those limitation should be remove.二、關(guān)于許可牌照：About the license根據(jù)合資協(xié)議,STMC將開展基于數(shù)字電視網(wǎng)絡(luò)的十大類業(yè)務(wù)，需要分別取得柬埔寨新聞部、郵電通信部的相關(guān)業(yè)務(wù)許可牌照。According to the Joint VentureAgreement*, STMC will develope and deploy ten c

16、g:1柬新聞部沒有單獨授予牌照，只在頻率批文中說“批準洪瑪娜女士繼續(xù)在金邊城 區(qū)開辦1KW發(fā)射功率、80米發(fā)射塔地面數(shù)字電視廣播（DVBT）類的數(shù)字電視臺和部份 省份的轉(zhuǎn)播業(yè)務(wù)我們的理解，頻率資源是頻率資源，業(yè)務(wù)許可牌照是業(yè)務(wù)許可牌照。同 時，除了地面數(shù)字電視外，STMC還需經(jīng)營移動電視、有線數(shù)字電視、互 動電視、網(wǎng)絡(luò)電視 與OTT廣播電視業(yè)務(wù)，這些業(yè)務(wù)都需要許可牌照（合資協(xié)議作為先決條件，須在2 個月內(nèi)取得。）The Cambodian Ministry Of the Information didnt grant the license exclusively,what has been

18、the above approval our understanding is t hat the frequency resource is only frequency resource, while the business license is business license. Meanwhile, besides the terrestrial DTV, STMC will also run business in mobile TV, wired DTVJntcrnet Protocol TV, Internet Personality TV and OTT radio TV,

19、all of which need license.（Joint Venture Agreement5 being as the prerequisite term, license need to be granted within two months.）2、目前BAYON自柬郵電通信部取得的VOIP、ISP二個牌照批文，都明確了 “一旦 牌照持有單位自牌照簽發(fā)日期起（2012年4月）12個月內(nèi)不能實施此牌照，開展相 關(guān)業(yè)務(wù) 服務(wù)，則此牌照失效，郵電通信部收回并沒收己支付的保證金”?，F(xiàn)在已是2013年3月， 我們不可能在未來一個多月的時間內(nèi)，實施牌照業(yè)務(wù)。The two approvals
