2、 下 列 條 款 與 條 件 為 準(zhǔn)( 該 條 款 與 條 件 中 使 用 的 字 詞 涵 義 如 本 合 同 A 部 分 的 規(guī) 定)：1. 授 權(quán) 方 根 據(jù) 規(guī) 定 在 索 尼 影 視 娛 樂(lè) 有 限 公 司( 下 稱“SPE”) 發(fā) 給 本 授 權(quán) 方 的 授 權(quán) 書 中 的 權(quán) 利 在 此 授 權(quán) 被 授 權(quán) 方 在 期 限 內(nèi) 用 授 權(quán) 方 提 供 的 解 碼 器( 下 稱“ 解 碼 器”) 接 收 頻 道 和 向 在 設(shè) 施 內(nèi) 的 各 已 經(jīng) 授 權(quán) 的 終 端 數(shù) 量 轉(zhuǎn) 播 頻 道。2. 除 本 合 同 特 別 授 權(quán) 外， 被 授 權(quán) 方 不 得 向 任 何 被 授 權(quán)

3、 范 圍 以 外 的 電 視 終 端 或 設(shè) 施 提 供 頻 道 或 頻 道 播 出 的 任 何 電 視 節(jié) 目 或 電 視 節(jié) 目 的 部 分 內(nèi) 容( 下 稱“ 節(jié) 目”)， 也 不 得 允 許 任 何 其 它 單 位 或 個(gè) 人 這 樣 做。 被 授 權(quán) 方 不 得 復(fù) 制 任 何 節(jié) 目 或 允 許 任 何 單 位 或 個(gè) 人 復(fù) 制 節(jié) 目， 如 果 任 何 未 經(jīng) 本 合 同 特 別 授 權(quán) 的 電 視 終 端、 設(shè) 施、 單 位 或 個(gè) 人 通 過(guò) 使 用 解 碼 器 或 者 被 授 權(quán) 方 或 其 關(guān) 聯(lián) 公 司、 代 理 人 或 雇 員 通 過(guò) 其 它 方 式 接 收 頻 道

4、 或 任 何 節(jié) 目， 為 保 護(hù) 授 權(quán) 方 及 SPE 的 利 益，被 授 權(quán) 方 將 賠 償 授 權(quán) 方。 授 權(quán) 方 有 權(quán) 隨 時(shí) 審 查 設(shè) 施 及 由 被 授 權(quán) 方 控 制 的 其 它 設(shè) 施， 以 確 保 履 行 本 合 同。3. 在 本 協(xié) 議 有 效 期 內(nèi)， 被 授 權(quán) 方 如 要 解 除 協(xié) 議， 必 須 提 前 至 少 90 天 通 知 授 權(quán) 方。4. 被 授 權(quán) 方 同 意 按 時(shí) 直 接 向 授 權(quán) 方 支 付 本 合 同 下 應(yīng) 付 的 金 額， 以 美 元 匯 入 授 權(quán) 方 的 帳 號(hào)。5. 授 權(quán) 方 有 權(quán) 中 止 其 認(rèn) 為 將 違 反 中 國(guó) 法

5、 律 的 任 何 節(jié) 目。 如 果 授 權(quán) 方 通 知 被 授 權(quán) 方 轉(zhuǎn) 播 某 個(gè) 節(jié) 目 會(huì) 違 反 中 國(guó) 法 律， 被 授 權(quán) 方 不 得 轉(zhuǎn) 播 該 節(jié) 目。6. 解 碼 器 由 當(dāng) 地 代 表 安 裝。 授 權(quán) 方 和 當(dāng) 地 代 表 沒(méi) 有 責(zé) 任 修 理 或 替 換 任 何 由 授 權(quán) 方 或 當(dāng) 地 代 表 以 外 的 任 何 人 安 裝、 修 理 或 擅 自 處 理 過(guò) 的 解 碼 器。 如 果 被 授 權(quán) 方 在 期 限 內(nèi) 無(wú) 法 接 收 頻 道 應(yīng) 通 知 當(dāng) 地 代 表。 當(dāng) 地 代 表 或 授 權(quán) 方 代 表 將 檢 查 被 授 權(quán) 方 設(shè) 施 的 解 碼 器

6、及 其 安 裝 情 況。7. 被 授 權(quán) 方 同 意， 當(dāng) 地 代 表、 授 權(quán) 方、SPE 或 SPE 的 關(guān) 聯(lián) 公 司 均 不 應(yīng) 對(duì) 由 于 解 碼 器 失 靈 或 由 于 被 授 權(quán) 方 接 收 不 到 頻 道 而 產(chǎn) 生 的 損 失 負(fù) 任 何 責(zé) 任， 或 對(duì) 被 授 權(quán) 方 的 其 它 損 失 負(fù) 責(zé) 任。 但 如 果 由 于 授 權(quán) 方 的 責(zé) 任 或 該 頻 道 對(duì) 中 華 人 民 共 和 國(guó) 的 播 出 中 止， 則 被 授 權(quán) 方 可 以 要 求 退 還 其 已 經(jīng) 預(yù) 付 的， 因 該 中 止 而 形 成 的 剩 余 期 限 的 那 部 分 收 視 費(fèi)。8. 如 果

7、被 授 權(quán) 方 未 經(jīng) 許 可 而 使 用 解 碼 器， 頻 道 或 任 何 節(jié) 目， 或 沒(méi) 有 按 合 同 全 數(shù) 支 付 應(yīng) 付 款 項(xiàng)， 或 以 其 它 方 式 違 反 其 本 合 同 下 的 義 務(wù)， 授 權(quán) 方 可 以 終 止 本 合 同， 在 此 種 情 況 及 任 何 其 它 本 合 同 終 止 的 情 況 下， 授 權(quán) 方 還 可 以 關(guān) 閉 解 碼 器 并 采 取 其 它 步 驟 阻 止 被 授 權(quán) 方 接 收 或 轉(zhuǎn) 播 頻 道。 因 違 反 本 合 同 中 規(guī) 定 的 義 務(wù)， 被 授 權(quán) 方 應(yīng) 賠 償 授 權(quán) 方 因 終 止 被 授 權(quán) 方 的 權(quán) 利 而 發(fā) 生

This contract is subject to the following terms and conditions(words and phrases used in these terms and conditions have the meanings given to them in part A of this agreement):1. Authorizing Party, on authority from Sony Pictures Entertainment,

11、Inc.(“SPE”) as set forth in a letter of authority from SPE to Authorizing Party, hereby authorizes Authorized Party to receive the Channel by means of a decoder provided by Authorizing Party (a “Decoder”) and to relay the Channel to the Authorized Number of Television Terminals in the Facility durin

12、g the Term.2. Except as authorized herein, Authorized Party will not supply the Channel or any television program or part of a television program broadcast on the Channel(a “Program”) to any television terminal or facility, Authorized Party will not record or permit any unit or person to make any re

13、cording of any Program. To protect the interests of Authorizing Party and SPE, Authorized Party will compensate Authorizing Party if any television terminal, facility, unit or person not authorized hereunder receives the Channel or any Program by way of the Decoder or otherwise through Authorized Pa

14、rty or its affiliates, agents or employees. Authorizing Party has a right to inspect the Facility and any other facilities in Authorized Partys control at any time to ensure compliance with this contract.3. Within the term of this Agreement, if Authorized Party desires to terminate this agreement, i

15、t must give Authorizing Party 90 days prior written notice.4. Authorized Party agrees to pay amounts owing hereunder into the payment Account according to the provisions hereof.5. Authorizing Party has the right to suspend any Program that Authorizing Party believes will violate Chinese law. If Auth

16、orizing Party notifies Authorized Party that the relay of a certain Program is in violation of Chinese law, Authorized Party will not relay such Program.6. The Decoder will be installed by the Local Representative. Authorizing Party and its representative will have no responsibility to repair or rep

17、lace any Decoder that has been installed, repaired, handled by anyone other than Authorizing Party or Local Representative.7. Authorized Party agrees that none of Local Representative, Authorizing Party, SPE or any affiliate of SPE will have any liability for losses caused due to failure of Authoriz

18、ed Party to receive the Channel , or for any other losses of Authorized Party , except that if any such losses are caused by Authorizing Party or if broadcast of the Channel into the Peoples Republic of China is suspended. Authorized Party may claim a refund of the portion of its Subscription Fee already paid for the portion of the Term remaining after such suspension.8.
