1.PartiestotheContract

ThisContractismadeandenteredintoandbetweenthefollowingparties:

Hereinafter,theSellerandtheBuyershallbecollectivelyreferredtoasthe"Parties".

2.SubjectMatteroftheContract

TheSelleragreestosell,andtheBuyeragreestopurchasethefollowinghouse(hereinafterreferredtoasthe"House"):

3.PurchasePrice

ThePartiesagreethatthetotalpurchasepriceoftheHouseshallbe[AmountinWords]([AmountinFigures]).

4.PaymentTerms

TheBuyershallmakethepaymentfortheHouseinaccordancewiththefollowingterms:

(2)TheBuyershallpaytheremainingbalanceofthepurchaseprice,whichis[RemainingBalanceAmount],totheSellerwithin[PaymentPeriodforRemainingBalance]afterthesigningofthisContract.

TheSellerrepresentsandwarrantsthat:

(1)TheSellerhasgoodandmarketabletotheHouse,andtheHouseisfreefromanyliens,encumbrances,orlegaldisputes.

(2)TheSellerhasthefullright,power,andauthoritytoselltheHouse.

TheBuyerrepresentsandwarrantsthat:

(1)TheBuyerhasthelegalcapacitytoenterintothisContractandpurchasetheHouse.

7.ForceMajeure

Intheeventofforcemajeure,whichmakesitimpossibleorimpracticableforeitherPartytoperformitsobligationsunderthisContract,theaffectedPartyshallbeexcusedfromitsobligationsforthedurationoftheforcemajeureevent.TheaffectedPartyshallpromptlynotifytheotherPartyoftheoccurrenceoftheforcemajeureeventandtakereasonablemeasurestominimizetheimpactoftheevent.

8.BreachofContract

IntheeventthateitherPartybreachesanytermorprovisionofthisContract,thenonbreachingPartyshallhavetherightto:

(a)TerminatethisContractprovidingwrittennoticetothebreachingParty,inwhichcasethebreachingPartyshallpromptlyrefundanypaymentsmadethenonbreachingParty,or

(b)SeekspecificperformanceofthisContract,subjecttoapplicablelaw.

ThebreachingPartyshallberesponsibleforanyandalldamages,losses,orexpensesincurredthenonbreachingPartyasaresultofthebreach.

9.DisputeResolution

AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedamicablybetweenthePartiesthroughgoodfaithnegotiations.IfthePartiesareunabletoresolvethedisputewithin[specifiedperiod],thedisputeshallbesubmittedtobindingarbitrationinaccordancewiththerulesofthe[nameofarbitrationinstitution].Thearbitrationshallbeconductedin[location].Thedecisionofthearbitrator(s)shallbefinalandbindingupontheParties.

10.GoverningLaw

ThisContractshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction],withoutregardtoitsconflictoflawprinciples.

11.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheParties.NoamendmentormodificationofthisContractshallbeeffectiveunlessmadeinwritingandsignedbothParties.

13.Assignment

NeitherPartymayassignortransferanyofitsrightsorobligationsunderthisContractwithoutthepriorwrittenconsentoftheotherParty,whichconsentshallnotbeunreasonablywithheldordelayed.

14.Severability

IfanyprovisionofthisContractisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywaybeaffectedorimpaired.

15.Execution

ThisContractshallbeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.ThePartieshaveexecutedthisContractasofthedatefirstabovewritten.

16.PossessionandOccupancy

UponthefullpaymentofthepurchasepriceandthesatisfactionofallotherconditionsprecedentasstipulatedinthisContract,theSellershallgrantpossessionoftheHousetotheBuyeronthePossessionDatespecifiedherein.TheBuyershallbeendtooccupytheHousefromthePossessionDateandshallberesponsibleforallutilities,services,andmaintenanceoftheHousefromthatdateforward.

17.TitleandClosing

TheSelleragreestoprovideamarketabletotheHouse,freeandclearofallliens,encumbrances,andclaims,attheclosingofthetransaction.Theclosingshalltakeplaceat[LocationofClosing]on[DateofClosing].Attheclosing,theSellershalldeliverthefollowingdocumentstotheBuyer:

(a)AdeedconveyingtotheHouseinthenameoftheBuyer;

(b)AllkeysandaccessdevicesfortheHouse;

(c)AsignedsettlementstatementdetailingallfinancialtransactionsbetweentheParties;

(d)AnyotherdocumentsnecessarytotransferownershipoftheHousetotheBuyer.

18.InspectionandSurvey

TheBuyershallhavetherighttoconductaprofessionalinspectionoftheHousewithin[InspectionPeriod]afterthesigningofthisContract.IftheinspectionrevealsanyissuesthattheBuyerdeemsunsatisfactory,theBuyermayeither:

(a)RequestthattheSellerremedysuchissuesattheSeller'sexpensepriortoclosing;or

(b)TerminatethisContractandreceiveafullrefundofthedeposit.

TheBuyermayalsoarrangeforasurveyofthepropertyattheirownexpenseiftheysochoose.

19.Insurance

TheBuyershallberesponsibleforobtainingandmaintainingahomeowner'sinsurancepolicythatcoverstheHouseanditscontentsfromthePossessionDate.TheSellershallberesponsibleformaintaininginsuranceontheHouseuntilthePossessionDate.

20.TaxesandAssessments

TheSellershallberesponsibleforallrealestatetaxes,assessments,andotherchargesleviedagainsttheHouseuptoandincludingtheclosingdate.Fromandaftertheclosingdate,theBuyershallberesponsibleforallsuchtaxes,assessments,andcharges.

21.WARRANTIESANDDISCLMERS

THEHOUSEISSOLD"ASIS"AND"WITHALLFAULTS,"ANDTHESELLERDISCLMSANYANDALLWARRANTIES,EXPRESSORIMPLIED,INCLUDINGBUTNOTLIMITEDTOWARRANTIESOFMERCHANTABILITY,FITNESSFORAPARTICULARPURPOSE,ANDNONINFRINGEMENT.THEBUYERACKNOWLEDGESTHATTHEYHAVEHADAFULLOPPORTUNITYTOINSPECTTHEHOUSEANDAREENTERINGINTOTHISCONTRACTWITHFULLKNOWLEDGEOFITSCONDITION.

22.Survival

TheprovisionsofthisContractthattheirnatureareintendedtosurvivetheclosingofthetransaction,includingbutnotlimitedtoindemnities,representations,warranties,andcovenants,shallremaininfullforceandeffectaftertheclosing.
