1、上海市房屋租賃合同(中英文)shanghai property lease contract特別告知important一、本合同適用于本市行政區(qū)域范圍內(nèi)的商品房預租以及按市場化原則協(xié)商確定租賃的房屋租賃,不包括按市政府規(guī)定的租金標準出租的公有居住房屋、行政調(diào)配方式出租和政府投資建造的公益性的非居住房屋以及在條例施行前按照市政府規(guī)定的租金標準出租的私有居住房屋的租賃。this contract is applicable to pre-lease of commodity houses and market-based house lease within the administrative

2、area of shanghai municipality, excluding lease of public residential properties based on the government-specified rental rates, lease of houses in the manner of administrative allocation, lease of non-residential public properties whose construction is funded by the government, and the lease of priv

3、ate residential properties leased at the government-specified rental rates before implementation of shanghai regulations on leasing of housing premises. 二、預租僅限于房地產(chǎn)開發(fā)企業(yè)投資建造,并已取得預售許可證的商品房,但房地產(chǎn)開發(fā)企業(yè)已經(jīng)預售的商品房不得預租;商品房預購人也不得將預購房商品房預租。pre-lease is only limited to the commodity houses built and invested in by

4、 real estate developers and issued with the pre-sale permit, excluding the commodity houses already pre-sold by real estate developers. the pre-buyers of commodity houses shall not pre-lease the pre-bought properties. 三、本合同條款中的【出租】或【預租】為提示性符號,表示該條款適用于出租行為或預租行為。本合同作為房屋租賃合同使用時,只能采用標有【出租】部分的內(nèi)容;而作為商品房預租

5、合同使用時,則只能采用【預租】部分的條款和補充條款中的“ 預租有關(guān)事宜”部分的條款。其他未標有【】符號的條款作為通用性條款,不論預租或出租都適用。the mark 【lease】or【pre-lease】indicated in the provisions of this contract is indicative, which means that the marked clause is applicable to lease or pre-lease activity, as the case may be. if this contract is used for lease, o

6、nly the provisions marked with 【lease】can be adopted, while only the provisions marked with【pre-lease】and the supplementary clauses concerning pre-lease matters are applicable to the pre-lease case. other provisions without the“【 】” mark are for general purpose, applicable to both lease and pre-leas

7、e. 四、本合同用于商品房預租的,在該商品房竣工,房地產(chǎn)開發(fā)企業(yè)辦理了房地產(chǎn)初始登記、取得了房地產(chǎn)權(quán)證后,預租雙方當事人應(yīng)當簽訂商品房使用交接書。該合同即轉(zhuǎn)為房屋租賃合同,合同內(nèi)的原預租條款履行完畢。if this contract is used for pre-lease of commodity houses, the parties to the pre-lease shall enter into a commodity house occupancy takeover agreement after the commodity house is completed and its

8、developer completes the real estate initial registration and obtains the certificate of title thereto. thereafter, this contract will be converted into a lease contract and all the pre-lease provisions contained herein are fulfilled. 五、本合同文本系市房地資源局和上海市工商管理局根據(jù)上海市房屋租賃條例 制定的范本(試行)。其合同條款均為提示性條款,供租賃雙方當事人

9、約定采用。本合同中的未盡事宜可由甲、乙雙方協(xié)商一致后,訂立補充條款予以明確。this contract is a sample form (for trial) developed by shanghai municipal housing, land and resource administration bureau and shanghai administration of industry and commerce in accordance with shanghai regulations on leasing of housing premises. all its provi

10、sions are informative for the parties to lease or pre-lease. anything not covered hereunder may be negotiated and agreed upon between the parties in the form of supplementary clauses. 六、本合同簽訂前出租人應(yīng)向承租人出具房地產(chǎn)權(quán)證或其他權(quán)屬證明,房地產(chǎn)開發(fā)企業(yè)向預租人出具預售許可證。并相互交驗有關(guān)身份證明。其中將房屋出租給外來流動人員的,出租人還應(yīng)出示公安部門發(fā)放的房屋租賃治安許可證。before ution o

11、f this contract, the lessor shall present to the lessee the certificate of title to the leased premises or other documents supporting his/her ownership. the real estate developer shall present the pre-sale permit to the pre-lessor. the lessor and the lessee shall examine the id certificate of each o

12、ther. where the house is leased to any non-shanghai resident in transit, the lessor shall present the security permit for house lease issued by public security authorities. 七、本合同簽訂后的15日內(nèi)當事人應(yīng)按規(guī)定辦理合同登記備案。其中,屬房屋租賃的,應(yīng)向房屋所在地的房地產(chǎn)交易中心或農(nóng)場系統(tǒng)受理處辦理,領(lǐng)取租賃合同登記備案證明;屬于商品房預租的,外銷商品房應(yīng)向市房地產(chǎn)交易中心辦理登記備案;內(nèi)銷商品房向房屋所在地的房地產(chǎn)交易中

13、心辦理登記備案。預租商品房竣工取得房地產(chǎn)權(quán)證,由雙方當事人訂立預租商品房使用交接書后,再按規(guī)定向房屋所在地的房地產(chǎn)交易中心或農(nóng)場系統(tǒng)受理處辦理登記備案,領(lǐng)取租賃合同登記備案證明。租賃合同經(jīng)登記備案后,當發(fā)生重復預租、出租、租賃期間房屋轉(zhuǎn)讓或設(shè)定抵押后被處分等事實時,可以對抗第三人。the parties to this contract shall complete contract registration procedures as required within 15 days upon contract signing thereof. in the case of lease, th

14、e parties shall register with the real estate trade center or the farm system filing office at the place of the leased premises and then obtain the certificate of lease contract registration. in the case of pre-lease of commodity houses, those for overseas sale shall be registered with the municipal

15、 real estate trade center while those for domestic sale shall be registered with the local real estate trade center at the place of the leased premises. after the pre-leased commodity house is completed and issued the certificate of title and the parties enter into the pre-leased commodity house occ

16、upancy takeover agreement, the parties shall register again with the real estate trade center or the farm system filing office at the place of the leased premises and obtain the certificate of lease contract registration. the registration of the lease contract can provide defense against any third p

17、arty in the case of repeated pre-lease or lease or assignment of house during the term of lease or disposal of the house due to mortgage during the term of lease. 八、凡當事人一方要求登記備案,而另一方不予配合的,要求登記備案的一方可持本合同、有效身份證明等有關(guān)文件辦理登記備案。if a party requests registration of this contract but the other party refuses t

18、o cooperate, the party requesting such registration may alone register the contract by presenting this contract, valid id certificate and other relevant documents. 九、房屋租賃保證金是一種履約保證的措施。房屋出租時,出租人可以與承租人在合同中約定收取房屋租賃保證金。租賃保證金的數(shù)額由租賃雙方當事人約定。租賃關(guān)系終止時,房屋租賃保證金除用以抵充合同約定由承租人承擔的費用外,剩余部分應(yīng)當歸還承租人。十、本合同文本可向市或房屋所在地區(qū)、縣

19、房地產(chǎn)交易中心或農(nóng)場系統(tǒng)受理處購取。雙方當事人使用本合同前仔細閱讀,認真了解各條款內(nèi)容。this contract form is available at shanghai municipal estate trade center or farm system filing office or local estate trade enter or farm system filing office in the district or county where the leased premises are located. the parties shall carefully rea

20、d this contract before use. 十一、本合同為示范文本,供當事人參照使用。this contract is a sample form for reference by the parties. 十二、本合同的租賃關(guān)系由經(jīng)紀人機構(gòu)代理或居間的則租賃當事人應(yīng)當要求經(jīng)紀人機構(gòu)和經(jīng)紀人在本合同的最后一頁簽字、蓋章。if the lease arrangement under this contract is brokered by an agency, the agency or the broker shall be required to sign and/or affi

21、x seal on the last page of this contract. 上海市房屋租賃合同上海市商品房預租合同shanghai property lease contractshanghai property pre-lease contract本合同雙方當事人:parties to this contract:出租方(甲方):lessor: 【出租】【lease】承租方(乙方):lessee: 根據(jù) 中華人民共和國合同法、 上海市房屋租賃條例 (以下簡稱: 條例 )的規(guī)定,甲、乙雙方在平等自愿公平和誠實信用的基礎(chǔ)上,經(jīng)協(xié)商一致,就乙方承租甲方可依法出租 (出租/預租)的房屋事宜,

22、訂立本合同。this contract is made by and between the parties on the leasing of the house owned by the lessor and legally leasable (leasable/pre-leasable) to the lessee in accordance with the contract law of the peoples republic of china and shanghai regulations on leasing of housing premises (“regulations

23、”) under the principles of equality, free will and good faith. 一、出租或預租房屋情況 particulars of leased premises1-1 甲方出租(出租/預租)給乙方的房屋座落在本市(區(qū)/縣)路(弄/新村)(號/幢)室(部位)(以下簡稱該房屋)。該房屋出租實測建筑面積為平方米,房屋用途為住宅,房屋類型為花園住宅、結(jié)構(gòu)為鋼混。該房屋的平面圖見本合同附件(一)。the house the lessor leases (lease) out to the lessee is located at road, (distr

24、ict), shanghai (the “l(fā)eased premises”). the leased premises have a lease measured gross floor area of m2, with the land approved for residential purpose, house type being garden house and having a ferroconcrete structure. the layout plan of the leased premises is attached to this contract as annex 1

25、.甲方向乙方出示:the lessor shall present the following documents to the lessee: 房地產(chǎn)權(quán)證certificate of title deed to house;證書編號:certificate no.:1-2甲方作為該房屋的(房地產(chǎn)權(quán)利人/代管人/法律規(guī)定的其他權(quán)利人)與乙方建立租賃關(guān)系。簽訂本合同前,甲方已告知乙方該房屋(已/未)設(shè)定抵押。1-3該房屋的公用或合用部位的使用范圍、條件和要求;現(xiàn)有裝修、附屬設(shè)施的內(nèi)容標準及需約定的有關(guān)事宜,由甲、乙雙方分別在本合同附件(二)、(三)中加以列明。甲、乙雙方同意該附件作為甲方向乙方交

26、付該房屋和本合同終止時乙方向甲方返還該房屋的驗收依據(jù)。the scope of use, conditions and requirements in respect to the public or common areas of the leased premises, the particulars and standards of existing decorations and auxiliary facilities and other agreements between the parties are provided in annex 2 and annex 3 hereto

27、, respectively. the parties agree that these annexes shall be considered the basis for acceptance of the leased premises as the lessor delivers the leased property to the lessee and when the lessee returns the same to the lessor upon expiration hereof. 二、租賃用途purpose 2-1 乙方向甲方承諾,租賃該房屋作為住宅使用,并遵守國家和本市有

28、關(guān)房屋使用和物業(yè)管理的規(guī)定。the lessee hereby undertakes to the lessor that the lessee shall use the leased premises exclusively for residential purpose and abide by regulations of shanghai and china governing the use of housing premises and property management. 2-2乙方保證,在租賃期內(nèi)未征得甲方書面同意以及按規(guī)定須經(jīng)有關(guān)部門審批而未核準前,不擅自改變上述約定的

29、使用用途。the lessee undertakes that, during the term of this contract, the lessee shall not change the purpose specified above without written consent of the lessor or, if applicable, approval by relevant authorities. 三、交付日期和租賃期限date of delivery and term of lease3-1 甲乙雙方約定,甲方于年月當日或之前向乙方交付該房屋。房屋租賃期自年月日起至

30、年月日止。the parties agree that the lessor shall deliver the leased premises to the lessee before . the term of lease shall be from to . 3-2 租賃期滿,甲方有權(quán)收回該房屋,乙方應(yīng)如期返還。乙方需繼續(xù)承租該房屋的,則應(yīng)于租賃期屆滿前二個月,向甲方提出續(xù)租書面要求,并且雙方重新商定租賃合同。the lessor shall have the right to take back and the lessee shall return the leased premis

31、es upon expiration of the term. if the lessee wishes to continue to lease the leased premises, a written request for extension shall be given by the lessee to the lessor two months prior to expiration hereof and then, upon consent of the lessor, this contract may be renewed on mutually acceptable te

32、rms.四、租金支付方式和期限payment mode and term of rental4-1 甲、乙雙方約定,月租金總計為(人民幣)元。(大寫:整 )。the parties agree that the monthly rental shall be rmb . 4-2 乙方應(yīng)于每月日前向甲方支付租金。逾期支付的,每逾期一日,則乙方需按日租金的千分之三支付違約金。the lessee shall pay the rental to the lessor before the first day of each month, or else shall pay the lessor a

33、penalty equal to 0.3% of the daily rental for each day of delay. 4-3 乙方支付租金的方式如下:見補充條款第一條mode of rental payment by the lessee: see article 1 of supplementary clauses.五、保證金和其他費用security deposit; other costs and expenses5-1 甲乙雙方約定,甲方交付該房屋時,乙方應(yīng)向甲方支付房屋租賃保證金,保證金為貳個月的租金,即(人民幣)元。the parties agree that the

34、lessee shall, upon delivery of the leased premises by the lessor, deposit with the lessor the rental for two months totaling rmb . 甲方收取保證金后向乙方開具收款憑證。the lessor shall issue a receipt to the lessee after receiving the security deposit. 租賃關(guān)系終止時,甲方收取的房屋租賃保證金除用以抵充合同約定由乙方承擔的費用外,剩余部分無息歸還乙方。upon expiration

35、of the lease, the security deposit received by the lessor shall be returned without interest to the lessee after deduction of the costs and expenses payable by the lessee as agreed upon by the parties. 5-2 租賃期間,使用該房屋所發(fā)生的水、電、煤、通訊設(shè)備、寬帶費用等費用由乙方承擔。其他有關(guān)費用如物業(yè)管理等均由甲方承擔。during the term of lease, all the cos

36、ts and expenses of water, electricity, gas, communication devices, broadband and in the leased premises shall be for the account of the lessee. other costs and expenses, including property management fees, shall be paid by the lessor. 5-3 (甲方/乙方)負責支付的上述費用,計算或分攤辦法、支付方式和時間:見補充條款第十一條for calculation, sh

37、aring and payment mode and time of the foregoing amounts payable by (the lessor/lessee) see article 11 of supplementary clauses. 六、房屋使用要求和維修責任use and maintenance of the leased premises6-1 租賃期間,乙方發(fā)現(xiàn)該房屋及其附屬設(shè)施有損壞或故障時,應(yīng)及時通知甲方并提供甲方以方便進行檢修;甲方應(yīng)在接到乙方通知后的三日內(nèi)進行維修。逾期不維修的,乙方可代為維修,費用由甲方承擔。if the lessee finds any

38、 damage or anomaly on the leased premises and/or auxiliary facilities thereof during the term, the lessee shall promptly notify the lessor on the necessary repair and restoration. the lessor shall repair and restore within three days upon receiving such notice from the lessee. where the lessor fails

39、 to make such repair or restoration within the specified time limit, the lessee may do the same at the reasonable cost of the lessor. 6-2 租賃期間,乙方應(yīng)合理使用并愛護該房屋及其附屬設(shè)施。因乙方使用不當或不合理使用,致使該房屋及其副屬設(shè)施損壞或發(fā)生故障的,甲方代為維修,費用由乙方承擔。甲方將提供修膳費用之收據(jù)。the lessee shall reasonably use and protect the leased premises and auxilia

40、ry facilities thereof during the term. any damage or anomaly to the leased premises and/or any auxiliary facilities thereof due to improper or unreasonable use by the lessee shall be repaired and restored by the lessor at the cost of the lessee. the lessor shall provide the receipt of payment for su

41、ch repair and restoration. 6-3租賃期間,甲方保證該房屋及其附屬設(shè)施處于正常的可使用和安全的狀態(tài)。甲方對該房屋進行檢查、養(yǎng)護,應(yīng)提前三日通知乙方。檢查養(yǎng)護時,乙方應(yīng)予以配合。甲方應(yīng)減少對乙方使用該房屋的影響。the lessor ensures that the leased premises and auxiliary facilities thereof are in a normal, serviceable and safe condition during the term. the lessor shall give a three days prior

42、 notice to the lessee in the case of any repair or maintenance thereto, for which the lessee shall provide cooperation. the lessor shall minimize the impact of such repair or maintenance on the lessee. 6-4 除本合同附件(三)外,乙方另需裝修或者增設(shè)副屬設(shè)施和設(shè)備的,應(yīng)事先征得甲方的書面同意,按規(guī)定須向有關(guān)部門批準審批的,則還應(yīng)由甲方報請有關(guān)部門批準后,方可進行。乙方增設(shè)的附屬設(shè)施和設(shè)備及其維

43、修責任由甲、乙雙方另行書面約定。subject to annex 3 hereto, any improvements or additions to the leased premises by the lessee shall be subject to prior written consent of the lessor and, if applicable, be reported by the lessor to relevant authorities for approval before they are made. the auxiliary facilities and

44、equipments added by the lessee and the responsibilities for repair thereof shall be separately negotiated and agreed upon in writing between the parties. 七、房屋返還時的狀態(tài)condition of leased premises upon return7-1 除甲方同意乙方續(xù)租外,乙方應(yīng)在本合同的租期屆滿后的當日內(nèi)應(yīng)返還該房屋,未經(jīng)甲方書面同意逾期返還房屋的,每逾期一日,乙方應(yīng)按日租金的雙倍價格向甲方支付該房屋占用使用費。unless th

45、e lessor agrees on extension of the lease, the lessee shall return the leased premises to the lessor on the date when this contract expires. if the leased premises are returned after that date without consent of the lessor, the lessee shall pay the lessor a penalty double the daily rental for each d

46、ay of delay.7-2 乙方返還該房屋應(yīng)當符合正常使用后的狀態(tài)。返還時,應(yīng)經(jīng)甲方驗收認可,并相互結(jié)清各自應(yīng)當承擔的費用。the leased premises shall be in such a condition as after normal use upon return. the leased premises shall be examined by the lessor upon return and, if accepted, the costs and expenses payable by each party shall be settled. 八、轉(zhuǎn)租、轉(zhuǎn)讓和交

47、換sublet, transfer and exchange8-1 除甲方已在本合同補充條款中同意乙方轉(zhuǎn)租外,乙方在租賃期內(nèi),需事先征得甲方的書面同,方可將該房屋部分或全部轉(zhuǎn)租給他人。但同一間居住房屋,不得分割轉(zhuǎn)租。unless the lessor agrees on subletting by the lessee in the supplementary clauses, the lessee shall not sublet or assign the leased premises in part or in whole to any third party without prio

48、r written consent of the lessor within the term. any room of the leased premises shall not be divided into sub-parts during subletting. 8-2 乙方轉(zhuǎn)租該房屋,應(yīng)按規(guī)定與接受轉(zhuǎn)租方訂立書面的轉(zhuǎn)租合同。并按規(guī)定向該房屋所在區(qū)、縣房地產(chǎn)交易中心或農(nóng)場系統(tǒng)受理處辦理登記備案。the lessee shall, when subletting the leased premises, enter into a subletting contract as requir

49、ed with the party accepting subletting and file with the district or county real estate trade center or the farm system filing office at the place of the leased premises. 8-3 在租賃期內(nèi),乙方將該房屋轉(zhuǎn)讓給他人承租或與他人承租的房屋進行交換,必須事先征得甲方書面同意。轉(zhuǎn)讓或交換后,該房屋承租權(quán)的受讓人或交換人應(yīng)于甲方簽訂租賃主體變更合同并繼續(xù)履行本合同。the lessee shall not transfer the l

50、eased premises to other lessees or exchange the leased premises with any other person during the term without prior written consent of the lessor. after such transfer or exchange, the transferee or exchanging party shall enter into a contract on change of the lessee hereto with the lessor and contin

51、ue to perform this contract. 8-4租賃合同期間,甲方若出售該房屋,甲方將保證在該房屋出售后本租賃合同的正常履行。乙方放棄對該房屋的優(yōu)先購買權(quán)。if the lessor sells the leased premises during the term of this contract, the performance of this contract shall not be affected. in the event of a sale to a 3rd party, the lessee shall waive the right of first ref

52、usal to purchase the leased premises.九、解除本合同的條件termination of the contract9-1 甲、乙雙方同意在租賃期內(nèi),有下列情況之一的,本合同終止,雙方互不承擔責任:the parties agree that this contract may be terminated during the term in any of the following circumstances and the parties shall not assume any liability onto each other:(1)該房屋占用范圍內(nèi)的土

53、地使用權(quán)依法提前收回的;the right to use the land within the occupancy of the leased premises are taken back according to law; (2)該房屋因社會公共利益被依法征用的;the leased premises are confiscated for public interests acceding to law;(3)該房屋毀損、滅或者被鑒定為危險房屋的;the leased premises are damaged, lost or d dilapidated;(4)該房屋因城市建設(shè)需要被依

54、法列入房屋拆遷許可范圍的;the leased premises are legally included into the scope of demolition to accommodate the needs of urban construction; or9-2 甲、乙雙方同意,有下列情形之一的,一方可書面通知另一方解除本合同。違反合同的一方,應(yīng)向另一方按月租金的雙倍支付違約金;給對方造成損失的,支付的違約金不足抵付一方損失的,還應(yīng)賠償造成的損失與違約金的差額部分:the parties agree that the non-breaching party may terminate

55、 this contract by a written notice in any of the following cases, and the breaching party shall pay the non-breaching party a penalty double the monthly rental. where any loss incurred to the non-breaching party is not fully covered by the penalty paid, the breaching party shall pay the difference b

56、etween the loss and the penalty. (一)甲方未按時交付該房屋,經(jīng)乙方催告后十五日內(nèi)仍未交付的;the lessor fails to deliver the leased premises within the specified time limit and still fails to do so within fifteen days upon notification by the lessee; (二)甲方交付的該房屋不符合本合同的約定,致使不能實現(xiàn)租賃目的;或甲方交付的房屋存在缺陷,致使乙方不能居住、生活的。the leased premises d

57、elivered by the lessor do not comply with this contract and render it impossible to meet the purpose of lease, or have defects that may make the leased premises uninhabitable; (三)乙方未征得甲方書面同意改變房屋用途的the lessee changes the purpose of the leased premises without written consent of the lessor and causes

58、damage to the structure thereof; (四)因乙方原因造成房屋主體結(jié)構(gòu)損壞的;the main structure of the leased premises is damaged due to causes attributable to the lessee; (五) 乙方未經(jīng)得甲方書面同意擅自轉(zhuǎn)租該房屋、轉(zhuǎn)讓該房屋承租權(quán)或與他人交換各自承租的房屋的;the lessee sublets or transfers or exchanges with others the leased premises without written approval of the lessor; or (六)乙方逾期不支付租金累計超過三十日的;the rental payable by the lessee is overdue more than thirty days.十、違約責任liabilities for breach of contract10-1 該房屋交
