Quantity and Shipment Period 數(shù)量及裝船日期2.1 Total Contract quantity 2450000 Metric Tons; Contract period lasts Thirteen Months （starting from date of the first shipment）. Shipment schedule in

After trail period finish, Contract will be continued only if Buyer has no dissent.合同簽署后的第一個(gè)月為試用期， 用來(lái)檢驗(yàn)賣方的供貨能力和供貨質(zhì)量是否符合合同中的規(guī)定并滿足買方的最終用戶（電廠）的需求。試用期結(jié)束后如買方無(wú)

Discharging Port 隹口貨港賣方應(yīng)將散裝煤炭運(yùn)至卸貨碼頭泊位，艙底交貨。中國(guó)的卸貨港口為在單船要離開裝貨港20日前，買方可以變更中國(guó)的卸貨港口并通知賣方賣方要及時(shí)通知船東。6. Quality and Weight Inspection質(zhì)量及重量檢驗(yàn)8.1 The Seller shall arrange and pay for CCIC Indonesia to ascertain the weight and issue a Certificate of Weight based on

12、 the determination of mass (weight) by survey of the Designated Vessel' s draft and utilizing vessel immersion scale at the Loading Port in accordance with the standard code of practice.賣方在裝貨港應(yīng)安排CCIC印度尼西亞支行對(duì)貨物進(jìn)行取樣和分析，并對(duì)指 定船只做總重量測(cè)量、以及利用船只在裝貨港的慣例吃水量，確定貨物的總 重量并出具煤的重量檢驗(yàn)證書，同時(shí)負(fù)責(zé)支付相關(guān)費(fèi)用。8.2 The CCIC in

14、or payment 100%.中國(guó)CCIC會(huì)對(duì)每船的貨物發(fā)出質(zhì)量及重量檢驗(yàn)證明書，檢測(cè)貨物是否符合本合同有關(guān)質(zhì)量（4.2條款）和重量的規(guī)定。在卸貨港的CCIC檢驗(yàn)重量與質(zhì)量報(bào)告作為付款100%的最終標(biāo)準(zhǔn)8.3 The inspection result at unloading port should be final invoice. Payment Terms 付款條件10.1 Both Bu

19、yer and Seller shall adopt 100% Irrevocable & Non-Transferable Letter of Credit, opening bank should be a first class international bank accepted by the Seller, negotiated bank should be a first class international bank accepted by the Buyer.買賣雙方均接受100%不可撤銷、不可轉(zhuǎn)讓信用證付款方式。信用證由賣方接受的一級(jí)國(guó)際銀行開立且在買方接受的一級(jí)

20、國(guó)際銀行議付。10.2 For the first lot of 50,000 MT coal, the Buyer should open the Letter of Credit to Seller s negotiated bank within 5 bank working days after the date of this contract effective. The Seller should prepare loading the Goods with 10 days when received the Letter of Credit from Buyer, the Go

21、ods should arrive to the Discharging Port appointed by the Buyer no later than 30 days.對(duì)于第一批5 萬(wàn)噸煤， 買方應(yīng)于合同生效后 5 天內(nèi)開出信用證給賣方的議付銀行。 賣方在收到買方信用證后的 10 內(nèi)安排貨物裝運(yùn)并在30 天內(nèi)將貨物運(yùn)到買方指定卸貨港。10.3 For the each lot of the rest 2,40，0 000 MT coal, the Seller should prepare loadingthe Goods within 10 days when received the

22、 Letter of Credit from Buyer, the Goods should delivery to the Buyer no later than 30 days.之后 240 萬(wàn)噸貨物，買方應(yīng)于每批次受載期開始前10 天開出信用證給賣方的議付銀行。 賣方在收到買方信用證后的 10 內(nèi)安排貨物裝運(yùn)并在30 天內(nèi)將貨物交付給買方。10.4 Letter of Credit should covered monthly supply value, shall take effective 40 days after the Goods been loaded.信用證金額為月度合同

23、貨物的全部金額，并在此船貨物裝船后的 40 天內(nèi)有效。10.5 Within 3 working days from the day when received the L/C Application Letter 100% cargo value for the first shipment in favor of the Buyer via the negotiated Bank Channel as the Guarantee of shipment. If the seller fails to carry out the shipment as per the contract or

24、 the coal quality is within the rejection range stipulated in this contract as per the quality report issued by the Independent Laboratory at the Discharge Port appointed by the Buyer , the performance bond of 2% of the contract value will be forfeited to the buyer.在收到買方信用證開證申請(qǐng)的傳真件或電子件之日3 個(gè)工作天內(nèi),賣方通過

29、具的品質(zhì)證和數(shù)量證，各三份正本，三份副本。10.6.4 Certificate of Origin (SERIAL E on which the HS number of the coal isindicated) in 1 original and 2 copies issued by competent Indonesian Authorities.印度尼西亞官方機(jī)構(gòu)出具的原產(chǎn)地證書 (SERIAL E 表，上注明出口煤炭的 HS 稅號(hào) ) 正本一份、副本兩份。10.6.5 Shipping Advice to the Buyer within 3 days after the date

30、of B/L在提單日后的3天內(nèi)給買方發(fā)出的裝船通知單。10.6.6 1 original and 2 copies of Insurance Policy naming the Buyer as Beneficiary, covering 110% of the shipment Goods value, including All Risks, War Risks and Strike Risks.保險(xiǎn)單正本一份、副本二份，以買方為受益人，保險(xiǎn)金額為發(fā)貨金額110%，投保一切險(xiǎn)、戰(zhàn)爭(zhēng)險(xiǎn)和罷工險(xiǎn)。10.6.7 The Certificate of Coal Quality (1 origina

31、l Copy ) at Discharging Port issued by CIQ or SGS卸貨港CIQ或SGS出具的質(zhì)量檢驗(yàn)報(bào)告(一份原件)。10.6.8 The Certificate of Weight (1 original copy) issued by CIQ at DischargingPort. 卸貨港 CIQ 出具的重量檢驗(yàn)報(bào)告(一份原件)。10.7 All bank charges from issuing bank are for the account of the Buyer and all bank charges outside the issuing ba

32、nk are for the account of the Seller.開證行的費(fèi)用由買方承擔(dān)，開證行之外的費(fèi)用由賣方承擔(dān)。11. Terms of Delivery 交貨條款11.1 The Seller shall load the Goods to the Mother Vessel at Muara Taboneo Safe open sea, Indonesia, and deliver to , China.賣方在印度尼西亞的 Muara Taboneo 的錨地進(jìn)行裝船， 并運(yùn)至中國(guó) 港完成交貨。在貨物起運(yùn)7 天以前， 賣方通過電郵或傳真通知買方運(yùn)輸船到達(dá)停泊地的日期。貨船于離開

33、裝運(yùn)港后的 48 小時(shí)內(nèi)，賣方或其船代須以傳真形式通知買方貨船啟航日期、指定貨船名稱、船公司、噸位、船旗、海運(yùn)提單號(hào)、合約號(hào)、凈裝運(yùn)數(shù)量、貨物名稱及預(yù)計(jì)到達(dá)卸貨港時(shí)間（ ETA ）。賣方或其船代須于貨船到達(dá)目的港前分3 天、2 天、 1 天以傳真形式通知買方貨船位置和預(yù)計(jì)貨船到港日期（ETA ）。賣方將在裝船提單簽出后4 天內(nèi)，用傳真將復(fù)印件發(fā)給買方。12. Discharging Terms 卸貨條款賣方須于提單發(fā)出日期起3 天內(nèi)向買方傳真“租船合同”?！白獯贤眱?nèi)的條款應(yīng)與本合同內(nèi)條款配合。 若兩者出現(xiàn)沖突， 則以本合同條款為準(zhǔn)。12.1 Discharging time shall c

34、ommence 12 hours after Notice of Readiness is tendered or when discharging commences, whichever is earlier. If after berthing the vessel is found not to be in free pratique and in all respects not ready to discharge or free pratique is not granted on arrival at the berth, laytime shall be deemed not

35、 to have commenced until when the vessel is in fact in free pratique and in all respects ready to discharge.卸船時(shí)間應(yīng)在備妥通知書遞交后 12 小時(shí)或卸貨開始， 按較早者開始起算。船靠泊后，如發(fā)現(xiàn)船舶沒有通過檢驗(yàn)檢疫和沒有做好卸船準(zhǔn)備，則不能開始計(jì)算卸船時(shí)間。12.2 Time lost due to the causes stipulated in Article 17 herei廿于本合同 17 條中不可抗力原因造成的時(shí)間損失不計(jì)為卸船時(shí)間12.3 If the vessel ask

36、s to stop discharging, include from anchorage to berth or the time when inspection processing, will not treat as discharging time, even if demurrage.由于船只要求停止卸貨， 包括從錨地移動(dòng)到泊位的時(shí)間或在泊位進(jìn)行檢驗(yàn)檢疫的時(shí)間導(dǎo)致?lián)p失的時(shí)間都不計(jì)為卸貨時(shí)間，即使已滯期。12.4 Discharging time stops calculation when the goods stop stowed and trimmed. 卸貨完成并平艙后，卸貨

37、時(shí)間停止計(jì)算。12.5 The time used for draught survey is not included in the discharging time even if demurrage occurs.水尺檢驗(yàn)的時(shí)間不計(jì)為卸貨時(shí)間，即使已滯期。12.6 The er or Vessel Owner could assign an agent at the Discharging Port and stay in close contact with its agent.賣方或船東可以在卸貨港委派船代，并應(yīng)與船代密切聯(lián)系。12.7 The discharge rate shou

38、ld reach 10000 tons/day on fine days.卸率為10000 噸/晴天。13. Demurrage and Dispatch Cost 滯期費(fèi)和速遣費(fèi)13.1 If the Buyer could not accommodate the requirement stipulated in item 12.8, the Buyer should pay the Seller the demurrage cost according to the actual demurrage time. If the Buyer completed the discharge w

39、ithin the agreed period, the Seller should pay the Buyer the dispatch cost.如果買方不能按照條款12.8來(lái)滿足卸貨要求，買方應(yīng)按實(shí)際滯期時(shí)間向?qū)嵎街Ц稖谫M(fèi)。如果買方在約定卸貨時(shí)間內(nèi)完成卸貨，賣方應(yīng)按節(jié)約的時(shí)間向買方支付速遣費(fèi)用。13.2 Rates of demurrage per day or pro-rate for all time lost and dispatch money per day or pro-rate for lay time saved at the unloading port shall

40、be as per Charter Party, which is US$ 12,000 per day or pro rate, for all time lost. Dispatch willbe half of Demurrage rate per day or pro rate, for lay time saved.隹口貨港滯期費(fèi)用依據(jù)租船合同為美金12,000元/大。不足一天按比例計(jì)算。速遣費(fèi)用為其一半。13.3 Demurrage and dispatch must be paid within 7 days of receipt of Buyer s invoice of to

41、tal demurrage or Seller' s invoice for total dispatch. Where there isa dispute involving demurrage or dispatch, parties shall pay the undisputed portion of the demurrage or dispatch cost within the time specified above.滯期費(fèi)和速遣費(fèi)必須在賣方收到買方速遣費(fèi)發(fā)票或者買方收到賣方滯期費(fèi)發(fā)票的7天內(nèi)支付。如雙方滯期費(fèi)和速遣費(fèi)有任何爭(zhēng)議，雙方在以上規(guī)定日期內(nèi)支付無(wú)爭(zhēng)議部分的滯期

42、費(fèi)和速遣費(fèi)。13.4 If because coal quality was not up to the contract terms and includes not limited to 4.2 containing gangue, clay, stone etc discharge difficulties caused by sticking high water-bearing caused by coal, coal spontaneouscombustion etc discharge difficult, coal quality cause discharging rate

43、cannot meet normal discharge rate, the buyer does not undertake any demurrage. Because of poor quality and caused by coal spontaneouscombustion coal barge damaged and unloading wharf is impaired, losses shall be borne by the seller.如果因?yàn)槊禾科焚|(zhì)達(dá)不到合同4.2條款且包括不限于含有煤什石、泥土、石頭等造成卸貨困難、含水高、煤粘造成卸貨困難、煤炭自燃等煤炭品質(zhì)原因造

44、成卸率達(dá)不到正常卸率時(shí)，買方不承擔(dān)任何滯期費(fèi)。由于煤炭品質(zhì)低劣及自燃造成煤炭運(yùn)輸船受損及卸貨碼頭受損，損失由賣方承擔(dān)14. Price Adjustment 價(jià)格調(diào)整According to international business practices, Buyer and Seller agree to adjust the unit price on mutual party s agreement every three month.為了保證煤炭貿(mào)易的順利進(jìn)行，根據(jù)國(guó)際商業(yè)慣例，買賣雙方同意每 3 個(gè)月 調(diào)整一次價(jià)格。15. Insurance 保險(xiǎn)16. Assign of Pro

45、perty 貨物認(rèn)定Title to and risk in the Goods shall pass from the Seller to the Buyer in accordancewith the CIF provisions of INCOTERMS 2000 (as amended from time to time).依照 INCONTERMS 2000 中條款的規(guī)定， 貨物的所有權(quán)及風(fēng)險(xiǎn)將在交貨完成時(shí)進(jìn)行轉(zhuǎn)移。17. Force Majeure 不可抗力不可抗力是指發(fā)生雙方事先無(wú)法預(yù)見、無(wú)法避免并無(wú)法克服的事件，包括但不限于天災(zāi)、戰(zhàn)爭(zhēng)、暴動(dòng)、騷亂、征用、火災(zāi)、爆炸、破壞、暴風(fēng)雨

46、、洪水、地震、霧、沉降、不利的氣候條件、瘟疫、流行病, 政府和議會(huì)限制或法規(guī),罷工以及所有其他突發(fā)事件和任何超出了合理控制的情況。合同雙方中的任何一方，由于不可抗力事件而影響合同義務(wù)的執(zhí)行時(shí)，則延遲履行合同義務(wù)的期限相當(dāng)于不可抗力事件影響的時(shí)間，但是不能因?yàn)椴豢煽沽Φ难舆t而調(diào)整合同價(jià)格及性能指標(biāo)。受到不可抗力影響的一方應(yīng)在不可抗力事故發(fā)生后， 盡快將所發(fā)生的不可抗力事件的情況以傳真或電報(bào)通知另一方， 并在 14天內(nèi)將有關(guān)當(dāng)局出具的證明文件提交給另一方審閱確認(rèn)。受影響的一方同時(shí)應(yīng)盡量設(shè)法縮小這種影響和由此而引起的延誤。一旦不可抗力的影響消除后，應(yīng)立即通知對(duì)方。18. Mutual Collabo

47、ration 雙方共識(shí)Seller and Buyer recognize that circumstances may arise which could not have been foreseen at the time this Contract was entered into and agree that they will use their best efforts solve any problems due to such unforeseeable circumstances in a spirit of mutual understanding and collabor

Dispute and Arbitration 爭(zhēng)端的解決和仲裁This Contract shall be governed and construed in accordance with the laws of HONG KONG. Any dispute that may arise out of or in relation to this Contract which cannot be settled by mutual under

49、standing between the Seller and the Buyer shall be brought for final settlement under the rules of Conciliation and Arbitration of the HONGKONG Court Arbitration Commission by one or more arbitrators appointed in accordance with the said rules. The arbitration shall be in English and the decision sh
