22、 means the date of the Certificate of Acceptance set out in Clause 17.“驗收日期”指17款規(guī)定的驗收證書簽發(fā)日?！癙lant” means the renovation project of C7 system 200MW plant in 10# warehouse of Inner Mongolia Zhonghuan Solar Material Co., Ltd.“廠房”指在中國內(nèi)蒙古呼和浩特中環(huán)光伏廠區(qū)內(nèi)10#倉庫內(nèi)進行的C7系統(tǒng)200MW廠房改造項目?！癙roject” means the Owner is de

23、sirous that certain works be executed by Contractor viz. the design, supply, delivery, installation, testing, commissioning and start up of the complete facility systems.“工程”指業(yè)主欲讓承包商承擔指定的工程，即對整個廠房設備系統(tǒng)的設計、供應、交貨、安裝、監(jiān)督、檢測、調(diào)試和啟動?！癙roject Manager” means the person appointed by the Owner to act as the Pro

24、ject Manager for the purposes of the Contract.“項目經(jīng)理”指由業(yè)主任命，為合同目的而承擔項目經(jīng)理職責的人。“Facility Systems” means the power equipment systems and relative equipments of Waste water treatment and corrosion workshop, supplied and installed for the Owner. “設備系統(tǒng)”指為業(yè)主建筑、供貨并安裝的廢水站及腐蝕車間的動力設備系統(tǒng)及相關(guān)設備?！癋inal Design” means

25、 the design documents in respect of each of the Facility Systems certified as such by the Project Manager.“最終設計”指經(jīng)項目經(jīng)理鑒定的各設備系統(tǒng)的設計文件?！癈ontractor” means and this expression shall include its successors-in-title and permitted assigns.“承包商”指 ，包括其法定繼承人及經(jīng)認可的受讓人。“Milestones” means the completion dates in r

26、espect of critical Contract Works indicated in Annex 2.“里程碑”指附件2中列明的要緊合同工作的完成日期?！癈oncept Design” means the design documents in respect of each or the Facility Systems certified as such by the Project Manager. “概念設計”指由項目經(jīng)理鑒定的各設備系統(tǒng)的設計文件。“RMB” means Renminbi Yuan.“RMB”指人民幣元。“Schedule of Rates and Price

27、s” means the schedule of prices as described in Annex 10.“費率表”指附件10列明的價格費率?！癝ite” means the actual place or places on which the Buildings are to be erected or on which the Contract Works are to be done by Contractor.“現(xiàn)場”指將在其上廠房的實際場因此及承包商做合同工作的場所。“Specifications” means the specifications set out in t

28、he Final Design.“技術(shù)規(guī)范”指最終設計時期確定的技術(shù)規(guī)范?！癝ub-Contractor” mean any sub-Contractors engaged by Contractor to perform any part of the Contract Works. “分包商”指承包商雇傭的承擔部分合同工作的分包商?！癈onsultant” mean any consultants engaged by Contractor to perform any part of the Contract Works.“咨詢顧問”指承包商雇傭的承擔部分合同工作的咨詢顧問?！癝uppl

29、ier” means any suppliers not being a Sub-Contractor or Consultant supplying to Contractor any goods or services to be incorporated in the Works. “供應商”指為承包商提供與本工程有關(guān)的物資或服務的供應商，但并非分包商或咨詢顧問?！癝ubstantial Completion Date” means the date that Contractor has successfully carried out and completed in accorda

30、nce with the requirements of the Contract which shall be the date acknowledged by the Project Manager“實際竣工日”指承包商已按合同要求成功地履行完成工程并通過項目經(jīng)理認可的日期。 “Substantial Completion Certificate” means a certificate issued pursuant to Clause 17.“實際完工證書”指17款規(guī)定的證書。1.2Words implying the singular also include the plural

The word “days” denotes working days unless expressly specified otherwise. “Working days” refers to the five (5) calendar days in a week excluding Saturdays, Sundays and Public Holidays.依照上下文，表示單數(shù)的詞語也能夠表示復數(shù)，反之亦然。除非另有講明，“天”指工作日，“工作日”指一周的5個日歷日，除星期六、星期天和公共假日以外

32、。1.3The headings, marginal notes and notes for guidance in this Contract shall not be deemed to be part thereof or taken into consideration in the interpretation or construction thereof or of the Contract.本合同中作為引導的標題、邊注和注釋不構(gòu)成合同的一部分，在對合同進行解釋時不予考慮。1.4All references herein to clauses are references to

37、統(tǒng)稱為“合同”。Appointment of Contractor 對Contractor的指定3.1The Owner hereby agrees to the appointment of Contractor to undertake the Contract Works with effect from the date hereof and Contractor hereby accepts the appointment on the terms and conditions of the Contract.業(yè)主同意指定由承包商承擔合同規(guī)定的工作，自合同簽訂生效之日起，承包商同意按

38、照合同條款同意任命。 Contractors Obligations 承包商的義務Contractor hereby agrees with the Owner to carry out, manage, and bring to completion for the Owner the Contract Works, hand over the Plant to the Owner and maintain warranty responsibility over the Facility Systems during the Warranty Period as stipulated in

39、 Clause 8, in accordance with the terms and conditions of the Contract and in a proper and timely manner.承包商同意按照合同條款以合適、及時的方式，承擔、治理并完成合同規(guī)定的工作，向業(yè)主移交廠房，并按照第8款質(zhì)保期的規(guī)定承擔質(zhì)保責任。Without limiting the generality of Clause 4.1, Contractors scope of Contract Works shall include the following:在不限制4.1款一般性原則的情況下，承包

40、商的合同工作范圍包括以下：Preparing and submitting to the Owner and governmental authorities for approval of designs, drawings and specifications where applicable.按規(guī)定向業(yè)主和有關(guān)政府部門預備和提交供審批用的設計文件、圖紙和技術(shù)條件書。Making amendments to designs and drawings to incorporate changes during the construction subject to Clause 6 and

43、府和業(yè)要緊求)。To deliver materials, install, manage and supervise all Sub-Contractors and Suppliers in respect to the construction of the facility plant for the supply, installation and commissioning of the systems (spare parts are not part of the Contract unless expressively stated in Annex 1).為廠房各系統(tǒng)的供貨、

The Owner can recommend supplier to but Contractor make the final decision. Equipment and materials purchased in the name of the owner, with materials, equipment suppliers t

59、貸款基準利率的2倍計算。Payments by the Owner to Contractor in respect of the Contract Price shall be made in RMB to an account nominated by Contractor in Huhhot, Peoples Republic of China. Once cash payment amount received from owner is more than 50% of total contract amount, acceptance draft of less than 20%

60、of total contract amount is acceptable. The maximum period of acceptance shall not be longer than 3 months.
