PagePAGE4ofNUMPAGE\*Arabic5INTERNATIONALCHAMBEROFCOMMERCE(I.C.C.)NON-CIRCUMVENTION/NON-DISCLOSUREAGREEMENT保密與不跨越合約SUBJECT:Mazut100-75，QuantityFiftythousandtonspermonthx12主題:俄羅斯產(chǎn)重質(zhì)燃料油（Mazut100-75）,數(shù)量5萬(wàn)公噸/每月x12Weagreetothisnon-circumventionandnon-disclosureagreement.(BasedonICCpublicationlatestParisEdition)我們同意遵守此保密與不跨越合約，此合約根據(jù)ICC出版最新巴黎版本作成。Weagreethatallinformation,includingcontacts,names,programs,introductiontoindividuals,companies,programs,andallotherindividualsorentitiesandallcontracts,procedures,forms,lettersandailothercommunicationsbetweenusbelongtothepersonorcompanyprovidingit,andcannotbedisclosedtootherswithoutpriorconsentoftheprovider.Thisagreementbindsanypersonorentitywhicheitherpartyisamemberof,principaloragentfor,associatedwith,employeeof,assignee,consultant,heir,successor,client,contractor,supplier,orwhichcouldbenefitfinanciallyfrompresentand,future,businessand/orcontactsorinformationofeitherparty.我們同意彼此從對(duì)方獲得的信息：包含接洽之公司或個(gè)人的姓名、個(gè)案、及其說(shuō)明數(shù)據(jù)或相關(guān)之表格、信件、合約、程序等表均屬于提供方所有，未經(jīng)過(guò)對(duì)方同意不得泄漏或告訴其它人。此合約之效力及于雙方當(dāng)事人及所屬之成員、合伙人、合作伙伴、受雇人、委托人、受托人、承包商、供貨商或能從簽約雙方在目前或爾后接洽商業(yè)活動(dòng)中獲得金錢(qián)之利益者。Weagreetocontactandinformtheotherpartywithallnecessaryinformation,data,andintroductionpriortomeetingwithorcontactinganythirdpartyconnectedwithanytransactioncoveredinanywaywithfinancialdealingsbetweenthepartiesbysendingacopyofeachcontactand/orcommunicationwiththeprovider.我們同意在雙方之任一方與彼此介紹之第三者會(huì)面或接洽之前，得將必要之信息告知簽署合約之對(duì)方：對(duì)涉及價(jià)格、數(shù)量或合約相關(guān)之交涉，須將往來(lái)之資料復(fù)印一份發(fā)送予對(duì)方，讓對(duì)方了解交易進(jìn)行之狀況。Facsimile,andE-maildocumentsshallhavethesameforceandeffectasoriginals.傳真或電子郵件（E-mail）的檔與原稿具有同等之效力。Thisagreementisanevergreendocument.Itappliestoaguaranteeforallfuturetransactionperiods,beyondthedateaffixedbelow.Itappliestoalltransactionsnowandinthefuturebetweentheparties,includingsubsequentrenewals,extensions,re-negotiations,additions,rollovers,oranyparallelthirdpartyagreementofthesame,includingtransactionswithparent/subsidiaryand/orotherpersons,companiesorentities.Itisvalidandenforceableregardlessofthesuccessoffailureoftheinitialtransactionorthesuccessorfailureofanyproject.本合約生效日以后進(jìn)行之所有交易，保障雙方之權(quán)益，范圍含蓋各項(xiàng)交易其后之續(xù)約、展延、重新協(xié)議、增加項(xiàng)目或與平行第三者簽訂的類(lèi)似合約、對(duì)象包含與簽約對(duì)方同一層面之其它人士、公司、機(jī)構(gòu)及簽約對(duì)方往上追朔（Parent）或往下延伸（Subsidiary）的關(guān)系之交易，且不論首次成功與否，也不論任何個(gè)案其做成與否，均屬有效且具約束力。Non-Disclosure:Signatoriesagreetokeepconfidentialaddresses,description,employeesnames,faxnumbers,names,phonesnumbers,andotherrelatedpartieseitherdirectlyorindirectlyconcededtoallsuchidentifyinginformationshallnotbedisclosed,toanyonebyanothersignatorywithouttheexpresswrittenpermissionoftheintroducingsignatory.非泄漏機(jī)密：簽署者之地址、描述、受雇者姓名、傳真號(hào)碼、電話號(hào)碼及具有相關(guān)之人，無(wú)論直接或間接所涉及之人名、住址、描述、所認(rèn)定信息，非經(jīng)書(shū)面許可之下，皆不得由另一簽署者泄漏給任何人。Non-Circumvention:Eachsignatoryagreenottomakecontactdirectoryorindirectlywithorbeinvolvedinanytransactionwithanyconfidentialpartiestothisagreementwithouttheexpresswrittenpermissionfromtheintroducingsignatory.非欺詐設(shè)陷：簽署者任何一方皆同意若非經(jīng)過(guò)書(shū)面許可，皆不得對(duì)本協(xié)議書(shū)也涉及人員和有受保密之一方，無(wú)論直接或是進(jìn)行聯(lián)絡(luò)接觸。Relationshipofsignatories:Exceptasotherwiseagreedtoinwriting,nosignatoryistheproxyorpartneroftheothersignatoryorsignatories.簽署者之關(guān)系：除非經(jīng)過(guò)書(shū)面同意之下，任何一位簽署者皆不得為他簽署者之代理人或是合伙人。Weagreetoimmediatelyterminatecontactwithanythirdpartycontactattherequestofthatcontact.Failuretocomplyshallconstitutecircumventionandtheoffendershallbeliableasabove.我們同意與任何第三者之接觸中，一旦該接觸被要求立即終止時(shí)，即須立即停止，若不遵守即構(gòu)成越線行為，違反者須為此行為負(fù)責(zé)。Thepartiesagreethattheywillinwaycircumventtheotherinanyfinancialtransactionnoworinthefutureusingsuchinformation,orapproachinganysuchcontactdirectlyorthough.Anyotherpersonorentityuponbreachofanytermofthisagreement,theinjuredpartymayrecoverondemanddamaged,liquidateddamagesequaltowhattheirbenefitwouldhavebeen,orinjunctiverelief,pluslegalcostsandfees.Shouldcircumventionoccurorbeattempted,allpendingconnection,actionsandcontactsarisingoutoftheinformationshallbeimmediatelycancelled.Inadditiontolegalremedies,fees,oranticipatedcompensation,committedoragreedtoshallbedueandpayabletotheproviderimmediatelyupondemand.各方同意于使用對(duì)方提供之信息而與第三者完成交易時(shí)，不論是現(xiàn)在的或未來(lái)的個(gè)案，也不論是直接或是經(jīng)由他個(gè)人或公司行號(hào)進(jìn)行接洽時(shí)，絕不跨越合約中之對(duì)方私自進(jìn)行，若違反本合約內(nèi)之任何條款，受損方可請(qǐng)求賠償其損失，償付之損失相當(dāng)于其預(yù)計(jì)之應(yīng)得利益，若為強(qiáng)制救濟(jì)時(shí)，得加上訴訟與律師之費(fèi)用－一旦發(fā)生越線或試圖發(fā)生時(shí)，所有因此信息而連帶產(chǎn)生之各項(xiàng)進(jìn)行中的聯(lián)系，活動(dòng)或接洽事項(xiàng)均立即取消；承諾保證或同意支付之賠償金與法律之費(fèi)用，在對(duì)方提出時(shí)，違反之一方須立即支付之。Governinglaw:ClaimsanddisputesinconnectionwiththisagreementshallbeinaccordwiththeViennaConventions,unlessotherwisenoted,inwriting,TaiwanROCorHongKongwiththerespecttothevenueofanybreach.NATIONALITYPHYSICALADRESSEMAILADDRESSTELEPHONENUMBERSCELLPHONENUMBERSWEBSITE/FAXNUMBERDATESIGNATUREANDSEALPARTYONE(3):COMPANYNAMESIGNATORY’SFULLNAMESPOSITON/TITLEINCOMPANYNATIONALITYPHYSICALA
