foreachofSeller’s10workingdaysafter若需乙方前往伊朗項(xiàng)目現(xiàn)場(chǎng)施工，甲方負(fù)責(zé)乙方施工人員的簽證、往返車旅費(fèi)、食宿，并補(bǔ)助乙方每人30美金/天。以上費(fèi)用于現(xiàn)場(chǎng)施工完成后，乙方提交有關(guān)單據(jù)，甲方收到單據(jù)核實(shí)無誤10個(gè)工作日內(nèi)結(jié)算。8.DelayandPenalty違約責(zé)任：Ifthereisanydefectormistakeofconstructionquality,Sellershallrepairandreplaceimmediatelyatitsowncost.IfSellerfailstosolvedefectormistakecouldnotbe,BuyershallhaverighttoreturntheGoodsandclaimtoSellerforlosstherecaused.如果乙方施工質(zhì)量出現(xiàn)問題，乙方需無償即時(shí)修復(fù)或改換，如再不能解決，甲方可向乙方退貨、索賠。(2)IncaseSeller’sconstructioncannotaccomplishasperBuyer’sprojectschedule,andfailedtokeepupwiththeschedule,thustoseriouslyinfluencethewholeschedule,orSeller’spoorqualityofconstructionresultedBuyer’swholeprojectqualitycouldnotsatisfyOwner’squalitystandard,SellershallcompensateallBuyer’slosstherecausedinadditiontothenormaldelaypenalty..如因乙方的原因使該項(xiàng)目的施工不能按照甲方的進(jìn)度計(jì)劃達(dá)成，并經(jīng)甲方糾偏無效且實(shí)際影響了甲方的整個(gè)工程進(jìn)度，或因該項(xiàng)目的查收質(zhì)量致使甲方整個(gè)工程的質(zhì)量達(dá)不到業(yè)主質(zhì)量標(biāo)準(zhǔn)，除扣除正常的工期緩期罰款外，經(jīng)業(yè)主認(rèn)定后乙方應(yīng)補(bǔ)償由此給甲方造成的損失。9.Contractpriceandadjustments合同價(jià)款及調(diào)整：(1)Contractprice:ThecontractpriceisFFP(FirmFixedPrice),includetenderdocuments,technicalrequirement,drawings,siteinspection,riskpremium,etc.Thecontractpricewillnotbeadjustedatsettlementandduringthewholeproject,ifBuyerwouldnotchangethedesignandsignsitevisa.Contractpricewillnotbeadjustedandneitherpartycouldchangeitduringcontractexecution.exceptthefactorlistedinSubarticle2.合同價(jià)款：合同價(jià)款采用固定合同總價(jià)的方式確定，招標(biāo)文件、技術(shù)要求、圖紙、現(xiàn)場(chǎng)考察、風(fēng)險(xiǎn)費(fèi)等等全部包干，甲方不提出設(shè)計(jì)更改，現(xiàn)場(chǎng)簽證，結(jié)算時(shí)合同價(jià)款不予調(diào)整。合同履行過程中其余任何一方不得私自更Page3of5改，除下列第2條中規(guī)定的調(diào)整因素需在結(jié)算時(shí)進(jìn)行調(diào)整外，合同價(jià)款均不予調(diào)整。(2)Theadjustmentfactorofcontractprice:合同價(jià)款的調(diào)整因素：a.ChangeOrderissuedbyBuyer;甲方發(fā)出的更改或指令。b.ChangeofMaterial:ifBuyerneedtochangethepourablematerialthatBuyerhasstipulatedinthetenderdocumentsduetotechnicalissue,BuyerandSellerwoulddiscussanddeterminetotheadjustmentoftheContractPriceafterverifyingthepriceofthematerialinthemarket.材料更改：關(guān)于甲方在招標(biāo)文件中認(rèn)定的澆注材料，如因甲方技術(shù)原因需要更改，經(jīng)市場(chǎng)核實(shí)材料價(jià)錢后，甲方與乙方磋商對(duì)合同總價(jià)進(jìn)行更改和確認(rèn)。10.MaterialInspection材料查驗(yàn)：(1)InspectionofMaterialandFacility:AllthematerialandfacilityforthisprojectshallbesampledandtestedbySellerundersupervisionandwitnessofBuyerbeforeputtingintouse,thesamplingandtestingshallbeinstrictcompliancetolawsandregulations,relatedstandardandcodes,andcontract’srequirement.材料和設(shè)施的查驗(yàn)：本工程一切材料設(shè)施在用于本工程以前，均應(yīng)按照法律、法例和有關(guān)標(biāo)準(zhǔn)、規(guī)范的規(guī)定以及本合同的約定，在甲方的監(jiān)察、見證下，由乙方負(fù)責(zé)取樣并做試塊。(2)ProgramofTest:Theprogramoftest,includingtesttime,place,methodofsampling,andtestfrequencytestitemsshallbepreparedbySelleraccordingtolawsandregulations,relatedstandardandcodes,andcontract’srequirement,submittedtoBuyerforconfirmations,andperformedafteracceptedbyBuyer.查驗(yàn)內(nèi)容：材料設(shè)施的查驗(yàn)時(shí)間和地址、取樣辦法、查驗(yàn)頻率和內(nèi)容由乙方根據(jù)法律、法例和有關(guān)標(biāo)準(zhǔn)、規(guī)范的規(guī)定以及本合同的約定提出，報(bào)甲方確認(rèn)后實(shí)行。(3)NormalCheck:Buyerwillentertheconstructionsitetosupervisetheconstructionqualityatanyreasonabletime,andSellershouldprovidealltheconvenienceassistancewhenBuyerenters.隨時(shí)檢查：甲方代表在一吻合理的時(shí)間內(nèi)均應(yīng)能進(jìn)入施工現(xiàn)場(chǎng)對(duì)工程質(zhì)量進(jìn)行監(jiān)察，乙方應(yīng)為他們進(jìn)入上述場(chǎng)所提供一切便利和輔助。11.SettlementofDisputes:爭(zhēng)議解決AlldisputesinconnectionwiththisContractortheexecutionthereofshallbesettledbyfriendlynegotiation.Ifnosettlementcanbereached,eitherPartymaybereferredtoinstitutelegalproceedingstothecourtlocatedattheprosecutor’saddress,orattheplacewherethePurchaseContractwasexecuted.解決合同糾葛方式如出現(xiàn)質(zhì)量問題和工期延后問題，按合同履行或雙方磋商解決。磋商不通，可在甲方所在地經(jīng)過法律手段解決。12.others其他約定事項(xiàng)：(1)ThisPurchaseContractisinbothChineseandEnglish.本合同為中英文雙語合同，如果雙語之間出現(xiàn)任何矛盾，以中文為準(zhǔn)。Page4of5(2)ThisPurchaseContractshallbemadein
